1. Introduction Pursuant to Rule 9.19(24) of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of KAB wishes to inform that the Company has on 3 April 2018, incorporated three new wholly-owned subsidiary companies in Malaysia under the Companies Act, 2016 namely, KAB Technologies Sdn Bhd (Company No.1274868-D) , KAB M&E Engineering Sdn Bhd (Company No. 1274723-U) and KAB Construction Sdn Bhd (Company No. 1274842-P). ("hereinafter referred to as "Incorporation") 2. Information on new wholly-owned subsidiaries KAB Technologies Sdn Bhd was incorporated on 3 April 2018 as a private limited company in Malaysia with share capital of RM1.00. The intended principal activities of KAB Technologies Sdn Bhd is to carry out activities relating to design, installation, and commissioning of energy monitoring and saving software. KAB M&E Engineering Sdn Bhd was incorporated on 3 April 2018 as a private limited company in Malaysia with share capital of RM1.00. The intended principal activities of KAB M&E Engineering Sdn Bhd is to carry out business related to provision of eletrical and mechanical services. KAB Construction Sdn Bhd was incorporated on 3 April 2018 as a private limited company in Malaysia with share capital of RM1.00.The intended principal activities of KAB Construction Sdn Bhd is to carry out business related to general construction and property development. 3. Financial Effect of the Incorporation The incorporation of three subsidiary companies will not have any effect on the share capital and substantial shareholders’ shareholdings of KAB. It is also not expected to have any material effect on the net assets, gearing and earnings of KAB for the financial year ending 31 December 2018. 4. Directors’ and Major Shareholders’ Interests None of the Directors or major shareholders of KAB or persons connected with them, have any direct or indirect interest in the Incorporation. This announcement is dated 3rd April 2018.
