Reference is made to the Company’s announcement made on 15 September 2016, the Company wishes to further announce on the following :

3. The Purchase Price of RM21,935,236.00 only for the total land areas of 2,193,523.60 square feet was arrived at a willing buyer and willing seller basis and after taking into consideration of the following :
i) comparison with the similar properties that are currently offered for sale in the same vicinity which ranging from RM10.00 to RM14.00 per square feet (information extract from www.iproperty.com.my); and
ii) the last transacted price for the similar properties completed on 12 January 2015 in the same vicinity was around RM10.00 per square feet (information extract from www.brickz.my).

No valuation was carried out on the Land by the Vendor or SESB for the purposes of Proposed Acquistion.

The selling price of the properties is normally affected by, inter-alia, the property location, building conditions, total build up areas, age of building and facilities available, etc. The Purchase Price was arrived after the negotiation with the Vendor and the Company has managed to fix the Purchase Price at RM21,935,236.00 or approximately RM10.00 per square feet.

4. The Proposed Acquisition is not expected to have any material impact on the consolidated Net Assets (“NA”), NA per share and gearing of Chin Hin for the current financial year ending 31 December 2016 as it will be fully funded by the internally- generated fund.

振兴1830万买2公司
晋身建材方案供应商

(吉隆坡22日讯)振兴集团(CHINHIN,5273,主板贸服股)子公司PP Chin Hin有限公司,以总值1830万令吉,收购Midah Industries 有限公司以及Epic Diversity有限公司,并预计将因而提振业绩。振兴集团董事经理周豪俊表示:“我们相信今年的业绩会比去年好,在收购了这两家公司后,相信会为2017和2018财年带来共600万令吉税前盈利。”

周豪俊接着说:“我们不再只是生产商,同时也是完整的建筑材料方案供应商。”

“目前,大马政府规定高楼建筑需要有防火门,其他东南亚国家如印尼等,并没有这项条规。”

根据资料,Midah Industries是一家在1989年成立的制造商,提供一站式有品质的标准防火门(fire rated door)。该公司是本地防火门领域排行前5名业者,参与许多住宅和商业发展项目。

至于Epic Diversity,则成立于1999年,专门为客户量身定做“精明上锁方案”服务,包括各种高品质门锁、建筑五金配件、门锁扳手、圆柱形门锁,以及滑动门系统等。

当中,Epic Diversity 约有90%的门锁,是供应给Midah Industries。

振兴集团将会采用内部资金及银行借贷来收购,预计2017财年首季完成,届时将独资拥有这两家公司。

振兴集团执行董事兼财务总监李海滨也说:“集团今年的赚幅目标是3%,制造业是集团目前赚幅最高的业务。”

目前,该集团共有2亿3000万令吉订单在手,当中2亿令吉来自集团本身,其余3000万令吉则来自Midah Industries 和Epic Diversity。

周豪俊也说:“我们是一家建材供应商,所以并不竞标合约,通常客户会在2至3年前就下订单。手中的订单,相信能支撑三年的业务。”

出席者还包括振兴集团副执行主席拿督周明德、独立非执行主席拿督聂诺祖、PP Chin Hin执行董事陈建裕、Midah Industries和Epic Diversity董事经理陈炳章以及执行董事林永康。

未来继续并购

过去6至7年,振兴集团共完成了3项收购计划,这是集团第4个收购计划,并且还有一项正在洽谈中。

周豪俊披露:“未来的1至2年,我们还会有1或2个收购计划。”

“其中的一个收购计划还在洽谈当中,另外一个还没落实。”

他表示暂时还不能透露更多,集团会在适当的时候宣布新收购计划的详情。【e南洋】

(吉隆坡26日讯)综合建材商振兴集团有限公司(CHINHIN,5273,贸易服务组)拟在柔佛设立建材中心,旨在将旗下所有厂房集中至一座综合设施。

据了解,该设施将建立于该集团早前以2200万令吉,从TKW Capital私人有限公司所购入的一片土地。该土地位于柔佛哥打丁宜县,面积约为51英亩(或20.64公顷)。

上述设施将建有蒸压加气混泥土(AAC)等其它建材生产线,包括预制混凝土、丝网、金属屋面板和现成混凝土。蒸压加气混泥土乃该集团子公司Starken AAC主要业务。与此同时,振兴集团旗下贸易业务也将以该设施为基地。除此之外,该集团有意在该设施设立材料测试中心。

另外,振兴集团也计划将防火门生产工厂,从雪州士毛月迁移至该设施。该集团是在上周斥资1830万令吉,收购Midah工业与Epic Diversity两家公司,进军防火门与门锁制造业务。

目前,该集团旗下厂房遍布于大马半岛,包括槟州、雪州、吉打、玻璃市、吉兰丹、彭亨、森美兰及柔佛。

根据集团董事经理周豪俊指出,设立综合设施不仅有助于降低营运及原料成本,同时,旗下子公司之间的合作关系也将有所提升。另外,基于集中性设施的便利,该集团也将更有效地控制运输成本。

执行董事兼财务总监李海滨表示,为了将所有厂房集中于一个设施下,整个过程料将耗时3年,预计在2019年正式完成。不过,他拒绝透露履行计划所需的成本开支,仅表示该集团正寻求在明年筹募资金。

对此,李海滨指出,比起依赖银行贷款,该集团较倾向透过私下配售筹资。不过,他补充,振兴集团目前所持净债务水平处于0.6倍,绝对有充裕空间让该集团进一步透过贷款融资。【光华日报财经】

振兴867万售5交通工具

(吉隆坡26日讯)振兴集团(CHINHIN,5273,主要板贸服)与CHL Logistics私人有限公司签署协议,以总值866万5000令吉,出售5辆交通工具给后者。

振兴集团旗下的5家子公司,分别为Metex Steel私人有限公司、PP Chin Hin私人有限公司、Starken AAC私人有限公司、Chin Hin Concrete(KL)私人有限公司,及C&H Transport私人有限公司,今日与CHL Logistics签署资产出售协议。

它们各别以26万4600令吉、433万6700令吉、27万5000令吉、287万600令吉,以及91万8100令吉,出售有关机动车。

根据文告,振兴集团因上述资产回酬低,且为了专注于拓展核心业务而出售该资产。

该公司指,因上述资产回酬低,且为了专注于拓展核心业务,而决定出售这些资产。

行家建议:

振兴集团预计可从脱售中获利20万令吉,或仅占我们全年净利预测的0.6%。

该公司计划将脱售所得的68%,或590万令吉,用于支付银行贷款。

这项脱售活动可提升振兴集团的盈利,因这可节省200令吉的成本,以及将负债率从原本的0.84倍,降低至0.82倍,并改善资产负债表。

整体而言,振兴集团的“超越大市”评级维持不变,目标价为1.12令吉。

振兴否认再售资产还债

(吉隆坡7日讯)振兴集团(CHINHIN,5273,主要板贸服)澄清,目前未有计划再脱售资产以偿还贷款。

该公司日前向马交所报备指出,除了上月26日公布以总值866万5000令吉,出售5辆交通工具外,眼下没有任何脱售资产计划。

该公司是针对《Focus》周刊的报道作出澄清。

振兴集团还补充,未曾与该周刊联系,也无法说明该报道的消息来源。【e南洋】

振興集團攻高賺幅業務 從政府政策中受惠

振興集團(CHINHIN,5273,主要板貿服)營業額下滑,不過核心淨利在強勁製造業務提振下有所增長,加上政府持續提倡水務領域和可負擔房屋發展,相信公司成長前景正面。

基于房產市場疲軟,振興集團將商業策略轉移至貿易業務,從“高量低賺幅”轉移至“低量高賺幅”。該公司減少銷售賺幅約4%的洋灰業務,從2015財年占貿易營業額的50%,到2016財年第3季降低至40%,並專著于較高賺幅產品,如鋼鐵產品、屋瓦、地磚和其它成品。

這項策略使該公司貿易稅前盈利賺幅,在本財年第3季改善至2.7%。配合這項調整,我們將這項業務 的2016至2018財年營業額貢獻預測,下修至18%到21%,但在較高賺幅估值下,維持盈利預測。

在2017年財政預算案,政府重申將專注可負擔房屋發展,包括一個大馬人民房屋計劃(PR1MA)、人民組屋(PPR)、親民房屋(PMR)等。我們相信這些發展將提振蒸壓加氣混凝土(AAC)以及牆板的訂單成長。

Reference is made to the Company’s announcements made on 15 September 2016 and 21 September 2016 respectively.

The Board of Directors of Chin Hin Group Berhad (“Chin Hin” or “the Company”) is pleased to announce that the Company had on 3 January 2017 received a letter from its solicitors confirmed the conditions precedent for the Sale and Purchase Agreement dated 15 September 2016 has been complied and the Proposed Acquisition has been duly completed.

This announcement is dated 3 January 2017.

CHIN HIN GROUP BERHAD (Chin Hin or the Company) - Revaluation of Investment Properties
Pursuant to Paragraph 9.19 (46) of the Main Market Listing Requirement of Bursa Malaysia Securities Berhad, the Board of Directors of Chin Hin (“Board’) wishes to announce that revaluation was carried out on investment properties owned by Chin Hin  and its subsidiaries (“Group”). The revaluation was conducted for accounting purposes in accordance with the Malaysian Financial Reporting Standard 140: Investment Property (“MFRS 140”).

The valuations were conducted by independent valuers, C H Williams Talhar & Wong Sdn. Bhd. and VPC Alliance (KL) Sdn. Bhd. (collectively as “Valuers”) on the Group’s investment properties held on 31 December 2016. The total market value as appraised by the Valuers on the Group’s investment properties is RM116.580 million, resulting in a total revaluation surplus of RM13.942 million and total impairment loss of RM0.170 million or net revaluation surplus of RM13.772 million.

The list of revalued investment properties is attached in Appendix A.

The Board had on 21 February 2017 approved the incorporation of the net revaluation surplus of RM13.772 million in the financial statement of the Group for the financial year ended 31 December 2016. The net revaluation surplus would result in the Group’s consolidated net asset per share increase by approximately RM0.03 per share.
Copies of the revaluation reports are available for inspection at the registered office of Chin Hin at Suite 10.03, Level 10, The Gardens South Tower, Mid Valley City, Lingkaran Syed Putra, 59200 Kuala Lumpur during normal business hours on Mondays to Fridays (except public holidays) for a period of three (3) months from the date of this announcement.

CHINHIN(振兴集团,5273,主板贸服股),成立于1974年,并于2016年3月8日上市大马交易所主板。

CHINHIN在1974年成立初期,只是一家名为Chop Chin Hin(振兴号)的小型五金店。之后,该公司开始扩充业务,并涉足物流及洋灰经销。

2008年,CHINHIN转型成为一站式的建材经销商。

2011年,该公司开始迅速扩展业务,包括制造蒸压加气混凝土(简称AAC)及并自设厂房生产。同时,也涉及生产预制混凝土产品、钢丝纲,以及金属屋顶结构。

至今,CHINHIN已经逐渐发展成为一家综合建材商,其业务包括分销建筑材料、蒸压加气混凝土、预制混凝土、钢丝网和钢筋、金属屋顶系统,以及贸易并且提供物流服务。

该公司的建材产品除了在本地销售外,也出口至海外市场,如台湾、澳洲、香港、新加坡、菲律宾及印尼。

虽然已经是一家综合建材商,但CHINHIN似乎并不想就此停下或放慢脚步,反而希望以成为“更全面的建材商”的目标迈进。

去年,CHINHIN登上了大马交易所的殿堂,成为主板贸服务组的一员。当时其首发股的发售价为RM0.63,上市至今股价表现也相当亮眼。

才上市没多久,该公司便在3月17日宣布收购美罗的一块占地18.55英亩的地皮,这一块地皮将用以建造预制混疑土厂房,并预计在2017年首季投入运作。

9月15日,CHINHIN再次以2194万令吉收购了哥打丁宜占地51英亩地皮,而公司有意在未来将这块地皮打造成一个综合建材中心。

9月22日,CHINHIN再次出手,分别以1450万令吉和380万令吉 ,收购了Midah Industries 和Epic Diversity。Midah Industries是一家防火门的供应商,而Epic Diversity则是一家门锁制造商。

当然,CHINHIN 也不是只买不卖。该公司在10月26日公布以867万令吉出售5辆低回报的交通工具,而脱售所得的资金将用来偿还银行借贷。

迈入2017年,CHINHIN有什么看头?

首先,从以上这几项扩充和收购案例来看,可看出该公司每一次出手所收购的对象,都在弥补自己的不足之处。为了让自己成为一家更全面的建材公司,我个人相信,类似的扩充和收购行动应该还会陆续有来。

其次,其位于美罗的新厂,预料将会在2017年首季投入营运并对该集团做出贡献,这也将会进一步推高CHINHIN的收入和盈利。

此外,刚纳入的Midah Industries 和Epic Diversity这两家公司,在收购时其实已经有获得卖方的盈利担保。Midah Industries将在未来两年(2017年和2018年),提供每年230万令吉的税前盈利保证;同时,Epic Diversity也会在未来两年,每年提供70万令吉税前盈利保证。

在财务状况反面,CHINHIN在截至2016年9月30日的季报里显示,该公司一共持有1亿2693万令吉的现金,而其银行借贷则有3亿1364万令吉。

如果该公司有意继续扩充其业务,其实这并不足以支撑未来的扩充计划。因此不排除该公司在未来的日子里,会建议附加股或进行私下配售以集资。有了足够的“弹药”,该公司才能够持续作战。

而上面所提到的新业务和新厂,将会在今年开始对公司逐步作出贡献,预料2017年财政年平均每季可取得1000万令吉的净利,那么全年净利将有望达到4000万令吉,每股净利约9仙。

如果市场愿意给予它15倍本益比的估值的话,那么其合理价有望重估至RM1.35。

CHINHIN目前已传到第三代,现任董事经理为周豪俊。他是于2009年开始加入公司的管理层,而CHINHIN这几年能够如此迅速的成长,周豪俊可是功不可没。

所谓时势造英雄,未来数年将是大马大兴土木时候,且看CHINHIN如何在周豪俊这一股“后浪”(参阅雨文的 振兴集团【CHINHIN,5273】,后浪推前浪)的带领下,攀向巅峰。

振兴集团【CHINHIN,5273】,后浪推前浪

今年的经济说好不好,说坏又未必会更坏,最值得关注的是什么时候会大选,所以主要还是加以谨慎,尽量寻找大选尽可能收益的领域,建筑以及消费股。今天不谈建筑股,相反值得注意这一只黑马,振兴集团(CHINHIN, 5237),一家主要从事建筑材料的公司。

在去年,上市集资的公司也相比往年的少,振兴集团的股价表现还算出色,从首发股价65仙,一度来到93仙,过后维持在88仙左右,如果抽中首发股,回筹有大约35%。


振兴集团主要涉及四项业务:

1)分销建筑材料和物流服务 (Distribution of Building materials & logistic)。各式各样的建筑材料包括运输销售洋灰、石砖、木板、地板、铁、瓷砖、厕所用具等等,一站式的建筑材料。

2)分销预坢混凝土 (Distribution of Ready-mixed Concrete),俗称泥水供应。


3)制造蒸压加气混凝土与预制混凝土 (Manufacturing of AAC & Precast concrete products)
这种词汇翻译是比较难以理解,简单来说AAC是已经完成好了的一个block,有各种各样的切割,用来取代一块一块的石砖做成的墙壁。由于这个也是目前振兴集团未来的重点产品,所以百度了一下:加气混凝土是一种新型的墙体建材,它的独特之处在于它是一种非常轻型的保温隔热的新型建筑墙材。这类墙壁的性能包括质轻、防火、隔音、保温、抗渗、抗震、环保、耐久、快捷和经济。然而也是目前公司里赚幅率比较高的业务。
预制混凝土 (Precast Concrete) 在住宅工业化领域称作PC构件。与之相对应的传统现浇混凝土需要工地现场制模、现场浇注和现场养护。混凝土预制件被广泛应用于建筑、交通、水利等领域,上面的图就是振兴主要出产的PC构件,排水和污水处理管,俗称大沟渠。另一家同行OKA也是主要生产这个PC构件。

4)制造钢丝网和金属屋顶系统 (Manufacturing wire mesh & metal roofing system)
在1974年拿督周明德从他父亲手中接管了振兴号(Chop Chin Hin)的五金店。当时五金店生意也走下坡,他就将五金店拓展到销售建筑材料。在1995年时,他看准运输业的发展空间,因此在原生土长的吉打州设立另一家公司——SPPCH,一开始只是运输洋灰,过后在1996年开始参与分销预坢混凝土,生意也越做越大,接着在其他州属设立更多的分行办公室,也把公司总行搬到吉隆坡。对于公司来说,运输洋灰很费时间劳力去维修交通工具和管理一批司机,利润也不比分销建筑材料明显,最后管理层决定卖了运输生意,使用外包服务以便增强效率。

2009年,拿督周明德的儿子周豪俊加入管理层团队,当时主要生意只是运输洋灰、分销建筑材料和预坢混凝土。在他管理下,公司决定垂直整合扩展,加入生产AAC、PC构件和钢丝网和金属屋顶系统,把公司业务扩展到赚幅比较高的产品。过后也在他的带领下,公司在去年3月8号踏入上市。虽然上市的短短一年内,已经公布了三项收购活动,分别是在Bidor的一片面积18.55英亩的地皮、Kota Tinggi 约51英亩的地皮、Midah -防火门与Epic- 门锁业务。由此可见,周豪俊雄心勃勃,虽然目前已经是全马第三大里的建筑材料公司,他并没有满足现有的状况,他的加入后,也将振兴集团使用收购迅速扩充,为公司带入综合效应。

股票的价钱会上很多时候都必须依靠催化剂,盈利永远都是最实在的催化剂。那么振兴集团的盈利催化剂有什么呢?

1. Bidor 厂房生产4万5000公吨的预制混凝土将在2017年第一季开始贡献

2. 1兆瓦的太阳能

3. EPIC & Midah 600万的 profit guarantee

4. 大马基建领域的前景,高速铁路,MRT 2,还有可负担房屋。

这些都会有待催化今年的股价。

在翻开招股书和留意振兴集团的一举一动,不难发现这家公司的生意手法,一直都在调整公司的业务管理。不停的收购有关系建筑材料的公司,寻找利润高的产品,脱售效率低的生意。顶级手套当初也是依赖收购同行而走到今天成为世界第一大手套生产公司。

值得一提的是周豪俊在资汇的报道里说,“公司的愿景是成为大马领先的建材解决方案供应商,而且相信它是大马目前唯一能提供【全面建材】的公司。在上市后五年里,目标成为十亿市值的公司。

领导人往往是一个企业的灵魂,希望这位只有33岁的周豪俊能为振兴集团走向另一个高峰。
