积极维持增长动力 康尔国际冀能转板
二零一五年五月二日 晚上七时二十分
（吉隆坡2日讯）以深圳为总部的康尔国际有限公司（KANGER，0170，创业板），自2013年12月上市以来在仅16个月内，已完成2次资本重组计划，目前正在进行另一项同样计划。
去年7月，该家竹制地板生产商以5送1方式派发每股面值10仙的红股，将股本从4亿3000万股增加至5亿1600万股。
此外，在上月中旬，该集团以2送1方式派发凭单。而该凭单的行使价订为10仙，这较目前的股价30.5仙大幅折让。该凭单的除权日期在4月8日。
受惠上述重组行动，康尔国际能获得较多资金推动业务，导致业绩表现强劲。在2014财政年，它的净利润按年从496万令吉猛增至702万令吉。目前，它的股价较首次招股价上涨44％，至于市值则由之前的1亿750万令吉扩大至1亿5480万令吉。
另一方面，该集团建议私下配售5年期总值1亿令吉年利率2%的可赎回可转换中期票据予第三方投资者，以融资业务扩充活动。该计划刚刚获得股东们的批准。
今次的配售票据计划与上两次的资本重组活动不同，因为前者肯定会令到股东的持股权遭到摊薄，主要是所筹集的资金占目前的股本高达65%。
目前，康尔国际的本益比是22.1倍，在小资本股中已算高昂。若该批票据转换成股票，那么它的本益比在增长方面将会出现很大压力。
该集团执行董事锺网田（译音）解释：“我们并不一定需要上述全部1亿令吉的资金。我们与该2名新加坡投资者分别是先进商机基金和先进资本合资私人有限公司所订立的最高发售票据金额是1亿令吉。换言之，我们要多少资金就发售多少票据。”
当询及为何不发售附加股时，他回答说，这会对大股东造成沉重负担。
上述票据在5年内分4期可以用2种转换价来赎回，第1种是在第1期内以固定转换价49仙赎回。
至于第2种是浮动转换价，在第1期内于申请转换为股票时，其转换价是根据之前45个交易日中的任何3个连续日的平均收市价折价15%。但在第2、第3以及第4期的折价是10%，而其余的条件与第1期一样。
发售票据所筹得的1亿令吉资金中，660万令吉用于支付有关发债开销、3000万令吉用于收购青竹种植园丘、2740万令吉用作营运资本、1350万令吉用作扩充经销商，以及剩余2250万令吉用作兴建一座酒店。
目前，康尔国际40%的竹制地板在中国销售，而60%则出口至海外。该集团有意进军上游的种竹业务，并向霹雳州政府寻求收购一幅1万英亩的土地用作种植青竹，不过迄今还未有落实任何定案。
该集团将在未来数月内以Kar Ace品牌制造竹制家具，并且期望上述家具商店能够由现有的20间增至年杪的50间。
与此同时，它将在今年底斥资2250万令吉于赣州一幅50年的租借地兴建一座酒店。该酒店拥有200间客房，预计在2018年初落成。
锺氏说，一旦建成后，该酒店将租予赣州德通科技发展有限公司为期5年。上述租赁协议附带的每年租金总额达316万令吉，以及一项选择就是首2年后每年加租10％。
他强调：“除了该酒店外，我们不会兴建任何产业，但会维持专注在生产竹制品。”
锺氏称：“我们希望能在2年内转移到主板上市，但胥视能否保持其增长动力。我们的目标是今年营业额增加30％。”
在2014财政年，它的营业额按年增长32.96％至6672万令吉。在截至2014年12月31日止，该集团持有现金和流动资产总值1755万令吉，以及银行借贷达2408万令吉。【光华日报财经】 |

（吉隆坡19日訊）康爾國際（KANGER，0170，創業板消費）近期股價走跌且交投活躍，接獲馬證交所發出“異常交易活動”（UMA）質詢。
康爾國際以21仙開市，早盤股價波動介于20.5仙至22仙，休市跌1仙報20.5仙，為十大熱門股之一。閉市時，該股報21仙，跌0.5仙，成交量3522萬3500股。
該公司近期股價呈跌勢且交易量高，今日遭馬證交所發出“異常交易活動”質詢，必須提供或推動股價下跌的最新企業發展。康爾國際在稍晚回應指出，除了近期轉換憑單企業活動，公司對其他可能導致公司交投活躍且推低股價的原因表示不知情。

涉操控康爾國際 經紀遭罰款6.5萬

（吉隆坡3日訊）經紀洪楚豪（譯音）因涉及操控交易康爾國際（KANGER，0170，創業板消費），遭馬證交所公開譴責並罰款6萬5000令吉，同時必須接受交易商代表專業培訓。
馬證交所發文告指出，洪楚豪因涉及操控康爾國際，被公開譴責，並罰款6萬5000令吉，甚至可能停牌12個月。
身為肯納格證券研究的巴生分行委託經紀代表洪楚豪，通過客戶賬戶，涉及操控康爾國際股權，觸犯馬證交所3.14(d), (e), (f) & (g)以及5.01(b)條例。所以，他隨后必須進行交易商代表專業培訓。
