The Board of Directors of GETS GLOBAL BERHAD wishes to announce that the Company had, on 5 August 2019 been served with a Writ of Summons and Statement of Claims filed by the Lembaga Kumpulan Wang Simpanan Pekerja against Pengangkutan Awam Putrajaya Travel & Tours Sdn Berhad (“PAPTT”) in respect of an amount of RM 708,938.00 being arrears of dividends for the period of contribution from February 2010 to November 2014, and a further amount of RM 928,425.00 being late payment charges for the period of contribution from February 2010 to November 2014. Both these claims arose from arrears in payment of contributions to the Employees Provident Fund (“EPF”) by PAPTT which was outstanding and unpaid at the time of takeover of a 80% stake in PAPTT by Konsortium Bas Ekspres Semenanjung (M) Sdn Bhd (“KBESM”), a wholly owned subsidiary of the Company on 11 December 2017. At a meeting held on 10 April 2018 between Perbadanan Putrajaya (“PPJ”), Putrajaya Leisure & Services Group Sdn Bhd (“Pulse Group”) and KBESM to settle the remaining Conditions Precedent under clause 5.01 of the Share Sale Agreement (“SSA”) signed between Pulse Group and KBESM dated 11 December 2017, it was agreed that PPJ would assume all liabilities for PAPTT’s outstanding EPF contributions. Since the above Writ of Summons and Statement of Claims relate to dividends and late payment charges due and arising from the unpaid EPF contributions outstanding at the time of takeover of PAPTT by KBESM, the Board is of the view, and will seek legal advice on the matter, that the amounts claimed are rightfully the obligations of PPJ. Nevertheless, the Board will take immediate action to defend the Company against the suit and to seek appropriate legal redress if there is any eventuality of losses suffered. The Details of Events Leading to the Commencement of Litigation Plaintiff has been seeking to be paid its claims for services rendered to PAPTT during the time when it was fully owned and managed by Perbadanan Putrajaya. The current management of PAPTT holds to the position that any claim for debts purportedly incurred by the previous management must be fully supported by complete and substantiated documentation of invoices presented and acknowledged plus attested records of work done or services rendered. 4. The Estimated Potential Liability to the Group Arising From the Litigation The estimated potential liability to the Group arising from the litigation is RM 383,811.56 comprising of RM 380,811.56 being the amount claimed and RM 3,000 being likely court costs. 5.
