The Board of Directors of Eduspec Holdings Berhad (“EHB” or “Company”) wishes to announce that Eduspec Pte Ltd (“EPL”), a wholly owned subsidiary of EHB had on 25th October 2017 entered into a Memorandum of Agreement (“MOA”) with First Datacorp (“First Datacorp”) and Jorge C. Buenaventura to acquire 22,499 and 1 common shares respectively in First Eduspec, Inc. (“First Eduspec”) totally 22,500 common shares, representing 45.00% equity interest in the issued and paid-up share capital of First Eduspec (“Sale Shares”) for a consideration of PHP21,600,000.00, equivalent to RM1,768,108.28 (“Proposed Acquisition”). Upon completion of the Proposed Acquisition, First Eduspec shall become a 85.00% owned subsidiary of EPL, which in turn is a wholly-owned subsidiary of EHB. 育式培终止北京公司教学合作

（吉隆坡23日讯）育式培（EDUSPEC,0107,创业板科技组）终 止与北京ZhongChuangHuaYing有限公司合作，撤出 之前授权后者在中国进行卡内基美隆大学（Carnegie Mellon Robotics Academy）的认证科学、科技工程与 数学机械课外活动权利。

该公司在文告中指出，双方皆同意废除之前达 成共识的框架协议，育式培将在3天内退还5万美元 （约2040万令吉）定金予对方。

双方是在今年6月22日达成初步协议，当时 该份5年的授权合约高达1500万美元（约6120万令 吉）。

（吉隆坡5日讯）育式培（Eduspec Holdings Bhd）与北京大学香港科技大学深圳研修院（PKU-HKUST Shenzhen-Hong Kong Institution，PKU，又称深港产学研基地）合作，在中国学校推广科学、技术、工程及数学（STEM）教育。

育式培今日与PKU签署一项教育合作协议。

育式培在文告指出，为期3年的合作是为了推动中国学校的电脑科学STEM，以及机器人技术编程STEM。

根据合作，作为Carnegie Mellon University Robotics Academy（CMRA）认证的亚洲STEM课程机构，育式培将向PKU提供相关的授权文件，并确认PKU是中国，包括港澳的CMRA认证STEM课程的师资培训和学生考试与认证中心。

育式培还将提供学习管理系统，并处理所有与STEM课程有关的公共事务。

同时，PKU将按照由CMRA批准的STEM课程标准，设立一个师资培训计划，以及学生考试认证流程。

根据育式培，PKU由深圳市政府、北京大学和香港科技大学三方携手，于1999年在深圳高新区共同创建，是培育深港高科技专业人才之地。

育式培总执行长林炎丰表示，此次合作符合公司专注于收费式经常收入教育产品，如STEM课程的目标。

“育式培将与PKU一起合作，在中国展开中文STEM课程，并出版课程书籍，以确保课程符合CMRA的标准。”

The Board of Directors of EDUSPEC wishes to announce that pursuant to the terms and conditions as stipulated in the Deed Poll dated 19 November 2013, the Exercise Rights of the Warrants will expire on 24 December 2018 at 5.00 p.m. (“Expiry Date”). Warrant Holders should note that the Warrants which are not exercised by 5.00 p.m. on the Expiry Date will lapse and become null and void and cease to be valid for any purpose.
