Introduction

The Board of Directors of Jaycorp wishes to announce that the Company had on 11 November 2016 subscribed for an additional 4,000,000 new ordinary shares of RM1.00 each of the enlarged issued and paid-up share capital of Instyle Sofa Sdn Bhd (“ISSB”), for a total cash consideration of Ringgit Malaysia Four million only (RM4,000,000.00) (“Subscription”).

Subsequent to the Subscription, ISSB becomes a 83%-owned subsidiary of Jaycorp.

Information on ISSB

ISSB was incorporated on 26 May 2003 in Malaysia under the Companies Act, 1965.

The authorised share capital of ISSB is RM5,000,000.00 divided into 5,000,000 ordinary shares of RM1.00 each and the issued and paid-up share capital is RM2,041,000.00 divided into 2,041,000 ordinary shares of RM1.00 each.

The authorised share capital of ISSB would be increased accordingly to facilitate the Subscription.

ISSB is principally engaged in manufacturing of sofa sets, bed sets, chairs and upholstery works.

Rationale for the Subscription

The Subscription will be strategic and beneficial to Jaycorp for Jaycorp Group’s expansion into manufacturing of sofa sets, bed sets, chairs and upholstery works.

Directors' and/or Major Shareholders' Interests

Mr Yeo Ayk Ke and En Muaz Bin Jema Anton Khan are both Executive Directors of Jaycorp and directors of ISSB. They are also the major shareholders of Jaycorp.

Ms Yeo Siw Nee, the sister of Mr Yeo Ayk Ke is also a director of ISSB.

Save as disclosed above, none of the Directors and/or major shareholders of Jaycorp and/or persons connected with them have any interests, direct or indirect, in the Subscription.

Financial Effects
The Subscription will not have any material effect on the earnings per share and net assets per share of Jaycorp for the financial year ending 31 July 2017.

The Subscription will not have any effect on the share capital, gearing and substantial shareholders’ shareholdings of Jaycorp.

(吉隆坡19日讯)杰业机构(JAYCORP,7152,主板消费产品股)截至10月31日首季,净利几乎按年持平在546万3000令吉;营业额则挫3.4%,报7408万7000令吉。

杰业机构向马交所报备,旗下的家具业务表现虽按年滑落,但仍持续贡献大部分的营业额,当季分别录得5760万令吉的营业额,及640万令吉的税前盈利。

文告指出,表现滑落主要归咎于员工短缺。

另外,窑干业务的营业额及税前盈利均走扬,因收入增加,且市况获得改善。

杰业机构表示,家具业务依旧是公司的核心业务,未来将继续专注于控制成本结构及探索新市场,以取得更好的净利和业务增长。

【杰伦公司】- JAYCORP(7152)再生能源赚亏为盈,盈利YOY+0.15%, 这很差吗?

JAYCORP(7152)杰伦公司在星期五公布了【不求有功,但求无过】的业绩,Net Profit YOY从5.455 mil进步到5.463 mil,按年进步0.015%。而且再生能源部门由亏转盈,FY2017相信会贡献更高的盈利。这样的业绩算差吗,我们就看看这家公司的资产债务表。



  • 以Profit Before Tax来看,JAYCORP最新季度的7.877 mil比去年同季的6.263 mil进步了25.33%。盈利减少的原因之一是Income Tax从844k上涨到1.699 mil。
  • JAYCORP的家私主要以美金结算,因此最新季度有414k左右的外汇盈利。以现在平均超过4.30的汇率来看,JAYCORP下个季度的表先应该会不错。
  • 公司的现金上升到41.665 mil,债务从22.6 mil减少到19.0 mil, 净现金22.645 mil处于新高水平。Gearing Ratio更是改善到0.11的新低水平,也难怪公司可以派发10仙的超高股息。


公司的Net Profit Margin比去年进步不少,从7.3 提升到7.4%。未来再生能源将会是新的盈利贡献点,而美金走高也让公司受惠,长期来看JAYCORP是不错的高股息股。此外,公司新增的建筑业务虽然处于亏损,但是从Annual Report来看,公司对建筑业务未来的展望保持乐观。而且公司不久前增加了In Style Sofa的股份,持股从51%增加到83%,这将可以贡献更多的营业额以及盈利给JAYCORP.

总体而言,JAYCORP是一家成长小型股,管理层也在积极夸张新业务。不过他们现在面临着整个家私领域头疼的问题,那就是缺乏外劳的困境。因此家私部门的业务盈利才会小幅度下滑,但是再生能源以及KLIN-DRYING部门都一齐又亏转盈,笔者相信其他部门可以抵消外劳不足的问题。

这家公司不适合短期操作,因为业绩盈利都要时间去酝酿。不过喜欢派息大方的公司,JAYCORP到不失为一个不错的选择。

(吉隆坡9日讯)杰业机构(JAYCORP,7152,主板消费产品股)宣布,旗下持有60%股权子公司Jaycorp Enginering & Construction(简称JECSB)私人有限公司获颁合约,总值1676万3597.16令吉。

杰业机构今日向马交所报备,JECSB将为Solid Destiny(简称SDSB)私人有限公司,在沙巴哥打京那巴鲁里卡士湾畔(Likas Bay),建设建筑面积达8万2408平方尺的7层办公室。

该合约期限为2年,预计明年6月14日竣工。

该公司指出,双方于去年10月17日签约。冀望合约能为杰业机构和JESCB贡献未来净利。

不过,该发展项目将不会对杰业机构截至2017年7月杪财年有显著贡献。

1. Introduction
The Board of Directors of Jaycorp wishes to announce that Jaycorp Engineering & Construction Sdn Bhd (“JECSB”), a 60%-owned subsidiary, had on 17 October 2016 entered into a contract with Solid Destiny Sdn Bhd (“SDSB”) for the construction of a 7-storey shop cum office on L.15864 at Likas, Kota Kinabalu, Sabah known as the Spinnaker SOVO Suite at Likas Bay for a contract sum of Ringgit Malaysia Sixteen Million Seven Hundred Sixty-Three Thousand Five Hundred Ninety-Seven and Sen Sixteen (RM16,763,597.16) only over a period of twenty four (24) months (“the Project”). The Project has a gross floor area of approximately 82,408 square feet.

2. Information on SDSB
SDSB was incorporated on 7 October 2006 in Malaysia under the Companies Act, 1965.
The authorised share capital of SDSB is RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each and the issued and paid-up share capital is RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each.
The principal activity of SDSB is property development.

3. Information on JECSB
JECSB was incorporated on 6 January 2016 in Malaysia under the Companies Act, 1965.
The authorised share capital of JECSB is RM5,000,000.00 divided into 5,000,000 ordinary shares of RM1.00 each and the issued and paid-up share capital is RM1,000,000.00 divided into 1,000,000 ordinary shares of RM1.00 each.
The principal activity of JECSB is engineering, construction and property development.

4. Rationale of the Project
SDSB has issued a letter of award to JECSB and a formal contract agreement (“the Contract”) between SDSB and JECSB was signed on 17 October 2016.
The Project is a positive development for Jaycorp and its subsidiaries (“Jaycorp Group”) and is expected to contribute positively to Jaycorp Group’s future earnings.

5. Salient Contents of the Contract
The Contract sum of Ringgit Malaysia Sixteen Million Seven Hundred Sixty-Three Thousand Five Hundred Ninety-Seven and Sen Sixteen (RM16,763,597.16) only shall be paid progressively by SDSB to JECSB upon agreed certified value of works executed.
Barring any unforeseen circumstances, the project is expected to be completed by 14 June 2018.

6. Directors’ and Major Shareholders’ Interests
Tan Sri Abdul Majid Khan (“Tan Sri Majid”) is the Executive Chairman of Jaycorp and a director of JECSB.
En Muaz Bin Jema Anton Khan ("En Muaz") is an Executive Director of Jaycorp and a director of JECSB.
Mr Yeo Aik Tan ("Mr Yeo") is an alternate director of Jaycorp and a director of JECSB.
Tan Sri Majid, En Muaz and Mr Yeo are all major shareholders of Jaycorp.
Encik Abdul Rahman Khan Bin Hakim Khan is the nephew of Tan Sri Majid. He is also a director and shareholder of JECSB.
Save as disclosed above, none of the Directors and/or major shareholders of Jaycorp and/or persons connected with them have any interests, direct or indirect, in the Project.

7. Financial Effects
The Project will not have any material effect on the issued and paid-up share capital and substantial shareholders’ shareholding of Jaycorp or any material effect on the issued and paid-up capital, substantial shareholding, earnings per share, net assets per share and gearing of Jaycorp for the financial year ending 31 July 2017.

8. Approvals Required
The Project does not require approval from the shareholders of Jaycorp or any other relevant authorities.

9.      Highest percentage ratio applicable
The highest percentage ratio applicable to the Project pursuant to paragraph 10.02(g) of the Listing Requirements is the ratio pursuant to paragraph 10.06 which is at 7.07% based on the market capitalisation of Jaycorp (excluding treasury shares) as at 31 July 2016.

10.  Directors’ Statement
Having considered the rationale of the Project, the Board of Directors of Jaycorp is of the opinion that the Project is in the best interest of Jaycorp.

11.  Documents available for inspection
The Contract in respect of the Project is available for inspection at the registered office of Jaycorp at JA 1880, Batu 22 1/2, Parit Perawas, Sungai Rambai, 77400 Melaka, Malaysia, during normal business hours from Mondays to Fridays (except for public holidays) for a period of three (3) months from the date of this announcement.

1. The reason for the delay in making the announcement with regard to the award of the Project was because approvals from the relevant state authorities on the design of the Project were still pending after the letter of award was issued. The lack of these approvals would have materially affected the viability of the Project and the total contract sum resulting in the delayed announcement.
2. Basis and justification on arriving at the contract sum of RM16,763,597.16 was derived based on the letter of award from SDSB to JECSB.
3. The Project was awarded via public tender.
4. The Project commenced on 15 June 2016 and the completion date is 14 June 2018. The total budgeted development cost is RM14,584,329.53 and the expected total net profit after tax to be derived is RM1,656,243.40 on the basis of a 9.9% net profit margin. The Project is funded through internally generated funds and is 11.36% completed as at 4 January 2017.

6. The letter of award for the Project was issued by SDSB on 8 June 2016 and finalised on October 17 2016 due to delay in the finalisation of structural and architectural works.
7. The expected total net profit after tax to be derived from the Project is RM1,656,243.40 over the Project’s duration of two (2) years.  As Jaycorp holds 60% of JECSB, the expected total contribution to the Group will be RM993,746.04.
8. Termination clauses in the Contract, including the default clauses by the parties are as follows:-

Default clauses by SDSB:
(a) If without reasonable cause, JECSB fails to commence the works in accordance with the Contract.
(b) If without reasonable cause, JECSB wholly or substantially suspends the carrying out of the works before completion.
(c) If JECSB fails to proceed regularly and/or diligently with the works.
(d) If JECSB persistently refuses or neglects to comply with an architect's instruction.
(e) If JECSB fails to comply with the provisions of assignment and sub-contracting.
(f) If JECSB has abandoned the works.

Default clauses by JECSB:
(a) If SDSB fails or neglects to pay JECSB the amount due on any certificate (less any liquidated damages and set-off which SDSB is expressly entitled to make under the Contract) within the period for honouring certificates.
(b) If SDSB interferes with or obstructs the issue of any certificate by the architect.
(c) If SDSB fails to nominate a succeeding architect or consultant.
(d) If before the date of practical completion, the carrying out of the whole or substantially the whole of the uncompleted works is suspended for a continuous period of time exceeding that stated in the period of delay by reason of:
i) Architect's Instructions ("AI") issued by the architect unless the instruction is issued to rectify any negligence, omission, default and/or breach of contract by the contractor or nominated sub-contractors.
ii) The contractor not having received in due time the necessary AI.
iii) Delay on the part of craftsmen, tradesmen or other contractors employed or engaged by SDSB.
iv) The opening up for inspection of any work covered up or to arrange for or carry out any testing of any work, materials and goods were not in accordance with the contract.

Reference is made to the announcements dated 9 January 2017 and 11 January 2017 ("the Announcements").  The terms herein shall bear the same meaning as defined in the Announcements.

The Board of Directors of Jaycorp is aware of the publication on 16 January 2017 in The Edge Weekly on Page 7 entitled "Timely Disclosures Matter". The Board wishes to furnish the following additional information for public release:-

1. The announcement on 9 January 2017 was made on a voluntary basis (Paragraph 10.05 of the Main Market Listing Requirements ("MMLR")) as the Company was of the opinion that its shareholders and the public should be informed that JECSB had secured its first construction project. The transaction was of a revenue nature and as such did not require an immediate announcement (Paragraph 10.02 (l)(i) of the MMLR).

The Project commenced subsequent to the letter of award for the Project, which was issued by SDSB on 8 June 2016 and finalised on 17 October 2016, but before the final contract was signed. This is considered a norm in the construction industry and the Company is of the opinion that the announcement was made at the appropriate time (Paragraph 9.05(3)(b) of the MMLR). In relation to the rise in the share price of Jaycorp, the Company is of the opinion that this was mainly due to the increase in profit of Jaycorp and its subsidiaries ("the Group") arising from improved performance of the Group's furniture business and the final dividend announced earlier.

2. The Company would like to clarify that the building contract including the termination clauses follows the standard Pertubuhan Arkitek Malaysia (PAM) contract for building works and the remedies for both parties in the event of termination or default detailed in the announcement made on 11 January 2017 are as follows:-

SDSB’s Remedies Against JECSB
  • Upon the issuance of the Certificate of Non-Completion by the architect, JECSB is liable to pay to SDSB liquidated damages at a rate of Ringgit Malaysia Ten Thousand (RM10,000.00) only per day, from the date of the said written notice of SDSB to determine the employment of JECSB to 14 June 2018, being the completion date.
  • SDSB is also entitled to call on the performance bond, which amounts to five (5) percent of the total contract sum totalling Ringgit Malaysia Eight Hundred Thirty-Eight Thousand One Hundred Seventy-Nine and Sen Sixteen (RM838,179.16) only ("Performance Bond"), and utilise and make payments out of or deduction from the Performance Bond for the completion of and/or rectification of the Works and reimbursement of loss, and/or expense suffered by SDSB.

JECSB’s Remedies Against SDSB
  • JECSB shall within fourteen (14) days or within such longer period as may be agreed in writing by the architect, remove from the Site all his temporary buildings, construction plant, tools, materials and goods.
  • SDSB shall pay JECSB the total value of work properly executed and the value of materials and goods supplied including any loss and/or expense suffered by JECSB caused by such determination.
  • SDSB shall also within twenty eight (28) days from the date JECSB determines his own employment, refund any balance of monies remaining from the Performance Bond to JECSB without interest.

3. The award of the Project does not involve the interest of the related parties pursuant to Chapter 10 of the MMLR. None of the directors and major shareholders of Jaycorp and/or persons connected to them have any direct or indirect interest in SDSB and the award of the Project.

(吉隆坡23日讯)Jaycorp Bhd第二季净利按年下跌24.3%,因营运盈利走低。

该公司今日向大马交易所公布,截至1月杪的2017财政年次季,净利为463万令吉,低于上财年同期的611万令吉;营运盈利为693万令吉,相比同期的912万令吉。

次季营业额则由7548万令吉,起5.4%至7956万令吉。

2017财年首半年的净利为1009万令吉,较同期的1156万令吉,下跌12.7%;营业额则微增1%至1亿5364万令吉,同期为1亿5217万令吉。

该公司指出:“家具行业依然是集团核心业务。集团将继续致力于控制成本架构,并探索产品新市场,以实现更好的获利和业务增长。”

杰机构和林吉灵股价总是徘徊.业务前景如何?

2.请问这两家公司在大马与海外的前景如何?值得长期持有吗?

3.最近鲜少听闻这两家公司发布任何企业消息,加上股价徘徊,是什么原因?

答:(1)杰机构的主要业务包括树胶木家具、贸易(销售建筑材料)、包装(将瓦楞纸转造为纸盒)、树胶木加工、以及其他(包括运输服务、产业出租及印刷等)。

另一方面,林吉灵集团的主要业务则为生产相片木框架及木托盘、产业控股及租赁。生产木材产品、行销木材相关产品。

(2)杰机构在2016年12月16日宣布截至2016年10月31日为止首季业绩,营业额7410万令吉及税前盈利790万令吉(较前期的6810万及510万令吉高)。营业额走高,主要是旗下家具、木材烘干、及工程与建筑业务取得较高营收所致。

至于首季税前盈利较佳,因旗下纸箱、木材烘干及再生能源、工程及建筑等领域取得较佳表现所推动。

谈到该公司2016/17财政年的未来业绩表现,该公司表示家具业务将持续是公司的核心业务。该公司将持续专注在控制成本架构,为产品开拓新市场,以取得更好盈利及业务成长。

林吉灵集团业绩看俏

林吉灵集团在最新业绩宣布时,谈到该公司的未来业绩前景时指出,随着美国的就业市场改善,薪金扬升及商业情绪转好,预料将刺激美国消费市场或开销,以营造蓬勃的经济活动,这对以消费推动经济为主的美国实是至关重要。

由于美国经济成长更为强劲,预料该公司的业绩表现将与美国成长中经济走势一致。若没有出现不可预见的情况,该公司预期截至2017年12月31日为止财政年的业绩将有令人满意表现。

总的来说,两家公司的木材产品皆有出口到海外市场,特别是林吉灵集团产品主要出国到美国市场,若是马币对主要货币汇率走低的话,相信将有助于推高以马币计算的业绩表现。

由于在过去年来,没有证券行进行剖析研究及作出建议,值不值得长期持有,自行决定。

(3)杰机构及林吉灵集团的确鲜少公布企业消息。

杰机构最新企业宣布,于2017年1月9日宣布,其持有60%股权的子公司——杰机构工程与建筑公司取得沙巴一项总值1676万令吉的建筑合约,以在沙巴亚庇建造7层楼的店屋和办公室,建筑期限为2年。

杰机构整体处于上升趋势

杰机构的股价表现,在2014年3月10日之前的至少1年半里,股价多在约50仙水平徘徊或横摆,直至2014年3月10日开始,其股价走势才出现较为波动的升势,直至2017年3月13日为止已扬升至1令吉37仙水平,使过去3年来的升幅也相当可观。

总的来说,过去3年股价走势落在波动震荡格局,惟整体大势仍是处于上升趋势。这里未能确定其股价走势的原因。惟相信获得较好的基本因素如公司业务等因素的影响支撑。

股价表现方面,其实林吉灵集团在过去5年的股价走势相当稳健;即从2012年5月21日的79仙,至2017年3月13日即达到1令吉95仙的价位。这里相信与其多年来业绩表现平稳有关,或是其他这里未知的因素。

(吉隆坡19日讯)杰业机构(JAYCORP,7152,主板消费产品股)持股60%股权子公司——Jaycorp Enginering & Construction(简称JECSB)私人有限公司,获颁总值1260万令吉的合约。

杰业机构昨天向交易所报备,JECSB获得Fulcrum Capital 私人有限公司颁发合约,负责位于沙巴大学,单层Azman Hashim 艺术馆与大礼堂的建造工程。

工程范围包括供应材料、劳工、工具与设备,以建造及完成单层艺术馆与大礼堂。

该公司将通过内部资金,来融资上述工程的发展成本。

Jaycorp末季净利年增42.3% 家具业务进账走高

(吉隆坡28日讯)Jaycorp Bhd截至2017年7月31日止的财政年末季净利按年增长42.3%至740万令吉,同期净赚520万令吉,归因于家具业务的进账走高。

该集团今日向大马交易所报备,末季营业额年增18.2%至8050万令吉,同期则报6810万令吉。

随着海外市场的需求增加,加上美元兑令吉走挺,该集团的家具业务末季录得620万令吉的税前盈利。

Jaycorp的窑干(kiln drying)业务税前盈利也有所增长,主要因为库存减记较低。

“由于内部和外部客户的需求增加,纸箱业务的营收和盈利也随之扩增,再生能源子公司的业绩有所改善归因于营运效率改善、成本控管措施,以及售价上涨。”

纵观全年的业绩表现,Jaycorp净利累计2480万令吉,同期报2100万令吉,涨幅为18%;营业额也按年攀升8.1%至3亿1280万令吉,同期录得2亿8940万令吉。

董事部也建议,派发每股6仙的终期股息,从而令全年派息累计至11仙,相比上财年的10仙。

展望未来,Jaycorp表示,家具业依然是其核心业务,该集团将继续着重于控管成本,并为产品物色新市场,以期能获得更高的盈利及推动业务增长。

杰业拟多元至建筑产业

(吉隆坡3日讯)为了降低对核心业务的依赖,家具制造商杰业机构(JAYCORP,7152,主板消费产品股)提议多元化至建筑与产业发展。

该公司今日向交易所报备,于去年成立并持股60%的子公司Jaycorp工程与建筑私人有限公司(JECSB),年初至今已获得两项合约。

同时,该公司通过间接持股60%的子公司,Bongawan Solo私人有限公司,在沙巴邦加湾(Bongawan)拥有396英亩地皮。

杰业机构计划竞标更多建筑合约,尤其是在沙巴;同时,有意在邦加湾地皮兴建度假村和住宅。

董事部预计,未来新业务可能贡献25%净利,或占净资产的25%。
