1. Announcement Details
Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of SIGN is pleased to announce that Fabriano Sdn Bhd (Company No. 548682 - X), a wholly-owned subsidiary of Signature Cabinet Sdn Bhd which in turn a wholly-owned subsidiary of SIGN, had on 13 May 2016 incorporated a new wholly-owned subsidiary in the United Kingdom under the Companies Act 2006, known as Signature Kitchen (UK) Pte Limited (“Signature UK”).

2. Information on Signature UK
Signature UK was incorporated on 13 May 2016 under the Companies Act 2006 with an authorised share capital of GBP50,000.00 divided into 50,000 ordinary shares of GBP1.00 each and issued and paid-up capital of GBP50,000.00 comprising 50,000 ordinary shares of GBP1.00 each.
Its intended principal activities would be marketing, distribution, import and export of kitchen systems, wardrobe systems, built-in kitchen appliances (“Product”).
The Directors of Signature UK are Mr Tan Kee Choong and Dato’ Chooi Yoey Sun.

3. Rationale for the Incorporation of a new subsidiary company
The above incorporation is to enable the Group to undertake sales of the Product (retail and projects) in the United Kingdom.

4. Financial Effects
The above incorporation does not have any material effect on the share capital, substantial shareholders’ shareholdings, earnings per share and net assets of the Company and its subsidiaries for the financial year ending 30 June 2016.

5. Directors’ and Major Shareholders’ Interests
None of the other Directors and/ or major shareholders of SIGN or person connected to them have any interest, direct or indirect in the said incorporation.

6. Statement by Directors
The Directors of SIGN are of the opinion that the aforesaid incorporation is in the best interests of the Company.

7. Approvals Required
The above is not subject to the approval of shareholders and the relevant government authorities.

胜利者国际第三季净利跌63%

(吉隆坡16日讯)业务表现逊色,拖累胜利者国际(SIGN,7246,主板消费产品股)截至3月31日第三季净利按年减少62.58%。

胜利者国际第三季净赚501万1000令吉或每股净利4.2仙,上财年同季为1339万3000令吉或每股11.2仙。

营业额则按年减少37.53%,至5469万3000令吉。

至于首9个月净利按年收窄51.77%,至1555万2000令吉;营业额则下跌29.1%,至1亿5454万令吉。【南洋网财经】

買入券商心頭好‧ 勝利者國際 售地後或特別派息

合理價:2.02令吉

儘管勝利者國際(SIGN,7246,主要板消費)2016財年每股盈利預測遭下修17%,以反映目前訂單放緩趨勢;但該公司將工業地售予雪州政府,相信有潛能派發每股12.5仙至16.7仙特別股息。

該公司首9個月營業額按年跌29%,淨利則跌52%,不過,我們看見該公司將在2017財年復甦的跡象,因此維持2017和2018財年每股盈利預測,且相信最糟糕的情況已過去。

勝利者國際現有訂單價值約1億5000萬令吉,目前也在競標一些大型工程,包括柔佛碧桂園工程、英國巴特西三分之二工程,並在未來幾個月有機會獲得這些工程。

另外,勝利者國際將哥打白沙羅3.3英畝工業地售予雪州政府,並剛獲得8000萬令吉現金。不過該公司在當地仍有4.2英畝土地,營運和總公司都保留在該地段。

我們相信從土地銷售,該公司有潛能提供高達3000萬至4000萬令吉特別股息,相等于每股12.5仙至16.7仙。截至3月底,勝利者國際有100萬令吉現金。

我們認為,該公司有潛能獲得主要工程,以及短期內潛在的特別股息是重估催化因素,可趁股價低迷時累積股票。【中国报财经】

1.  Announcement Details
Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of SIGN is pleased to announce that the Company’s 60%-owned subsidiary, Signature Aluminium Sdn Bhd (Company No. 683263-V) has on 6 June 2016 subscribed for additional seventy nine (79) ordinary shares of RM1.00 each in the share capital of Signature Design & Technology Sdn Bhd (Company No. 1181804-A) (“SDTSB”), representing 79% of the issued and paid-up share capital of SDTSB  for a total consideration of RM79.00 only (hereinafter referred to as “the Subscription”). Together with the existing one (1) share of RM1.00 each held earlier, the total shareholdings held by SIGN in the share capital of SDTSB is 80 shares representing 80% of the total issued and paid-up share capital of SDTSB. Thus, upon the completion of the Subscription, SDTSB will become an indirect-subsidiary of SIGN.

2.   Information on SDTSB
SDTSB was incorporated in Malaysia on 31 March 2016 under the Companies Act, 1965. The authorised share capital of SDTSB is RM400,000.00 comprising 400,000 ordinary shares of RM1.00 each whilst the issued and paid-up capital is RM100.00 comprising 100 ordinary shares of RM1.00 each.
SDTSB is presently dormant and its proposed nature of business is manufacture, supply, fabrication, and installation of aluminium, glass and aluminium related products for the retail, project business and export markets.
The Directors of SDTSB are Mr. Tan Kee Choong, Dato’ Chooi Yoey Sun and Mr. Ang Chek Peow.

3. Rationale for the Subscription
The Subscription is to enable the Group to undertake business of manufacturing, supplying, fabrication, and installation of aluminium, glass and aluminium related products for the retail, project business and export markets.

4. Financial Effects
The Subscription will not have any material effect on the earnings per share, and net assets per share of the Company for the financial year ending 30 June 2016. The Subscription will not have any effect on the gearing, share capital and substantial shareholders’ shareholding of the Company.

5. Directors’ and Major Shareholders’ Interests
Save for Mr Tan Kee Choong and Dato’ Chooi Yoey Sun who are Directors of SIGN and SDTSB and also major shareholders of SIGN, none of the other Directors and/ or major shareholders of SIGN or person connected to them has any interest, direct or indirect in the Subscription.

6. Statement by Directors
The Directors of SIGN (save for Mr Tan Kee Choong and Dato’ Chooi Yoey Sun), have considered all aspects of the Subscription, are of the opinion that the Subscription is in the best interests of the Company.

7. Approvals Required

胜利者订单强劲‧抵销工程展延影响

(吉隆坡11日讯)尽管胜利者国际(SIGN,7246,主板消费品组)2016年核心净利受工程进度展延影响,惟其积极竞标及拥有强劲订单,获分析员看好2017财政年盈利表现。

达证券于近期会晤胜利者国际管理层后,乐观看待其发展前景。

握1.65亿订单
料再获6千万新合约

达证券表示,该公司于近期成功争取2200万令吉新订单,使得截至今年5月,订单增加至1亿6500万令吉,并提呈4亿令吉的竞标。

该行说,胜利者国际有信心在未来3个月,再额外争取4至5个,总值6000万令吉的项目。

达证券表示,该公司受邀竞标巴特西发电厂(Battersea)第2及3A阶段工程。假设厨房工程约每单位5万令吉,第二期工程有255单位公寓,预计总值230万英镑。

针对碧桂园项目,达证券引述管理层意见表示,基于两家公司没办法针对价钱及合约期限达成共识,该合约协商已宣告停止。

该行补充,胜利者国际管理层进行执行风险分析后,认为一旦进行该项工程,将有可能因为延期而必须面对赔偿。

达证券说,该公司分销厨房业务持续稳定发展,截至今年5月止共出售3000万令吉的现金券予发展商。发展商则将现金券赠送予购屋者,相信在未来两年,购屋者将使用该些现金券。

另外,达证券指出,该公司完成以8000万令吉出售位于哥打白沙罗的土地予地方政府,并已派发每股10仙特别股息。

达证券认为,在出售土地和产业及扣除特别股息后,胜利者国际手上现金约增加5850万令吉,每股现金约24.7仙。

达证券表示,胜利者国际计划拆除现有的仓库以改建一座两层仓库,预计工程将于今年末季展开,并在明年上半年完成。

综合以上,达证券维持胜利者国际“买入”评级及目标价1令吉62仙。

新工程填补放缓.胜利者国际3年财测下调

(吉隆坡1日讯)尽管胜利者国际(SIGN,7246,主板消费品组)手握强劲订单,惟受新工程填补放缓拖累,遭分析员下调2017至2019财政年财测。

订单剧增至2.1亿有助盈利复苏

达证券研究在近期会晤胜利者国际管理层,了解到其手握的订单剧增至2亿1000万令吉,有望助该公司2017财政年盈利复苏,惟却不足以打破2015财政年3650万令吉的盈利记录。

“巴特西发电厂(Battersea)第2a和第3阶段厨房工程已在进行竞标,预计将于2017上半年颁发合约。”

该行认为,大马房产放缓使得发展商展延推出新楼盘,对胜利者国际带来轻微冲击,不过,却因此打开该公司另一个未涉足的新市场。

达证券补充,尤其是价格介于40万令吉至70万令吉的中档产业,已开始免费提供厨房和衣柜配套以吸引买家。

达证券认为2017财政年工程填补将放缓,因此调低2017/2018/2019财政年新工程预测至1亿9360万令吉/1亿9270万令吉/2亿1450万令吉,该3年财政年财测也随着下调23.60%/20.70%/20.30%。

生产设施迁移暂搁置

另外,达证券指出,根据管理层,原先计划将生产设施由哥打白沙罗迁移至恩斯德科技园(Techpark@Enstek)的计划已暂时搁置,原因是该公司在近期兑现部份售地盈余。

该行说,胜利者国际脱售部份土地于雪州政府符合该公司欲释放哥打白沙罗资产价值的目的。

达证券说,恩斯德(Enstek)土地尚未移交于胜利者国际,因此,该公司不急于决定该地段的具体计划。

胜利者国际是于2014年,以5080万令吉或每平方尺30令吉的代价收购占地38.86英亩的恩斯德地段,目前该片土地预计每平方尺价值50令吉至60令吉。

达证券相信该公司为了避开被征收产业盈利税(RPGT),将会继续持有Enstek土地直至5年征税期结束。

“不过,我们预计最终胜利者国际会脱售该土地,以从中兑现脱售盈余3400万令吉(以每平方尺50令吉估算)。”

综合以上,达证券维持胜利者国际“买入”评级,目标价从1令吉62仙下调至1令吉26仙。

读者玫汉问:

胜利者国际(SIGN,7246,主板消费品组)股价屡创新低,目前已跌至81.5仙。请问:

(1)公司最近业绩如何?为何跌跌不休?

(2)公司长远展望如何?是否是买入机会?

(3)可否长远投资?

答:(1)该公司最近业绩,截至2016年6月30日为止第四季,该公司净利为3219万5000令吉(每股净利13.40仙),较前期净利为135万1000令吉(每股净利为0.60仙)。营业额则为4352万7000令吉,前期为5552万3000令吉。

全年净利为4774万6000令吉(每股净利为19.90仙),较前期为3359万6000令吉(每股净利为14.00仙)。营业额则为1亿9806万4000令吉,前期为2亿7349万令吉。该公司每股资产值为66仙。

该公司股价跌跌不休,其中原因可能是它从2013年9月初开始至2015年8月初之间掀起一轮的牛市,即股价从约80仙攀升至3令吉左右水平,相信目前是进入回调巩固的时候。

(2)该公司较长远展望,目前手握2亿1000万令吉的订单,惟由于国内外市场的产业发展领域放缓,预料新工程填补也受到负面影响,使市场谨慎看待其前景及下调其2017至2019财政年财测。

Pursuant to Paragraph 9.04(o) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of SIGN wishes to announce that its wholly-owned subsidiary companies namely Signature Cabinet Sdn  Bhd (“SCSB”), Kubiq Sdn Bhd (“Kubiq”) and Signature Obicorp Sdn Bhd (“Signature Obicorp), have on 22 November 2016 entered into a non-binding Memorandum of Understanding (“MOU”) with Bank Kerjasama Rakyat Malaysia Berhad (“Bank Rakyat”), a licensed financial institution duly incorporated under the laws of Malaysia (collectively referred to as the “Parties”) to explore the possibility of collaborating with each other with regards to the provision of financing facilities titled “Personal Financing-i” (“Current Promotion”) targets select customers from the public and private sectors who desire to upgrade and/or are interested to buy kitchen equipment and appliances from SCSB, Kubiq and/or Signature Obicorp, as the case may be.

Bank Rakyat provides a wide range of personal financing solutions to its customers and regularly launches creative promotional and marketing campaigns whilst SCSB, Kubiq and Signature Obicorp specialise in the marketing and sales of kitchen cabinets, wardrobes and appliances under the established brand names of “Signature Kitchen” and “Kubiq”.

Full announcement on the above will be made in the event the Parties execute a definitive binding agreement.

None of the Directors or major shareholders of SIGN or persons connected with them has any interest, direct or indirect, in the MOU.

胜利者国际擬转型 积极开拓零售业务

(吉隆坡22日讯)由于房市低靡,大马组合式厨房装置分销兼零售商--胜利者国际(SIGN,7246,主板消费股)正计划转型,以成为综合性的大马家居设备零售商;同时,该公司也將积极开拓新的市场和產品,以便占营业额大比重的工程业务得以持续运作。

该公司董事经理陈腾云今日在股东大会后向《东方財经》透露,目前胜利者国际的营业额贡献,70%来自于承接房產发展商的工程,剩余的则是来自分销和零售业务。

陈腾云认为,依靠承接订单作为公司的主要营业额贡献的商业模式,致使营业额表现不稳定。

「如同昨日刚公佈的2017財政年首季业绩,胜利者国际未能及时將订单转换成营业额,是该公司营业额按年减少4.6%的其中一个原因。」

因此,陈腾云希望藉由开拓胜利者国际的零售业务,並研发更多的新產品,以让公司的財务更加稳定。

他举例,在泰国或韩国从事组合式厨房装置业务的上市公司,大多都以零售为主,而韩国的HANSEM公司更是个成功例子。

首季净利跌32%

「我们未来的方向明確,將会逐步提升零售业务佔整体业务的贡献,惟详细的计划仍在探討中。」

胜利者国际昨天公布的2017財政年首季(截至9月30日止)净利按年下跌32%,至334万令吉,同时营业额也跌4.6%,至4281万令吉。

除此之外,胜利者国际表示,將涉足家具业务,让公司的產品多元化。

陈腾云透露,主要客源皆来自购买新房子的客户,因此他冀望往后的客户可以透过胜利者国际,为新家居添置新家具。

他也提及目前手上竞標的工程,当中伦敦巴特西电力站(Battersea Power Station)工程的胜出机率频大,原因分別是;

一、实达集团(SPSETIA,8664,主板產业股)和森那美(SIME,4197,主板贸服股)为该项目的发展商,而大马发展商建议將工程颁发给大马企业;

二、该工程的主要承包商是一家法国公司,而胜利者国际之前曾完成该法国公司在泰国的一项工程,也间接通过了该公司的考察。

房市低靡是该公司趋向转型的因素之一,陈腾云坦言,「在如今的市况下,即使是赚幅不高的工程,胜利者国际还是得硬著头皮承接下来。」

他也补充,未来將会竞標之前从未涉足的市场,如沙巴、砂拉越的工程,以增加手上的订单额。

截至9月30日,该公司手上的订单额约2亿1500万令吉。

今日的股东大会,该公司提议的所有议程皆以大票数通过,包括回购公司不超过10%的股票,以及派发每股2仙终期股息。

另一方面,该公司今天也发文告宣布,旗下3家独资子公司,与人民银行(Bank Rakyat)签署谅解备忘录,以探討为客户提供融资,购买该公司厨房设备的合作。【东方网财经】

胜利者国际合理价多少?

BOB LEE问:

胜利者国际(SIGN,7246,主板消费品组)最新业绩好像退步了,请问前景可以吗?合理价多少?

答:胜利者国际首季营业额与净利皆下滑,惟该公司仍手握4970万令吉净现金,加上未入账销售逾2亿令吉,分析员一致维持该公司原有评级不变。

胜利者国际首季营业额与净利各挫4.7%及30.8%,报4280万令吉及360万令吉。

联昌研究表示,该公司传统上首季业绩属于是较为不理想,不过,手握2亿1500万未入账销售,高于2016财政年全年业绩,可支撑未来的业绩。

联昌补充,上述合约尚不包括柔佛碧桂园产业项目及英国巴特西发电厂产业项目,合约规模各报1亿令吉。联昌认为,碧桂园项目将会交由中国公司进行。

预期2017净利成长18%

达证券表示,该公司竞标合约总值为4亿令吉,预期该公司2017财政年的净利可成长18%至2870万令吉。

该公司核心业务为组合式厨房装置及厨房柜设计的分销及零售。

联昌表示,基于产业冷风飕飕,许多发展商产业销售项目仅在60%至70%,进而影响了胜利者国际业务。

联昌说该公司在2014年时,以5080万收购森美兰39英亩地库,以充作拓展业务用途,上述地库市场价格已经接近1亿令吉,目前,尚未得知该公司将会出售或发展。

达证券认为,该公司将会脱售相关地库,以赚取该地块的价值。

联昌补充,若该公司脱售上述地库,可取得1亿令吉现金或每股42仙。

达证券说,该公司未来主要盈利来源包括攫取碧桂园、巴特西合约及攻占新的市场。

综合上述看法联昌及达证券一致维持“加码”及“买进”评级不变,不过联昌忧虑胜利者国际无法获得碧桂园合约,因此下砍该公司2017及2019财政年的每股净利预测,目标价也从1令吉62仙下调至1令吉30仙。

达证券认为胜利者国际每股净现金达20仙,可用于派发特别股息或回购,2017年本益比为10倍。
