Bhd, the wholly-owned subsidiary of LFE Engineering Sdn Bhd (“LESB”), in turn a sub-subsidiary of LFE (“LE(JB)SB”) had entered into a Share Sale and Purchase Agreement (“SSA”) with Pembinaan Keamanan Sdn Bhd (“PKSB”) (“the Party” or “the Parties”) to dispose-off its 100% equity interest comprising of 50,000 ordinary shares (“Sale Shares”) for a cash consideration of Ringgit Malaysia Ten Thousand (RM10,000.00) only  subject to the terms and conditions as stipulated in the SSA (“the Disposal”). Upon completion of the Disposal, LE(JB)SB shall be ceased as the wholly-owned subsidiary of LESB, in turn ceased to be a sub-subsidiary of LFE. The details of the announcement is attached herewith. The size of Land involved is approximately 109 acres. 2.  The entitlement of the Project Manager is determined through mutual agreement between the landowner and the Project Manager via direct negotiation. The justification for the RM21 million profit is established on the following grounds: (i) The profit margin is calculated considering that the amount of advancement by the Project Manager does not exceed RM8 million. (ii) The Project Manager's responsibilities extend to overseeing the development of a substantial area of 109 acres of land.
