Description
We refer to our announcement dated 27 June 2012 in relation to the provision of Financial Assistance pursuant to Paragraph 8.23(1)(ii) and Practice Note No. 11/2001 of the Listing Requirements of Bursa Malaysia Securities Berhad.

The Board of Directors of SYF Resources Berhad (“SRB”) wishes to update that as at 31 October 2012, the outstanding amount of the financial assistance of RM6.0 million which was rendered to a supplier of the Company had been reduced to RM79,944. As at to-date, the said financial assistance had been fully settled.

The provision of financial assistance had no significant impact to the net earnings of SRB Group for the quarter ended 31 October 2012.

This announcement is dated 18 December 2012.

传木材大亨加码 英芝肯尼股价扬9%

(吉隆坡17日讯)市场传闻木材大亨黄亚财有意加码英芝肯尼(Incken,2607,主板种植股),该股今日大幅攀升9.23%。

《商业时报》报道,黄亚财去年10月崛起成英芝肯尼大股东以来持股权已达8至9%,并有意再增持。

黄亚财也是国内大型橡胶木家具制造商———SYF资源(SYF,7082,主板消费产品股)主席。

Mercury证券研究主管谭明子排除黄亚财恶意收购的可能:“这是较友善的策略,我不认为黄亚财购股是纯粹投资,可以假设他要创造业务协同效应。”

他表示,或许英芝肯尼和SYF资源计划联营或合作,但不太可能合并。

回购股票

英芝肯尼今日半日已上扬11仙或11.34%,早盘报1.08令吉;午盘该股涨势无阻,最后以1.06令吉报收,全日涨幅达9仙或9.23%,成交量有1898万4600股,是今日十大热门股之一。

该股目前以低于1.16令吉每股净资产的水平交易。根据兴业投资研究,估值应该介于1.77至1.88令吉。

据了解,英芝肯尼也一直回购股票,自去年12月27日以来公司已回购639万股,库存股达675万股。

英芝肯尼主席拿督阿德南马鲁夫曾在2008年年报中指出,希望有财务实力的买家献购,出价可介于每股80至85仙。[南洋财经]

SYF 资源购英芝肯尼20%? 董事部周三决议

(吉隆坡21日讯)消息传SYF资源(SYF,7082,主板消费产品股)董事局将在周三召开会议,议决收购英芝肯尼(Incken,2607,主板种植股)20%持股权。

消息人士告诉《南洋商报》,SYF资源董事局将在周三的董事会上决定管理层提出的建议,以决定是否收购英芝肯尼20%股权。

如果董事局同意上述建议,将寻求控制这家拥有丰富现金及土地的公司。

SYF资源主席黄亚财近日也积极增持SYF资源股权,持股权已增至4218万股或相等于10.18%。[南洋商报财经]

SYF RESOURCES BERHAD (“SYF” OR “COMPANY”)
- Update on the Joint Venture between SYF Development Sdn Bhd (“SYFD”), a wholly-owned subsidiary of SYF, and Astana Baru Sdn Bhd (“Astana”), a wholly-owned subsidiary of Kiara Susila Sdn Bhd, to jointly develop five (5) adjoining pieces of vacant commercial lands identified as lot nos. PT 25263 to 25266 and PT 30291, Mukim of Semenyih, District of Ulu Langat, Selangor Darul Ehsan, measuring in aggregate approximately 5.02 acres (“Kiara Plaza Lands”) into a commercial development
Reference is made to the announcement dated 15 November 2011. The defined terms used in this announcement shall carry the same meaning as defined in the earlier announcements.

The Board of Directors of SYF wishes to announce that SYFD and Astana have mutually on 18 March 2013 agreed on the execise of SYFD’s rights in accordance with Clause 4.5 of the JVA and are waiving the condition to obtain such other approvals from the Appropriate Authorities, which include the obtaining of the building plans approval on the Kiara Plaza Lands and such other incidental approval from the  Appropriate Authorities for the development of the Project, to enable SYFD to proceed immediately with the development of the Project following the obtaining of the development order on the Kiara Plaza Lands on 21 December 2012.     

Subsequent to the above, the JVA shall become unconditional on 18 March 2013 and shall be completed in accordance with the provisions of the JVA.

(吉隆坡2日讯)SYF资源(SYF,7082,主板消费产品股)独资子公司———SYF发展私人有限公司,以1600万令吉购入乌鲁冷岳一块占地2.9921公顷的永久农业土地。

根据文告,根据KGV国际产业咨询(马)私人有限公司的独立估值,上述地段的公开市值为1642万5000令吉。

据知,该地点毗邻Wira Heights围篱半独立式房屋计划,接近双溪龙高尔夫乡村俱乐部。

“双溪龙地区发展良好,拥有卓越产业发展潜能,一旦批准与土地转换程序完成,即可推介住宅产业计划。”

SYF资源表示,购地款项将通过内部融资和贷款完成,假设需借贷70%的款额,公司负债率则将从0.233倍提高至0.308倍。[南洋网财经]

- Acquisition of Property by SYF Development Sdn Bhd, a Wholly-owned Sub-subsidiary of SRB
1.         INTRODUCTION
The Board of Directors of SYF Resources Berhad (“SRB” or “the Company”) wishes to announce that SYF Development Sdn Bhd (“SYFD”), a wholly-owned sub-subsidiary of SRB, has on 1 July 2013, entered into a Sale and Purchase Agreement (“SPA”) for the acquisition of a freehold agriculture landmeasuring 2.9921 hectares (“Property”) for a cash consideration of Ringgit Malaysia: Sixteen Million (RM16,000,000.00) only [collectively referred to as “Property Acquisition”].   

2.         DESCRIPTION OF THE PROPERTY
Held under title GRN 33372, Lot 2883, Mukim Cheras, Daerah Ulu Langat, Negeri Selangor Darul Ehsan, the Property is currently vacant and free of encumbrance.

Based on the indicative valuation issued by an Independent Registered Valuer, KGV International Property Consultants (M) Sdn Bhd dated 24 June 2013 which was issued by Sr Anthony Chua Kian Beng, the Property has an open market value of RM 16,425,000.00 using the comparison method of valuation.                           

Zoned for residential use, the Property is located in the Sungai Long residential area within the immediate vicinity of the Sungai Long Golf and Country Club. It adjoins an existing gated and guarded semi-detached housing project known as Wira Heights.                                                                                            
As the adjacent land has been developed with gated and guarded semi-detached houses, the Property is suitable and has good potential for development into a residential project.

The Company is unable to procure the original cost of the Property as we being the purchaser, are not privy to such information.

3.         INFORMATION ON SYFD
SYFD was incorporated in Malaysia on 19 September 1989 under the Companies Act, 1965 (“Act”) as a private limited company under the name of Twenty-One SJ Sdn Bhd. It subsequently changed its name to SYFD on 3 October 2011.  SYFD is a wholly-owned subsidiary of SYF Venture Sdn Bhd which in turn is a wholly-owned subsidiary of the Company. SYFD’s business activity is to undertake property development projects.

The authorised share capital of SYFD is RM5,000,000 comprising 5,000,000 ordinary shares of RM1.00 each of which RM2,100,000 comprising 2,100,000 ordinary shares of RM1.00 have been fully paid-up.

The directors of SYFD are Ng Ah Chai, Dato’ Sri Chee Hong Leong, J.P. and Cheong Yee Kiong.

4.         INFORMATION ON THE VENDOR
The vendor is an elderly Singaporean individual namely Ho Kim Yoke (Singapore identity card no. S0782388F).

She is unrelated to any of SRB Group’s directors and major shareholders or persons connected to them.

5.         DETAILS OF THE PROPERTY ACQUISITION
Salient terms and conditions of the Property Acquisition:-

(i)         Payment
The SPA provides, amongst others, the following:-

a)    A deposit of 10% of the purchase price, amounting to RM1,600,000.00 has been paid upon execution of the SPA.

b)    The balance 90% is payable within ninety days from the date of the SPA failing which an extension period of sixty days will be granted during which interest at the rate of 8% per annum will  be payable on the unpaid balance purchase price until the actual date of payment. A final extension of thirty days will be allowed during which interest at the rate of 10% per annum will be charged.

(ii)        Basis of the Purchase Consideration for the Property
The purchase price is based on a willing buyer-willing seller basis and the open market value as stated under item 2 above.

(iii)       Liabilities to be Assumed
The property is being purchased free of encumbrance and no liabilities are to be assumed by SYFD

6.         MODE OF FINANCING
The purchase consideration will be financed by the Group’s internal funds and external borrowings.

7.         RATIONALE
With its location in the well-established and sought after area of Sungai Long, the Property has good development potential and would be ready for launch once all approvals and conversion are completed.
The Property Acquisition will enable SYFD to replenish its land bank in property development.

8.         FINANCIAL EFFECTS
As the Proposed Acquisition will be completed after the financial year ending 31 July 2013, there will be no effect on the net profit, net assets and earnings of the Group in the current financial year ending 31 July 2013, but will contribute positively to the earnings of the Group in future.

Assuming that external borrowing of 70% of the purchase consideration is raised, the gearing of the Group will increase from 0.233 to 0.308 times of the equity of SYF Group.

There will be no effect on the share capital and substantial shareholders’ shareholding of the Group.

9.         RISK FACTORS OF THE PROPOSED ACQUISITION
The Proposed Acquisition will expose the Group to risks inherent in the property industry.  These risks primarily include demand for and supply of residential semi-detached houses, interest rate fluctuations, availability of end-financing, increased competition, constraints in labour supply and changes in the legal and environmental framework governing the property and/or property development sector.  No assurance can be given that any changes to these factors will not have any adverse effects on development of the property.  However, the Group will seek to limit these risks through inter-alia, close monitoring and planning, prudent financial policy, effective human resources management and insuring all relevant risks.  

10.       INTEREST OF DIRECTORS, MAJOR SHAREHOLDERS OR PERSONS CONNECTED WITH THEM
None of the Directors, major shareholders or persons connected with them has any interest, direct or indirect, in the Property Acquisition.

11.       APPROVALS REQUIRED
SRB does not require the approval of its shareholders or any regulatory authority to acquire the Property.

12.       HIGHEST PERCENTAGE RATIO
Pursuant to paragraph 10.02(g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the highest applicable percentage ratio is 11.0% based on the purchase consideration taken against the net assets of the Group.

13.       STATEMENT BY THE BOARD OF DIRECTORS
Having considered all aspects of the Property Acquisition, the Board of Directors of SRB is of the view that the transaction is in the best interest of the Group.

14.       ESTIMATED TIME FRAME
The SPA provides for a period of ninety days months with an extension of sixty days and a final extension of thirty days for completion from the date of the SPA.

Upon completion of the SPA, SYFD will proceed, as soon as possible, to apply for conversion of the Property to residential use and subsequently for all the necessary planning and development approvals.

15.       DOCUMENTS FOR INSPECTION
A copy of the SPA dated 1 July 2013 and letter of indicative valuation dated 24 June 2013 are aailable for inspection during office hours by the shareholders of the Company for a period of three (3) months from the date of this announcement at the Company’s registered address at Level 18, the Gardens North Tower, Mid Valley City, Lingkaran Syed Putra, 59200 Kuala Lumpur.

SYF 资源否认发凭单

(吉隆坡26日讯)SYF资源(SYF,7082,主板消费产品股)澄清,暂时无意发行新凭单,但不排除未来会探讨相关计划。

《商业时报》周五引述不愿具名消息报道,SYF资源计划延长凭单届满时限,并正厘清有关详情,以获取股东和监管单位批准明年发凭单。

SYF资源今天发出文告否认有关报道并表示,即将在9月30日届满的凭单已发行10年,故不会再度延期。

此外,SYF资源也强调,管理层未决定是否发行新凭单。

“若有需要,管理层未来或考虑发行凭单。一旦决定,公司将马上对外公布。”[南洋网财经]

CLARIFICATION ON PRESS RELEASE
We refer to the article headlined “SYF Plans New Stock Warrants” appearing in the Business Times section of today’s edition of the New Straits Times, in particular the following extracts:-

1.       “Market talk is that SYF is seeking to extend the expiry date of the warrants”
We wish to inform that as the existing warrants will have been in existence for ten years upon their expiry on 30 September 2013, the said warrants cannot be further extended.

2.       “It is understood, SYF is ironing out details and hopes to get shareholders’ and regulators’ approval to launch new stock warrants by early next year”  
At this moment, the Board of SYF has not made any decision to proceed with any issuance of new stock warrants. The Board may consider to issue such warrants in future if and when deemed appropriate. An announcement will be immediately made once such a decision is reached.

(吉隆坡18日讯)产业发展业务营收下滑,促使SYF资源(SYF,7082,主板消费产品股)截至10月31日现财年首季净利下跌5.37%。

根据文告,SYF资源当季净利为463万5000令吉,相等于1.7仙每股盈利,较上财年的489万8000令吉,滑落5.37%。

该公司在业绩报告中指出,由于政府打房奏效,加上人力短缺促使工程进度缓慢,产业发展营收大幅下滑,抵消了刨花板业务的良好盈利表现。

首季营收则从去年同期的5807万1000令吉,扬升6.93%至6209万4000令吉。[南洋网财经]

每股65仙 大股东献购成业资源

(吉隆坡13日讯) 成业资源(SYF,7082,主板消费股)接获大股东黄亚才的全面收购献议,以每股0.65令吉的价格收购所有不属于他的股权。        

该公司今日下午2点30分暂停交易1个小时以作出这项宣布,该股今日低开,早盘结束之前一度达到0.70令吉的全天最高水平,3点30分恢复交易之后,该股逐步回吐涨幅,最终收在0.645令吉,全天上涨0.15仙,成交量达556万7100股。

黄亚才今日通过场外交易,向丹斯里许志国购买成业资源5648万5000股的股票,或相等于20.73%的股权,在购买这批股权之前,黄亚才及与其行动一致的人士,已经持有成业资源约29.76%的股权,因此,在完成收购之后,其持股增加至50.50%,触动强制性全面收购机制,必须对其余1亿3485万股作出全面献购。

黄亚才目前是成业资源的执行主席兼首席执行员,他目前直接持有公司50.27%的股权,並持有150单位的雇员认股权证,这项僱员认股权的持有人,可以在2017年5月8日的截止日期之前,以每股50仙的价格,认购成业资源的股票。

黄亚才及其姐妹黄美兰及黄金兰(人名译音),共持有公司50.50%的股权。

黄亚財也是印则肯勒(IncKen,2607,主板种植股)的大股东,持股12.47%。

献购方表示仍有意维持公司的上市地位。

独立顾问: 出价公平合理 SYF 资源股东应接受献购

(吉隆坡15日讯)SYF资源(SYF,7082,主板消费产品股)执行主席兼总执行长黄亚财出价每股65仙献购,独立顾问建议小股东接受。

独立顾问达证券认为,黄亚财提出献购价公平且合理,建议小股东们接受献售。

“该股交投并不活跃,每月平均交易量大约292万股。所以,这项献购建议给投资者有价值的退场机会。”

达证券说,65仙献购价相等于63仙股价实质净资产价值(RNAV)溢价2仙或3.17%。

“我们认为65仙的献售价合理且公平,建议小股东接受。”

今年3月,黄亚财从公开市场和丹斯里许志国手中,购入20.73%股权,至手持50.50%,之后出价每股65仙(较5日加权平均价格高4.84%),展开强制全面献购(MGO)。

黄亚财所购得的20.73%股权,其中19.93%或5448万5000股来自许志国,后者也不再是大股东。

许志国是在2012年中,透过私人投资公司HCK Equities,以每股60仙购入该批SYF资源股权。

黄亚财曾表示,会保留SYF资源的上市地位。

股价平盘挂收

强制全面献购消息传出后,SYF资源股价在4月3日扬至66仙新高。

We wish to inform that the Company has today received a press notice from RHB Investment Bank Berhad, on behalf of the Offeror, informing that the Offer has closed at 5.00 p.m. (Malaysian time) on 24 April 2014 ("Closing Date") ("Press Notice").

Further, we wish to inform that as at the Closing Date, the public shareholding spread of SYF is 22.54%. As a result, SYF does not comply with the public shareholding spread requirement ("Public Spread Requirement") as set out under Paragraph 8.02(1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities") ("Listing Requirements").

As set out in Section 4 of the Offer Document, it is the intention of the Offeror to maintain the listing status of SYF. Accordingly, the Offeror will explore various options or proposals within three (3) months from the Closing Date or such extended timeframe as allowed by the relevant authorities to rectify the shortfall in the public shareholding spread of SYF. In such circumstances, the Offeror will endeavour to place out a sufficient number of SYF Shares or procure SYF to carry out a subsequent corporate exercise in order to rectify the shortfall in the public shareholding spread of SYF.

However, in such circumstances where SYF still fails in complying with the Public Spread Requirement after exhausting all possible options or proposals to rectify the shortfall in the public shareholding spread, SYF may consider applying to Bursa Securities for a lower percentage than 25% pursuant to Paragraph 8.02(1) of the Listing Requirements.

An application to the Bursa Securities to seek an extension of time to comply with the Public Spread Requirement will be made in due course. The Company will make the necessary announcements in relation to the status of its efforts to comply with the Public Spread Requirement every quarter of its financial year in compliance with the Listing Requirements.

The detailed disclosure on the level of acceptances of the Offer as at 5.00 p.m. (Malaysian time) on the Closing Date, in accordance with Section 26(1) of the Malaysian Code on Take-Overs and Mergers, 2010, is set out in the Appendix of the Press Notice.

(吉隆坡12日讯)英沙(INSAS,3379,主要板金融)以2887万令吉,收购成业资源(SYF,7082,主要板消费)10%股权。

英沙向马证交所报备,独资子公司,即Insas Plaza私人有限公司,今日收购成业资源的2750万股或10%股权,收购总价2887万5000令吉。
