（吉隆坡4日讯）华明包装（BRIGHT，9938，主板工业产品股）前董事洪丽清声称，她的辞职信和财报董事声明中的签名为伪造，惟公司强烈否认。

根据文告，洪丽清发出律师信，称她志期3月11日的辞职信，还有截至去年8月31日财报的董事声明中，她的签名皆为伪造。

不过，华明包装强烈否认这项指控，称之毫无根据且带恶意，因此已指派律师采取必要法律行动，也考虑告她毁谤。

该公司去年1月掀起董事部风波，洪丽清亦属挑战派，在成功入主董事部后担任执行董事，但根据文告，她在今年因本身时间有限，难以处理公司业务，而在3月辞去职务。

亚洲媒体控前CEO诽谤

（吉隆坡11日讯）亚洲媒体（AMEDIA，0159，主板贸服股）入禀法庭，起诉前任总执行长洪礼谦（译音）诽谤该公司声誉。

该公司向马交所报备，洪礼谦声称亚洲媒体在截至2012年底以及2013年底的财报中，出现违规项目。

亚洲媒体指出，这项指控毫无根据，且意图不轨，公司已委托律师对洪礼谦的行为采取法律行动，并考虑提控后者诽谤。

该股今日闭市时报9仙，起0.5仙，全日交投1037万2700股。【南洋网财经】

The Plaintiff’s primary claim against the Company is that there are irregularities in the Statutory Declarations in respect of the Financial Statement of the Company for the financial years ended 31 December 2012 and 31 December 2013 (“Financial Statements”) on the ground that her signatures in the said Financial Statements have been forged. （吉隆坡11日訊）亞洲媒體（AMEDIA,0159,創業板貿服組）遭子公司——亞洲媒體私人有限公司首席財務員起訴公司2012和2013財政年財報法定聲明（Statutory Declaration）存在“違法”行為，但公司股價卻穩中走揚，絲毫不受負面消息影響。

該股週四表現平穩，以8.5仙平盤開出，股價即在窄幅間游走，終場起0.5仙至9仙全日最高。

興業研究交易商認為，亞洲媒體遭子公司前首席財務員起訴自然是負面消息，但其股價在過去幾個月已相對低迷，若現有股價已處於低位，股價恐難再創新低了。

“股價窄幅波動已顯示出投資者早將相關因素納入考量，並未受上述消息影響。”

被告稱，其在亞洲媒體2012和2013財政年財報法定聲明的簽名遭到偽造，但亞洲媒體否認相關指控毫無根據，並出於惡意，因此已指示律師提呈必要的法律文件進行抗辯，並考量對被告提起誹謗訴訟。（星洲日報／財經）

拟在砂联营油棕园 亚洲媒体进军种植业

（吉隆坡12日讯）数码户外传送电视公司亚洲媒体集团有限公司（AMEDIA，0159，贸易服务组），已与一家砂拉越公司联手，发展砂拉越民丹莪一幅面积约4361公顷土地，为一座油棕园。

在致给大马交易所的文件中，亚洲媒体集团说，其独资子公司DPO种植私人有限公司，已与Batu Emas资源私人有限公司签署一份协议备忘录，以透过一家将成立的公司，落实这项联营。

亚洲媒体集团的主要业务是利用数码电子显示提供信息娱乐和广告。

在协议下，DPO种植将分2阶段支付125万令吉予Batu Emas资源。上述土地包括2661公顷原住民习俗土地权、1000公顷相连地段和700公顷相连国有土地。

与此同时，Batu Emas资源则将拥有联营公司的信托土地。

DPO种植也将透过砂拉越州政府代理机构，土地保管发展局（PELITA），支付每公顷480令吉，予上述原住民习俗土地权拥有人。

而Batu Emas资源将获得1000公顷相连上述原住民习俗土地权地段和700公顷相连国有土地达长60年，以成为油棕种植园发展的部分地段。

上述联营公司的60%股权将由DPO种植拥有，30%归Batu Emas资源及其余10%是由砂州政府代理机构，土地保管发展局持有。

上述备忘录尚待砂拉越土地发展局的批准，以让DPO种植合伙Batu Emas资源，发展为一座油棕园。

一旦获得放行，Batu Emas资源和DPO种植将签署一份相关上述土地的转租协议，初期是由联营协议起的至少60年，并拥有选择权延长另外60年。

亚洲媒体集团表示，若任何条件未能达致，Batu Emas资源将回退所有款项予DPO种植。

（吉隆坡12日讯）亚洲媒体（AMEDIA，0159，主板贸服股）建议，进行一系列企业活动，包括削减面值、整合股票、发行附加股送凭单及多元化业务至棕油种植。

根据文告，公司首先将把每股面值10仙的股票，削减8仙，至每股面值2仙。

之后，再把每5股每股面值2仙的股票，整合成1股面值10仙的股票。

完成后，亚洲媒体建议发行高达9亿7976万1673股附加股，以及3亿2658万7224免费凭单。

每持有1股的股东，可认购3股附加股和1凭单。

假设附加股发售价为每股10仙，公司最高可筹得9797万6000令吉，最低则达7183万9000令吉。

从该活动筹得的资金，将用于租用种植地、发展棕油种植业务、种植业务的营运资本、种植业务的产业和设备，以及相关企业活动的开支。

多媒体广告竞争大

在4月间，亚洲媒体子公司DPO种植私人有限公司，宣布与Batu Emas资源私人有限公司缔结联营，在砂拉越种植油棕。

根据联营计划，该公司将进军上游棕油业，而多元化业务将带来增长前景，有助提振未来净利表现。

目前，公司主要涉及的业务，是多媒体广告服务、媒介传播、商业化电缆电视播送网络解决方案，以及相关支援服务。
