林刚河豁免全购合理 怡克伟士小股东宜放行

(吉隆坡26日讯)作为独立顾问的侨丰投资银行指出,怡克伟士(Ekovest,8877,主板建筑股)大股东丹斯里林刚河等人,在换股计划后寻求豁免强制性全面收购(MGO)“合理”,建议小股东在股东特别大会上投赞成票。

怡克伟士日前建议予Wira Kristal私人有限公司换股,以持有白沙罗淡江达到(DUKE)大道经营权。

公司将以每股2.75令吉发售1亿2672万新股予Wira Kristal大股东林刚河和拿督安里斯安敦胡申,以持有后者100%股权。

换股计划后,林刚河等人的持股权将从42.12%提高至66.13%,也就是在6个月时间提高持股权2%,并超过33%比例,进而触发强制性全购活动。独立顾问侨丰投资银行的报告指出,豁免献议合理,因此建议小股东在4月7日的特大投票通过。

该行也认为2.75令吉的发售价合理、不损害股东利益且接近怡克伟士目前股价。

该股今日以2.78令吉挂收。

另一方面,独立顾问Ferrier Hodgson MH也建议小股东同意“合理、不损害股东利益”的换股献议。

融资大道工程 怡克伟士擬发附加股

(吉隆坡17日讯)怡克伟士(EKOVEST,8877,主板建筑股)料在今年內发行附加股,为总成本高达11亿8000万令吉的第二大使路淡江大道(DUKE2)进行融资。

怡克伟士首席执行员林景清今日指出,该集团是在2012年12月3日签署有关协议,必须在一年之內,即2013年12月2日之前履行所有条款。

若无意外,怡克伟士可在2014年展开这项为期三年的大道延伸计划,在完成建筑工作后成为特许经营权业者。

「我们会先与大使路淡江大道(DUKE)的债券持有人开会,看看他们愿意投入多少资金。倘若无法获得足够资金,我们可能要发附加股给怡克伟士的股东。」

他补充,该集团將儘量避免银行贷款,以免公司负债率提高。

林景清是在今天出席怡克伟士的股东特大后,召开记者会时发表以上谈话。

怡克伟士的股东已在特大上通过议案,让该集团透过发新股的方式,以总值3亿2568万令吉,收购WiraKristal私人有限公司的全数股权。

怡克伟士大股东丹斯里林刚河和拿督哈里斯原本各持有WiraKristal的40%以及60%股权。隨著俩人在注入资產后將获得新股,怡克伟士的大眾持股率將从57%,降低至33%。

维持上市地位

由于林刚河和哈里斯皆有意维持怡克伟士的上市地位,所以豁免进行全面献购。无论如何,在公司股本扩大后,其每股盈利(EPS)很可能被稀释。

WiraKristal目前是与马资源(MRCB,1651,主板建筑股)联手掌控Nuzen,前者持有70%股权,后者则持有30%股权。Nuzen持有Kesturi的100%股权,后者是大使路淡江大道的特许经营权持有者。

林景清表示,怡克伟士选择收购WiraKristal,而不是Nuzen或Kesturi,是为了保持与马资源的联营关係。

林景清说,完成收购WiraKristal后,怡克伟士在未来20至30年將获得稳定的现金流。

「大使路淡江大道在2012年的过路费营业额为8190万令吉,从2009年至今都享有双位数成长。到2039年之际,该大道料將带来多达89亿令吉的总现金流。」

另一方面,林景清重申,由林刚河掛帅的Iskandar Waterfront控股(IWH),虽已完成全面献购地不佬盛大(TEBRAU,1589,主板產业股),但仍有意维持后者的上市地位,而不打算进行私有化活动。

林景清是林刚河的姪儿,他同时兼任地不佬盛大执行董事。针对IskandarWaterfront控股的双边上市计划,林景清不愿作出任何回应。他仅表示,怡克伟士將积极参与依斯干达海滨的发展计划,尤其是该集团在柔佛金海湾(DangaBay)坐拥25英亩的地库。

怡克伟士將在今年第三季推出毛发展总值(GDV)估计达16亿令吉的蕉赖生態商业公园(Eco Business Park)。

此外,该集团在沿著「生命之河」(River Of Life)的地区也將推出毛发展总值达35亿令吉的產业计划。因此,怡克伟士在大吉隆坡的合计毛发展总值高达51亿令吉,总地库的面积多达30英亩。

其中,怡克伟士也將透过子公司竞標蕉赖生態商业公园总值8亿令吉,以及「生命之河」总值15亿令吉的建筑合约。

(吉隆坡6日讯)怡克伟士(EKOVEST,8877,主板建筑股)周二出现高达20.81%股权的场外交易,交易价为每股2.35令吉,比闭市价2.78令吉折价15.5%。

股市数据显示,上述场外交易的股票数量达6358万2000股,以每股2.35令吉交易价计算,总值1亿4941万9000令吉。

怡克伟士拟发债23亿 发展第二期DUKE大道

(吉隆坡24日讯)消息传,怡克伟士(EKOVEST,8877,主板建筑股)旗下持有大道特许经营权子公司,计划发行23亿新债券,来发展白沙罗淡江大道(DUKE)第二期的计划。

“除了12亿令吉将用于DUKE第二期计划的融资,也有8亿2000万令吉作为DUKE首阶段现有债券的再融资。”

《The Edge》财经日报引述相关执行人员,如是表示。他也透露,DUKE目前的交通流量一直以来都不错,并达到工程顾问所设的目标。

怡克伟士昨日向马交所报备,已向股东发出寻求通过DUKE第二期发展计划的通知。

报导也指,预期握有DUKE首阶段8亿2000万令吉现有债券的债权人,将在9月25日(周三)对该债券的赎回及新发行事项进行投票。

该执行人员表示,一旦债权人点头批准,及所有事项都敲定,DUKE第二期的建筑工程将最快可在今年11月启动,并在3年内完成。

“除了稳定收入,DUKE第二期也可为怡克伟士贡献建筑营业额。

DUKE第二期也可提高怡克伟士位于鹅唛(Gombak)地库的交通连接性,该地库已被计划成发展总值达数十亿令吉的房地产项目。”[南洋网财经]

怡克偉士多元化業務看好

(吉隆坡31日訊)怡克偉士(EKOVEST,8877,主板建筑組)目前估值雖較同儕高,但基於該公司不再是單純的建築公司,而是集合建築、產業發展和大道業務一身的企業,價值可能達3令吉22仙。

根據肯納格研究,怡克偉士目前以2014財政年盈利的11倍本益比交易,相對其他中小資本的建築同儕,平均估值介於8至9倍,怡克偉士可能看來“昂貴”,然而,隨該公司已多元化業務至產業發展,估值可能達2令吉86仙至3令吉22仙,因而予怡克偉士“短線買進”評級。

肯納格看好怡克偉士多元化業務至產業和基本建設業務的前金,除大使路―淡江大道(DUKE)將在明年帶來一些盈利,該公司最近推介的Eko Cheras計劃將開始在明年貢獻淨利。

肯納格表示,大道業務成為怡克偉士成長的進一步催化劑,而DUKE 2也將提振該公司總訂單,自目前2億3千萬令吉達約14億令吉.至於該公司多元化至產業發展也令人可期,Eko Cheras產業計劃的總發展總值達16億令吉,並將持續至2017年。(星洲日報/財經‧報道:陳曉雯)

提20亿公路计划 怡克伟士信心满满

(吉隆坡13日讯)怡克伟士(EKOVEST,8877,主板建筑股)已经向政府提呈两项价值20亿的公路建设计划,目前正等待政府的的回应,预测在6个月后会有结果。       

怡克伟士董事经理林景清表示,有信心能够获得政府批准。若获得政府的同意,他预计,有关项目將会为公司的总发展价值(GDV)带来正面的贡献。

林景清仅透露,该公路建设计划座落在吉隆坡地区,至於其他详情,到合適的时候,就会向大眾公佈。另外,对於依斯干达滨海控股(Iskandar Waterfront)展延首次公开售股(IPO)一事,林景清不置可否。

依斯干达滨海控股是怡克伟士创办人丹斯里林刚河旗下的公司。林刚河通过Credence资源私人有限公司及怡克伟士持有依斯干达滨海控股,林景清则是林刚河的侄儿。

不回应依斯干达IPO

依斯干达滨海控股早前表示將寻求上市大马交易所。不过,近期有传言指,政府的打房措施打乱了公司的计划,因此有意展延上市行动。

然而,林景清在週三出席怡克伟士股东特大后会见记者时,不愿对此作出回应。週三的股东特大主要是针对淡江大道第二期计划,寻求股东的批准。

鑑於淡江大道(DUKE)为巴生谷地区的居民带来方便,怡克伟士计划推出淡江大道第二期(DUKE2)计划,分別扩展出长达7公里长的斯里白沙罗路线及9公里长的敦拉萨路线。

林景清指出,这两条路线將会衔接第二中环大道(MRR2)及第一中环大道(MRR1)该项计划在週三召开的股东特大,已经获得股东支持通过。

该工程的总耗资为11亿8300万令吉,並且定在两个星期內(11月尾)动工,预计在2016年尾完成。

他指出,DUKE2建成后,驾驶人士从旺沙玛珠(Wangsa Maju)到八打灵再也会更加方便,同时,也连带提升房產价格。

DUKE 2正面贡献

在股东特大报告资料显示,该公司目前的负债率是0.99倍,但在DUKE 2进行后,將会提高至3.09倍。

另外,林景清补充,在上个財政年的公路建设为公司带来10%的营业额增长,因此,预测DUKE2將对未来营业额带来正面的贡献。

林景清也透露,该公司在未来也將进一步增加房產发展项目,並预计在2020年,公司的房產营业额將会达到60亿令吉。

他也希望公司旗下的3项业务,即公路建设、基础设施和房產领域,在未来两年的营业额比重將分別达到30%、30%和40%。

「房產在去年没有为公司带来收入贡献,但公司希望在两年里提高至40%比重。」

林景清指出,公司的產业发展主要还是著重于吉隆坡一带,在这地区拥有34英亩的地库,另外在柔佛依斯干达特区也有25英亩的地库,但相信在近两年內都不会展开当地的发展计划。

他表示,公司目前在蕉赖总值10亿的房地產项目,认购率达到70%,下一个发展项目將是座落在文良港。

怡克伟士发24.8 亿回债

(吉隆坡2日讯)怡克伟士(EKOVEST,8877,主板建筑股)宣布通过子公司发行总值24.8亿令吉的债券,部分供融资白沙罗淡江大道(DUKE)计划。

根据文告,怡克伟士持股70%子公司-Konsortium Lebuhraya Utara-Timur(吉隆坡)有限公司,宣布发行23亿令吉的Musharakah回教债券,以及1亿8000万令吉的次级债券(Junior Bonds)。

大马评估公司(MARC)分别给予该Musharakah回教债券以及次级债券AA-IS和A-评级,并认为展望稳定。

文告指出,部分融资所得将作为白沙罗淡江大道(DUKE)第二期计划部分建筑、发展和融资成本,以及相关费用。

此外,该公司也计划将部分资金用于赎回之前8亿2000万令吉面值的回教中期票据以及5000万令吉可赎回担保次级债券用途。[南洋网财经]

Proposed issuance of Islamic medium term notes under the Shariah principle of Musharakah (“Sukuk Musharakah”) pursuant to an Islamic medium term notes programme of up to RM2,300 million (“Sukuk Programme”) and redeemable secured junior bonds of up to RM180 million in nominal value (“Junior Bonds”) by Konsortium Lebuhraya Utara-Timur (KL) Sdn Bhd (“Kesturi”)
The Board of Directors of Ekovest is pleased to announce that Kesturi, our 70% owned subsidiary, had on 2 December 2013 issued RM2,300 million in nominal value Sukuk Musharakah and RM180 million in nominal value Junior Bonds.

The Sukuk Programme and Junior Bonds have been accorded ratings of AA-IS and A- with stable outlook, respectively by Malaysian Rating Corporation Berhad.

The aggregate proceeds from the issuance of the Sukuk Musharakah and Junior Bonds will be utilised for, inter-alia the following:-
(i)         For redemption of Kesturi’s existing RM820.0 million nominal value Islamic medium term notes (“Existing Sukuk”) and existing RM50.0 million nominal value redeemable secured junior bonds;

(ii)        To fund the initial deposit in the finance service reserve account maintained under the Sukuk Programme;

(iii)       For payment of ancillary fees, costs, deposits and expenses in relation to the redemption of the Existing Sukuk and establishment of the Sukuk Programme and Junior Bonds; and

(iv)      To part-finance the construction costs, development costs, financing costs, fees and expenses in relation to DUKE Phase-2 pursuant to the supplemental concession agreement dated 3 December 2012 entered into between Kesturi and the Government of Malaysia.

CIMB Investment Bank Berhad is the sole Principal Adviser, Lead Arranger and Lead Manager for the Sukuk Programme and Junior Bonds.

怡克偉士 獲11.8億承包合約

(吉隆坡4日訊)怡克偉士(EKOVEST,8877,主要板建築)獲頒11億8323萬令吉,第2階段淡江大使大道(DUKE 2)主要承包商合約。

怡克偉士向馬證交所報備,接獲持股70%的子公司,即Lebuhraya Utara-Timur(吉隆坡)財團有限公司(簡稱Kesturi)信函通知,委任怡克偉士為第2階段淡江大使大道的主要承包商,進行設計、建設、美化環境及維修等相關工程。

根據報備文件,這項為期3年的合約,將在2016年底完成,並為該集團的未來盈利帶來正面貢獻。

Appointment of Ekovest as the main contractor of the Duta-Ulu Kelang Expressway extension (“DUKE Phase-2”)
The Board of Directors of Ekovest is pleased to announce that we had, on 4 December 2013, received a letter from our 70% owned subsidiary, Konsortium Lebuhraya Utara-Timur (KL) Sdn Bhd (“Kesturi”), to inform us that our appointment as the master contractor for the design, construction, safety, landscaping, maintenance of temporary and permanent construction works, signage works relating to DUKE Phase-2 (including the design, supply, installation and maintenance of tolling or other equipment) at a contract value of Malaysian Ringgit: One Billion One Hundred Eighty Three Million Two Hundred Thirty Three Thousand Seven Hundred and Seventeen Only (RM1,183,233,717.00) (“Contract”) is deemed unconditional. The Contract is for a period of three (3) years and is expected to be completed at the end of year 2016.

The appointment of Ekovest as the master contractor for the DUKE Phase-2 is expected to contribute positively to our future earnings.

The Contract is subject to normal construction risks in which Ekovest and its subsidiaries (“Group”) are already exposed to. Nonetheless, the construction risks could be managed and mitigated with the experience and expertise of the Group to complete construction projects.

The Board of Directors of the Company is of the opinion that the Contract is in the best interest of the Company.

This announcement is dated 4 December 2013.

淡江大道涨路费1月揭晓 怡克伟士营业额受提振

(吉隆坡27日讯)在大道收费调涨的消息传出后,怡克伟士(EKOVEST,8877,主板建筑股)已经向政府呈上淡江大道(DUKE)收费调整建议书,並预测在2014年1月1日或新年前將获得当局的通知。       

怡克伟士董事经理林景清表示,对淡江大道收费调整的结果仍然是个未知数,还待政府公佈。

「目前淡江大道的收费是一趟2令吉,至於会有怎样的调整,则让政府决定。」

不过,他相信,如果淡江大道收费获得调涨,將对公司营业额带来正面的影响。

擬建第3条大道

同时,他认为,解决全球暖化现象其中一个办法,就是增加更多的高速公路,以减少塞车问题,因此,该公司已计划建造第3条大道,目前仍在政府审查过程的阶段。

林景清週五出席怡克伟士股东常年大会后会见记者时,如此指出。

此外,他对於明年的房產业充满信心,表示房產市场仍处於增长状態,政府调高產业盈利税(RPGT)和外国人购房最低价格等措施,无损国外投资者到大马购买房產的情绪。

他指出,虽然房价急速上涨,但相比其他国家依然处於便宜的水平,吸引许多外国人来大马购买房屋。

因此,他相信,大马房產业在未来不会发生房產泡沫的现象,並且需求量会持续增加。

他指出,该公司新推出的EkoCheras综合发展计划反应良好,小型单位均已售出,该项目的总发展价值达16.3亿令吉。

另外,Eko Cheras拥有4300个泊车位,他预计,可以让到將建成的蕉赖地铁站搭地铁的上班族停车,且收取费用,並希望可以稍微提高公司的营业额。

根据该公司文告指出,于本月14日(週六)收到政府通知书確实淡江大道第二期合约生效,有关工程即將展开,並预计在2016年尾完成及通车。

该项工程主要扩展两条道路,分別为长达7公里长的斯里白沙罗路线及9公里长的敦拉萨路线,这两条路將会衔接第二中环大道(MRR2)及第一中环大道(MRR1)。

他指出,怡克伟士2014財政年首季(截至9月30日止)的建筑和大道经营业务佔公司总营业额的62%和37%,相比2013年的87%和10%,该公司正朝向扩大大道经营业务贡献。

「该公司2013年上半年资本开支为1亿5000万令吉至2亿令吉,而全年则是4亿令吉。」

同时,他也指出,该公司2011年至2013年建筑订单累积总值22亿8000万令吉,其中包括淡江大道第二期、EkoCheras、PLUSWidening和生命之河(ROL)计划。

明年次季推新盘

展望来年,该公司计划在2014財政年次季推出EB Titiwangsa综合发展计划,该项目佔地11.98英亩靠近彭亨(Jalan Pahang),项目包括服务式公寓、办公室、零售商店、酒店和餐饮区,总发展价值为5亿零700万令吉。

另外,该公司在2014財政年末季会推出EBGateway,位於佔地14.50英亩文良港(Setapak)地段,总发展价值为27亿9000万令吉。

「其他未来发展项目还包括位於彭亨路的EB Quay、EB Park Place和EB Avenue。」

他预计,全部项目的总发展价值(包括Eko Cheras)为56亿令吉。

他透露,淡江大道从2009年开放通车至今,每日平均交通流量和营业额虽然逐年增加,但是该大道的税后亏损(LAT)却仅按年以单位数缩减,但若2014年大道收费增长,该大道有望获得正面的提升。

「公司未来会寻求购买更多的土地,但要视乎该土地是否有潜在发展价值,目前会著重於吉隆坡(尤其靠近地铁站)及依斯干达一带。」

他表示,该公司有2亿令吉款项用作购买土地用途,但也不排除用来进行企业併购。[东方日报财经]

(吉隆坡15日讯)怡克伟士(EKOVEST,8877,主板建筑股)获得吉隆坡市政厅(DBKL)颁发总值1亿3000万令吉合约,以美化吉隆坡8个地点。

怡克伟士持有60%的子公司———怡克伟士-马资源建筑私人有限公司,接获吉隆坡市政厅颁发的合约,以提升和美化吉隆坡Precinct7。

怡克伟士接获的美化吉隆坡工程,是配合全长10.7公里的生命之河(River of Life)计划,共划分为11个Precinct。

Precinct7涵盖圣玛丽大教堂(St Mary’s Cathedral)、大巴刹路(Leboh Pasar Besar)、达雅布米大道(Dayabum iPromenade)、轻快铁Pasar Seni站、茨厂街、吉隆坡市政局剧场、占米回教堂,以及吉隆坡大钟楼。

文告指,工程期限为104周,预估2016年完成。

Ekovest is pleased to announce that our 60% owned subsidiary, Ekovest-MRCB Construction Sdn Bhd, had, on 15 January 2014, accepted a letter of award from DBKL for the proposed improvement and beautification works at Precinct 7 which comprises of the following nodes: Saint Mary’s Cathedral, Leboh Pasar Besar, Dayabumi Promenade, L.R.T Pasar Seni, China Town/Petaling Street, Panggung Bandaraya, Masjid Jamek and Bangunan Sultan Abdul Samad (“Works”). Precinct 7 is one of the eleven precincts along the 10.7 kilometers River of Life project. The total contract sum for the Works is RM130,000,000 and the completion period for the Works is for 104 weeks from the date of site possession (“Contract”). Barring unforeseen circumstances, the Works is expected to be completed in 2016.

The acceptance of the letter of award for the Contract is expected to contribute positively to our future earnings.

The Works is subject to normal construction risks in which Ekovest and its subsidiaries (“Group”) are already exposed to. Nonetheless, the construction risks will be managed and mitigated with the experience and expertise of the Group to complete construction projects.

None of the directors or substantial shareholders of the Company, or persons connected with them, has any interest, direct or indirect, in the Contract.
