海外天拟配售12.5% 供土著投资者认购

（吉隆坡5日讯）海外天（OVERSEA，0153，创业板）建议特别配售3500万股新股或等于公司12.5%股权给符合资格土著投资者。

该公司向马交所报备，该笔新股将配售给获贸工部批准的土著机构与指定投资者。

海外天于2010年4月1日在创业板上市。

根据马交所条例，在创业板上市5年后或净利达到可转板主板上市的一年内，必须将占缴足资本12.5%股权配售给获贸工部批准的土著机构与指定投资者。

因此海外天将发售新股，以满足马交所土著投资者持股条例。

该公司也料从这项活动筹集700万令吉资金，扣除10万令吉为发新股开销后，其余690万令吉将做用作营运资本。【南洋网财经】

The Board of Directors of Oversea wishes to announce that ROJV, a wholly-owned subsidiary of Oversea, had on 1 April 2015 acquired the remaining entire 35% equity interest in RTC from the  JV partners comprising of 115,500 ordinary shares of RM1.00 each fully paid up for a total cash consideration of RM2.00. APPROVAL SOUGHT The Acquisition is not subject to the approval of the shareholders of the Company or from any relevant authorities. 5. 海外天昌哥笑對人生 “世上沒有跨不過的檻”

（吉隆坡8日訊）對于海外天（OVERSEA，0153，創業板貿服）創辦人、今年邁入72歲的俞植昌來說，“7”是個特別的號碼。

他接受《中國報》專訪時透露，他出社會工作那一年是1957年，創辦海外天那一年正巧是1977年，今年2017年一開年便又接到本報的專訪邀約，每個年份后面都有“7”，讓他覺得非常巧合，並視今年是另個幸運年，對新一年充滿了期待。

人稱“昌哥”的俞植昌，是海外天集團董事經理兼總廚顧問，創辦海外天至今剛好40年。1945年出生的他今年72歲，正好肖雞。

來臨的丁酉雞年是昌哥的本命年，但在他人生中，又有什么大風浪沒有見過？

海外天的年度營業額，較5年前滑落了30%，截至2016年3月31日的財年，營業額報6106萬令吉；但昌哥沒有被記者突如其來的問題問倒，臉上始終掛著招牌笑容。

他一如往常抱持樂觀的心態，並堅持做對的事情，從不會將營業額及銷售額放在心上，總括而言，那也只不過是一堆數字。

正如昌哥所言，他以平常心看待所有問題，深明凡事不能盡如人意，但求無愧于心，並秉持兵來將擋，水來土掩的心態。

溫和謙虛的水雞人

“因為世上沒有我們跨不過的檻，悲觀才是我們最大的敵人。”

昌哥樂觀的心態，隱約反映了命格屬“水”的雞人特質。

資料顯示，肖雞者性格特征中包括精明能幹、組織能力強、嚴厲認真、待人直率、遇事果斷。由于肖雞者不知倦怠，喜歡在各種事情中克服困難，因此無論在任何逆境中都能找到自己的出路。

當中，1945年和2005年出生者皆屬水，個性溫和謙虛、人緣頗佳、他們聰明、反應敏捷、下定決心做一件事時絕不輕言放棄。“水雞”也可說發財有方，且不用太勞心費力，只需把握好機會，財源自會滾滾來。

造福味蕾很偉大

海外天的成功並非偶然，昌哥和玉姐（昌哥太太李碧玉）一開始都是酒樓普通伙計出身，昌哥掌廚，玉姐負責樓面招待，兩夫妻剛開始創業無名氣無關係，靠的就是“堅持”兩個字。

“須謹記世上沒有不勞而獲的東西，想要成功難免有所犧牲，包括個人娛樂、精神及時間，甚至是和孩子相處的時間。”

昌哥父親是賣雲吞面的小販，但他無意子承父業，一開始並非立志進入飲食業，心里渴望當個修車技工一圓駕著汽車威風凜凜的夢想，但最后還是順從父親，進入了飲食業，一做便60年。

自12歲入行只能做樓面打雜開始，再到后來進入廚房當學廚，問昌哥這輩子若可以重來，選擇是否一樣？昌哥說：“廚房好呀，至少就不怕餓死。”

昌哥自認受教育程度不高，但認為廚師工資算不錯，危險程度也比其他行業低許多，無需在外頭奔波，面對車禍及塞車的幾率也比較低，只是這一行工作時間較長，喜慶假日是廚師最忙的日子。

“但我們只要秉持為廣大市民服務的心態，為大眾烹調美味佳餚，造福大家的味蕾，這就是一份偉大的事業。我常跟旗下廚師說，勿妄自菲薄，如同其他行業，廚師也是一門專業，我們是飲食界的專家。”

另類品質監管：手機先吃

要在短短2小時訪談中完全將一個人的個性摸透是不可能的，但可以肯定的是，昌哥對待食物及食客很認真、也很執著。

想深一層，若少了他那份堅持，海外天又怎能走過這40年仍能在飲食界屹立不倒！

因採訪完畢后，昌哥邀請記者到大城堡海外天點心屋用餐，記者點了生摺鮮蝦腸粉，腸粉上桌后昌哥第一時間便拿起手機拍照，之后再點了內里包裹著芫荽的素腸粉，昌哥又習慣性拍照。

之后才從海外天集團執行董事鄺奕錦口中得知，這是昌哥的習慣，當他在門市用餐時發現食物不達標，便會用手機拍下照片，再進廚房指點廚師。至于今次的腸粉，則是兩碟搭配腸粉食用的特製醬油不均勻，當中一碟略嫌太多。

儘管昌哥目前已鮮少下廚，但海外天旗下許多廚師都是由他親自調教及培訓出來，正所謂愛之深責之切，他說未來將持續做好監督者角色，確保食物品質，必要時還會親自示範。

“烹飪經驗是累積出來的，是一門易學難精的學問，無法逐樣材料都拿來秤，調味料的多寡必須勤加練習拿捏，做到接近精準，烹飪也需研究、要能自行判斷、腦筋靈活、將心比心，以煮給自己、煮給家人吃的心態出發。”

創意也要實際

資料顯示，肖雞者儘管喜歡解決和處理困難的工作，但缺乏創造性，難以承擔改革性的任務；但這一點在昌哥身上顯然非絕對。

針對上述問題，昌哥在招待記者吃點心時，也給了答案。他絕非不喜歡求變求新，但絕不可“九唔搭八”，他對食物有要求，認為大搞創意之余必須實際，新創作必須已達標準才可真正推出市場。

以大城堡海外天點心屋新推出的產品“芝士球”為例，外表看上去就不過是傳統小吃“煎堆”，但讓人驚喜的是，內里裹的不是市場上普遍吃的蓮蓉餡料，而是和了紫薯的芝士餡料，讓人驚喜味道也佳。

“隨著時代的變遷，我們不可一成不變，若不進步就會落后，進而遭市場淘汰。但創新不是為比賽斗誰快，所以沒有固定每個月都要推出新品。”

日子再苦還是得吃飯

回顧2016年，海內外大事件一宗接一宗，令吉兌美元更跌得“臉青青”，嚴重打擊國內消費信心。問昌哥這是否影響海外天飯店的業績，他說，對飲食界而言，去年表現中規中矩，並沒有受太大影響，畢竟飯還是得吃。

“對華人而言，過年過節一家人吃頓飯慶祝的傳統並沒有改變，只是點的菜餚或沒有以往豐盛，粗茶淡飯也是一餐，絕對不會在家煮個面就算。海外天飯店提供許多家常小菜選擇，許多家庭因此喜歡前來聚餐。”

昌哥說，除了生意人，許多家長也喜歡攜孩子前來海外天用餐，在代代相傳下，孩子長大了又會帶自己的孩子來，海外天成了大家過節團聚的所在，也是日常用餐的“家”。

他說，無論是面對10年循環一次的金融風暴或行情差等任何挑戰，他永遠樂觀看待，但仍會居安思危，並秉持“好天收埋落雨柴”（廣東俚語，指未雨綢繆）的態度。【中国报财经】

俞植昌：物色地点开分店．海外天稳中求

民以食为天，吃乃是人们日常生活所需，随着人们对生活要求提高，饮食口味多变化。作为大马唯一一家中餐上市公司——海外天（OVERSEA，0153，创业板贸服组）在这个行业的变化又是如何呢？

海外天创办人兼董事经理俞植昌接受《投资致富》访问时表示，目前大马经济面行情不太乐观，以致人们谨慎消费，公司将推出优惠套餐，以吸引更多顾客。

“从目前趋势来看，公司有意增加火锅餐饮，以符合人们的需求。”

马币疲弱
成本走高

马币疲弱，导致海外天原材料成本走高。俞植昌补充，尽管向本地供应商采购食材，但供应商部份食材也是来自海外，因此成本自然上涨。

目前，海外天共有7间分店及一间糕饼制作工厂。俞植昌说，虽然整体消费意愿不比从前高，但在一些较为高档的消费地区，如万达广场及城中城阳光广场，对餐饮仍有一定的需求，因此公司有意今年开设一家新分店，目前仍在物色合适地点。

有关糕饼制作方面，俞植昌表示，公司有制作中式礼饼及蛋卷，不过最大的贡献来自月饼。

“整体来说，公司20%营业额来自糕饼业务的贡献。”

根据交易所资料，2012至2015年，海外天皆派发股息给股东，但2016年蒙受亏损后，则停止派发股息。

保留现金
发展业务

俞植昌表示，尽管公司2017年转亏为盈，但仍需要保留现金来发展业务。

“若公司获利及现金流足够，将会派发股息。”

儿女接班
老员工辅助

询及接班人，今年72岁的俞植昌表示，儿子与女儿皆在公司工作，且老员工在旁辅助，因此这不成问题。

俞植昌说自己在12岁时（1957年）就出来社会工作，已经在餐饮业打滚了60年之久。

“1950年代的生活条件没有今天好，那个时候但求温饱就够了，就算雇主只提供膳食，没有给予任何薪水，也有很多人抢着做。”

俞植昌一开始在怡保工作，然后再到芙蓉、马六甲、汶莱及吉隆坡。1972年，27岁的他就担任厨房最重要的职位——总厨（俗称头手）。

他笑言，年幼之时就在厨房磨练，体能也随着年龄增加而提升，因此不足30岁便出任该职位了。

对比现在，他说，新一代厨师在部份技能掌握虽然不错，惟不够全面。

“以前的学徒不管宰鸡、海鲜、牲口等，都必须学习，因为当从学徒身份升任至师傅阶层时，必须要懂得很多技巧，方可教导后辈。”

询及培养一名头手时，俞植昌认为，厨艺的训练与读书一样，视乎兴趣而定，有人愿意花大量时间苦练，但有些人则不愿意学习太多。

“有些人可能5年就可以在厨房掌管重任，亦有人只甘于单一事物。”
