The intended principal activities of MMSB, as follows:- (a)          To distribute medical related products such as whole body disinfectant system, Covid-19 swab test kit, Covid-19 first aids box, and AI temperature measure system; and (b)          To venture into any other medical related business through partnerships and collaborations. RATIONALE OF THE INCORPORATION The Incorporation is mainly to facilitate the expansion of the business activities of MGB and its subsidiaries (“the Group”). FINANCIAL EFFECTS The Incorporation will not have any material effect on the issued and paid-up capital of the Company and the substantial shareholders’ shareholding. The Incorporation also does not have any material effect on earnings per share nor net assets per share of the Group for the financial year ending 30 June 2021. The initial issued share capital of the JV Company is SGD500,000 (equivalent to RM1,527,800). Both parties are of the opinion that the initial issued share capital is adequate and have no intention to alter the issued share capital at the moment. 2.
