森那美今日向马交所报备,该公司因为无法在3月秒前,完成倒置收购计划。

该公司指出,独资子公司新加坡森那美产业与日本区域资产管理人进一步讨论后,决定终止计划。

去年8月起,森那美独资子公司签署框架协议,通过脱售澳洲特定工业产业给新加坡最善房地产信托,进而倒置收购该产托公司。 【e南洋】

森那美:资本投入偏高.下游业势整合

(吉隆坡7日讯)森那美(SIME,4197,主板贸服组)种植业务资深副总裁哈里斯表示,棕油业下游业务出现整合是必然情况,毕竟目前这些领域的资本投入太高。

他说,下游棕油业务必须为客户提供更高的附加价值,以提高产品的需求量。

他解释,森那美种植业下游领域可以获利,主要归功于3大策略奏效,分别是强调永续经营、提升产品质量以及发挥创新精神。

他补充,当公司提高产品的识别度,使消费者足以分辨公司产品与其他品牌时,获利自然就会比较高。

他表示,在印尼种植业务受到厄尔尼诺以及拉尼娜两大气候变迁交替延迟影响,大马和印尼两国棕油产量料迟至下半年才会恢复正常,原棕油价格预料将维持在每公吨2700至3000令吉之间。

在连续多天上扬后,原棕油指标5月货周二下挫33令吉至每公吨2860令吉。

在棕油研讨和展望大会后,哈里斯接受《彭博社》访问时表示,印尼种植地的产量受到气候影响,目前油棕产量令人失望。

他说,“大马棕油库存预测在下半年后才会逐渐攀高,印尼则可能要迟至7月才会恢复。”

雨量充足是使到油棕丰收的“王牌”,他说:“充足雨量有助于果实成长,因为雨水为未来9至13个月的土壤提供良好的生长条件。”

另外,哈里斯认为,在原棕油第一季价格高企的情况下,印尼政府有能力为其生物燃油政策提供更多津贴。

他也表示,大马生物燃油政策应该扩大以协助整体行业的发展。

他说:“目前森那美每月生物燃油最大产能为5000公吨,目前已使用100%产能。”

在今年,该公司将会寻找机会改善原棕油平均生产价格,包括增加油棕产量以及改善厂房效率等,而目前该公司棕油生产成本为每公吨1300令吉。

分拆上市業務風險提高 穆迪擬下調森那美評級

(吉隆坡6日訊)國際評級機構穆迪(Moody)認為,森那美(SIME,4197,主要板貿服)的分拆上市計劃將提高公司業務風險,故正評估是否下調其“Baa1”評級。

森那美擬將旗下種植及房地產業務分拆出來各別上市,並保留汽車、工業和物流等相關業務,維持上市地位。

穆迪副主席兼高級分析員嘉欣達傅(譯音)透過文告指出,是項計劃將有損森那美的業務多元化,使業務規模和現金流萎縮,從而提高公司的業務風險。

“由于該計劃實施方式缺乏明确性,對該公司財務狀況將造成的影響亦具不確定性,所以我們正評估是否下調森那美的評級。”

財務狀況是關鍵

截至2016年6月30日,森那美种植和森那美房產的獨立債務數据表明,大多數現有債務均用于种植業務。

配合分拆上市,森那美將進行包括重組借款、資產轉移和資本化公司間貸款在內的內部重組,但至今仍不清楚三家公司如何分配債務。

嘉欣達傅預計,由于森那美旗下种植和房產業務的收益相對較高,在經濟不景氣之際也表現出較高的穩定性。

待森那美种植和森那美房產上市后,森那美的資產規模和稅前淨利料減少三分之二。

“我們認為森那美的新業務概況不太可能為其Baa1評級提供支撐,但該公司最終的財務狀況才是整体信用評估的關鍵。我們將繼續關注該公司的內部重組情況,並評估降級的可能性。”【中国报财经】

森那美合顺汽车否认合并

(吉隆坡13日讯)针对媒体报道指森那美(SIME,4197,主板贸服股)的汽车业务可能与合顺(UMW,4588,主板消费产品股)合并的消息,双方今日齐齐发文告否认有关传言。

森那美在文告中指:“该报道是不正确的。两家公司可能会合并汽车业务是不属实的。”

该集团进一步指,之前已公布在大马交易所打造三家独立上市公司,而这是公司目前的焦点。

森那美汽车是全球第二大宝马(BMW)经销商,也是亚太区汽车领域的主要业者。

根据文告,森那美汽车进行的企业活动,是考虑到所有利益相关者,包括股东和伙伴的最大利益。

同时,合顺今日也发文告指,该报道不正确,公司并没有相关的合并计划。

该公司在今年1月19日,已宣布计划退出油气领域,并将通过派发手中的合顺油气(UMWOG,5243,主板贸服股)股票给股东,随后将逐步退出持有的非上市油气资产。

国投是大股东

合顺指:“集团目前专注在按照规定的时间表,执行已公布的计划。”

上周六,《The Edge》引述消息指,国民投资机构(PNB)正放眼将森那美的汽车业务与合顺合并。

该报道指,与其让森那美汽车业务独立挂牌,PNB的计划是将森那美的汽车业务与合顺合并,打造一个大规模的汽车公司。

PNB同时是森那美和合顺的大股东,分别持有51.9%和58.19%股权。

今日,森那美股价下跌1仙或0.11%,收在9.13令吉,成交量达606万4300股。

相反的,合顺则上升26仙或4.51%,报6.03令吉,成交量达119万700股。

若合并恐面对阻碍

针对该项传言,联昌国际投行分析员指,若是两家公司合并,可能会面对阻碍。

“相关阻碍是合顺必须获得主要伙伴的批准,包括丰田(Toyota),这家公司持有合顺丰田汽车私人有限公司的39%股权。”

分析员举例,丰田可能不会答应让经销商销售竞争对手的品牌。

假设两家公司合并,将会失去部分经销权,该项合并计划或许有损股东价值。

合顺管理层并没有说过有意合并,该公司在决定退出油气业务之后,目前正重组核心营运。

去年,合顺汽车业务在汽车总销量的市占率达47%。

“我们预计,森那美汽车在去年的市场份额为4%。”

分析员预计,两家公司若合并,将会打造一家市占率超过50%的大型汽车公司。

同时,将会为合顺提供来自海外市场的净利贡献,因为森那美汽车持有宝马亚太区的经销权。

分析员指,森那美汽车在2017财年上半年扣除税务和利息前盈利,有超过80%贡献来自海外市场。

“尽管如此,我们预计,两家公司合并能产生的协同效应非常少,因为不会出现任何共享平台以节省成本。”

合顺业绩料占上风

另一方面,安联星展研究分析员则指,两家公司若合并,将会看到合顺营业额和净利显著增长,因为森那美汽车将会为合顺带来庞大的销售量和销售值。

森那美汽车在截至6月底的2016财年卖出8万3060辆汽车,而合顺则在截至12月底2016财年售出6万5110辆汽车。

同时,森那美所在的豪华汽车市场,面对汽车销量下跌带来的影响不大,但反观合顺经销的丰田汽车销量在去年萎缩32%。

“因此,我们认为,两家公司若合并,将对合顺有利,因为能够显著发展汽车业务。不过,实际的净利贡献,就有赖于合并机制和价格。”

目前,合顺在我国组装、营销和经销丰田及凌志(Lexus)汽车。

该公司也是第二国产车(Perodua)的最大单一股东,共持有38%股权。

至于森那美汽车,则组装、进口、经销和销售豪华汽车,如宝马、捷豹(Jaguar)、连路华(Land Rover)和保时捷(Porsche)。

此外,森那美汽车也在亚太区经销和售卖大众市场品牌的汽车,包括福特(Ford)和现代(Hyundai)。 【e南洋】

行家建议

我们对最新进展感到稍微负面,因该计划旨在释放森那美工业资产的价值,让该公司未来的筹资活动更具灵活性,以建立一个具规模的国际资产组合。

去年8月中,森那美首次宣布上述交易时,并未对外公布更具体的情况。

所以,我们并未把上述倒置收购计划纳入考量,因此目前维持净利预测。

我们预计未来季度的表现会更好,因为:1)森那美计划把种植及房产业务分拆上市,进一步巩固内在价值;2)近期私下配售活动完成,加强该公司的资产负债表;3)种植及房产净利更佳。

因此,我们维持“买入”评级,目标价依旧为10.06令吉。

森那美MMC与印度Adani Ports签MoU 研究凯利岛海事项目

(吉隆坡3日讯)森那美产业(Sime Darby Property Bhd)、MMC Port Holdings私人有限公司,以及印度Adani Ports及Special Economic Zone Ltd(APSEZ)今日签署谅解备忘录(MoU),以研究在雪兰莪州凯利岛(Carey Island)发展综合海事城市的可行性。

MMC Port与Adani Ports也签署一份独立的MoU,以探索凯利岛港口项目的可行性。该项目是巴生港口扩建的新港口,巴生港口是全球第十一最繁忙的货柜港口。

MoU是由MMC Port董事Datuk Seri Che Khalib Mohamad Noh、森那美产业董事经理Datuk Jauhari Hamidi,以及APSEZ业务发展总裁Capt. Sandeep Mehta所签署。

恰逢在印度进行正式访问的首相拿督斯里纳吉今日在新德里见证两项MoU交换。

森那美在文告指出,海事城市是为了辅助凯利岛港口项目。

森那美集团总裁兼总执行长Tan Sri Mohd Bakke Salleh指出,凯利岛的发展符合将由该公司牵头的大马宏愿谷(Malaysia Vision Valley Development)。

Bakke说:“港口和海事城市可能会带动雪州南部工业带的进一步发展,而在该地拥有策略地库的森那美产业将有能力支持这愿景。”

MMC Port是大马最大的港口营运商,立足于本地4个港口,以及在沙地阿拉伯吉打伊斯兰港口内的货柜码头Red Sea Gateway Terminal Company Ltd有联合股权。

也是MMC Corp Bhd集团董事经理的Che Khalib表示:“我们的港口位于航运通道的策略位置,所有船只必须通过大马港口,因而使我国是物流中枢的合适区域中心。”

Adani Ports总执行长Karan Adani说:“有了(印度)Vizhinjam港口和凯利岛港口,我们将能够为全球航运公司提供转运解决方案。”

他补充说:“MMC和森那美是重要的合作伙伴,有了他们的参与,令这些项目更强化,促使这两个项目成功。”

森那美巴布亚新几内亚5子公司合并为单一公司

(吉隆坡3日讯)森那美(Sime Darby Bhd)宣布,其在巴布亚新几内亚的5家子公司将合并为一个单一公司New Britain Palm Oil Limited(NBPOL)。

该集团今日向大马交易所报备,将根据巴布亚新几内亚1997年公司法合并重组5家子公司,即NBPOL、Vitroplant Orangerie Bay Ltd(VOBL)、Plantation Contracting Services Limited(PCSL)、New Britain Tankers Limited(NBTL)和New Britain Nominees Limited(NBNL)。

该集团表示,合并将使VOBL、PCSL、NBTL及NBNL的所有资产和债务转移到NBPOL,且前4家公司在巴布亚新几内亚的公司注册将于同一日取消。

森那美补充,这对集团截至今年6月30日止财政年的盈利或净资产没有实质影响。

加厘岛最大地主.森那美主要赢家

(吉隆坡4日讯)森那美(SIME,4197,主板贸服组)打算共同开发雪州加厘岛港口海洋城项目,分析员认为森那美将是此项发展计划主要赢家,因它在加厘岛拥有逾1万1000公顷低成本地库,一旦计划落实将推高及释放这些土地价值。

惟由于详情不多,分析员暂维持其评级及财测。

丰隆研究指出,发展计划尚处于初步阶段及详情欠奉,惟预料森那美将是此计划的主要赢家(若是新港口计划落实),因它在加厘岛拥有庞大面积(逾1万1000公顷)及低成本地库。

森那美产业臂膀、MMC机构(MMCCORP,2194,主板贸服组)、印度私营港口营运商——Adani港口及经济特区有限公司(APSEZ)日前签署备忘录,以探讨共同开发加厘岛港口海洋城项目。

丰隆研究对森那美财测及评级维持不变,主要是种植及产业业务分拆自行上市,将进一步实现森那美更深的真正价值、最近完成私下配售计划后加强森那美的资产负债表、预料种植及产业领域更好表现情况下,使未来数季的业绩表现将更好。

达证券指出,该行正面看待有关发展,因森那美是加厘岛最大地主,该项耗时20年的发展计划涉及投资额达到约2000亿令吉,占地逾100平方公里,这将使森那美从中受惠,特别是有关土地账面值偏低。

评级目标价暂维持

兴业研究指出,森那美在加厘岛拥有2万6000英亩的土地。若是每1000英亩土地转换及加以发展,预料将使森那美的综合估值每股增加20仙。由于详情不多,该行暂时维持其评级及目标价。

森那美独资子公司Tractors Malaysia清盘

(吉隆坡6日讯)森那美(Sime Darby Bhd)独资子公司Tractors Malaysia Holdings Bhd (TMHB)在一项自2015年6月展开的自愿清盘活动后,已于上周二(4月4日)进行清盘。

森那美今日向大马交易所报备,TMHB在2016年12月28日举行最后一次会议。

“TMHB清盘不会对森那美集团截至2017年6月30日止的财政年盈利或净资产,带来显著的影响。”

倒置收购最善产托告吹.森那美须赔1013万

(吉隆坡6日讯)森那美(SIME,4197,主板贸服组)赔了夫人又折兵,倒置收购新加坡最善产业信托(Saizen Reit)无疾而终,还需支付后者320万新元(1013万令吉)赔偿和营运开销。

该公司发文告表示,与日本住宅资产管理公司(JRAM)周四签署终止协议,各方现无需履行买卖合约条款,但子公司——新加坡森那美产业将向最善产业信托单位持有者支付300万新元(约950万令吉),以及20万新元(63万令吉)营运开销和整个倒置收购计划的开销。

原定注入澳洲工业产业

森那美在去年8月建议把澳洲子公司——Hastings Deering有限公司(HDAL)位于澳洲工业产业注入于最善产托,让新加坡森那美换取最善产托股权和现金,但却一波多折,整个计划未能在期限内完成,最善产托最终落得清盘窘境。

TERMINATION OF:(I)        IMPLEMENTATION AGREEMENT IN RELATION TO THE PROPOSED DISPOSAL OF INDUSTRIAL PROPERTIES IN AUSTRALIA TO SAIZEN REAL ESTATE INVESTMENT TRUST (SAIZEN REIT) (PROPERTIES DISPOSAL); AND(II)        CONDITIONAL SHARE PURCHASE AGREEMENT IN RELATION TO THE PROPOSED ACQUISITION OF 80% OF THE ISSUED SHARES OF JAPAN RESIDENTIAL ASSETS MANAGER LIMITED (JRAM OR MANAGER), THE MANAGER OF SAIZEN REIT FROM JAPAN REGIONAL ASSETS MANAGER LIMITED (JRAM ACQUISITION)(COLLECTIVELY, THE "PROPOSALS")
(Announcement pursuant to paragraph 10.05(2) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad)

(Unless otherwise stated, all definitions and terms used herein shall have the same meaning as defined in the announcements dated 15 August 2016 and 10 October 2016 in relation to the Properties Disposal and JRAM Acquisition)

We refer to the announcements dated 10 March 2017 and 13 March 2017 which stated that the Proposals will not proceed.

Sime Darby wishes to announce that SDEIPL, SDPSL, the Manager, Japan Regional Assets Manager Limited, and HAUT Trustee (collectively, the “Parties”) had, on 31 March 2017, entered into a termination agreement pursuant to which the Parties have agreed, among others:

(a) to terminate the Implementation Agreement and the SPA and to release and discharge each of the Parties from their respective obligations and liabilities under the Implementation Agreement and the SPA; and

(b) that in connection with paragraph (a) above, SDPSL shall pay (i) a sum of SGD3.0 million (equivalent to RM9.50 million) for the benefit of the unitholders of Saizen REIT, (ii) SGD200,000 (equivalent to RM0.63 million) for Saizen REIT’s operating costs, and (iii) transaction expenses incurred by the trustee of Saizen REIT and/or the Manager in connection with the RTO.

In connection with the foregoing, Perpetual (Asia) Limited, on the instructions of the Manager and in its capacity as trustee of Saizen REIT, has also agreed (on behalf of Saizen REIT) to release and discharge SDEIPL, SDPSL and the HAUT Trustee from any claims which Saizen REIT may have against SDEIPL, SDPSL, the HAUT Trustee and/or SDPSL’s affiliates in relation to the Implementation Agreement and/or the RTO.

The termination of the Implementation Agreement and the SPA is not expected to have any material effect on the net assets per share and earnings per share of Sime Darby for the financial year ending 30 June 2017.

森那美现金回购竞标.邀8亿美元伊债持有者参与

(吉隆坡18日讯)森那美(SIME,4197,主板贸服组)邀请持有8亿美元伊斯兰债券者参与现金回购竞标。

该公司发文告指出,将从今日起开始竞标程序,至到5月11日止。合格伊斯兰债券持有人在5月2日前竞标,可额外获得现金付款(等同于3%伊斯兰债券票面金额)。

该现金回购涉及两个多元货币伊斯兰债券计划,两者于2013年1月29日发行,每项规模为15亿美元。

目前两项计划未偿本金为4亿美元,截止日期分别在2018年2023年,到期后森那美将支付98%及97%的票面金额。

售地盈利可观.分拆业务上市.森那美有望重估

(吉隆坡2日讯)森那美(SIME,4197,主板贸服组)脱售万宜土地有望带来可观盈利及推高2018财政年净利,加上计划分拆种植及产业臂膀上市,料成为重估催化剂。

联昌研究指出,国民投资公司(PNB)与森那美分别持股60%-40%的Seriemas发展私人有限公司计划以4亿4760万令吉以及每平方尺3令吉(最高可达4470万令吉)税前盈利共享比例,脱售位于万宜,占地342.5英亩的土地予实达集团(SPSETIA,8664,主板产业组),料2017年末季可完成上述活动。

联昌正面看待上述活动,并认为脱售价合理,相信森那美可从中获得1亿1100万令吉,并为2018财政年净利带来4.6%的贡献。

联昌表示,预计脱售计划在剔除2600万令吉的土地投资成本、7400万令吉转换至产业发展费用、20%实际税率后,可为Seriemas带来2亿7000万令吉的净利。

实达集团计划将该土地作为综合产业发展计划之用,发展总值达27亿4000万令吉,料将于2019年进行推介并需时至少8年完成建设。

此外,联昌指出,预计森那美计划分拆种植及产业臂膀上市,加上原棕油价格及煤炭价格改善,将成为重估催化剂,不过,却可能面对鲜果串产量下滑及缺少企业活动而拉低估值的风险。

综合以上,联昌维持森那美“增持”评级和9令吉80仙目标价。

Northport and Weifang Sime Darby Port Sign Sister Port Memorandum of Understanding
Sime Darby Berhad (Sime Darby) wishes to announce that Weifang Sime Darby Port Co. Ltd, an indirect 99%-owned subsidiary of Sime Darby, has on 14 May 2017, entered into a Memorandum of Understanding (MoU) with Northport (Malaysia) Bhd (Northport) to establish a sister port relationship. Under the MoU, the two ports will cooperate in port management and facilitate halal trade shipment between Malaysia and China.

The MoU does not constitute any legal binding obligation between the parties until definitive and binding agreements are executed.

Save as disclosed below, none of the Directors or major shareholders of Sime Darby or persons connected with them has any interest, direct or indirect, in the MoU:
  • Tan Sri Dato’ Sri Dr Wan Abdul Aziz Wan Abdullah, Tan Sri Datuk Dr Yusof Basiran, Muhammad Lutfi, Datuk Dr Mohd Daud Bakar and Zainal Abidin Jamal are deemed interested in the MoU by virtue of being nominees of Permodalan Nasional Berhad (PNB) on the Board of Sime Darby;
  • AmanahRaya Trustees Berhad - Amanah Saham Bumiputera (ARTB) is deemed interested in the MoU by virtue of being a major shareholder of Sime Darby and MMC. As at 8 May 2017, ARTB holds 40.48% equity interest in Sime Darby and 18.26% equity interest in MMC.

PNB is deemed interested in the MoU by virtue of being a person connected with ARTB.

(吉隆坡16日讯)为了专注于扩展澳洲和纽西兰零售汽车与商用卡车市场,森那美(SIME,4197,主板贸服股)宣布脱售当地的汽车经销业务。

森那美今日发布文告,森那美汽车独资子公司与Inchcape澳洲,及里克阿姆斯特朗汽车集团签署脱售资产协议,将与标致和雪铁龙有关的资产卖给对方。

不过,森那美没有在文告中提及脱售价格及所得。

森那美汽车澳洲与纽西兰区董事经理帕特里克麦肯纳说:“谨慎考虑后,我们决定出售澳洲和纽西兰的经销业务。这与森那美汽车专注于扩展该区零售汽车与商用卡车市场的策略一致。做出决定后,我们委任毕马威(KPMG)进行竞标程序。”

他补充,进行脱售时,该公司以员工的利益为先,确保他们可以在现有的条款和条件下被雇用。

森那美汽车的主要业务,是在澳洲和纽西兰进口和经销标致、雪铁龙和DS品牌汽车。

业务如期分拆 拟第三季申请
森那美种植产业年底上市

(吉隆坡31日讯)森那美(SIME,4197,主板贸服股)计划在第三季为种植和产业业务提呈上市申请,放眼年杪挂牌大马交易所。

森那美主席兼总执行长丹斯里巴基沙烈,出席第三季业绩汇报会时透露,集团的计划是将两个业务齐齐分拆上市,届时交易所将会有属于森那美旗下的三家上市公司。

他重申,分拆上市的计划正如期进行中。

针对新上市公司的管理层,巴基沙烈坦言会考虑外部人选,但相信不会让市场有太大的惊喜。

早前,森那美倒置收购新加坡最善房地产信托(Saizen Reit)的计划告吹。

如今,巴基沙烈表示,集团现阶段不会重新考虑产托业务,重心将瞄准“单一经营”。

一同出席汇报会的还包括财务总监拿督童宝娇。

第三季净利扬5%

森那美截至3月31日第三季,净利扬5.4%,达6亿9900万令吉;营业额涨21.6%,报124亿4600万令吉。

累计首9个月,净利攀升40.4%,达17亿8600万令吉;营业额扩大8.2%,报348亿8400万令吉。

根据文告,当季税前盈利增长27%,归功于种植、工业及汽车业务的贡献改善。可惜的是,净利增长因较高的税率和发售回债的开销而受限。

童宝娇表示,集团年初迄今的表现,主要是由原棕油价格走高所推动。首9个月,原棕油价格平均企于每公吨2861令吉;回顾去年同期,则是每公吨2113令吉。

“煤炭价格趋稳,加上中国及我国的建筑活动增加,均成为推动工业业务的催化剂。”

她说,虽然条例紧缩及进口成本高涨,但仍对汽车业务的表现感到鼓舞,因主要市场的需求更为殷切。

棕油价持稳2500上

种植业务是第三季的主要贡献者,巴基沙烈看好,原棕油价格在未来六个月内,不会跌破每公吨2500令吉。

“我的看法是,至少在下个月,原棕油价格会介于每公吨2600至2800令吉。接下来的支撑水平将落在每公吨2500令吉。”

种植业务当季录得7.32亿令吉的扣除利息和税务盈利(PBIT),比去年同期激增8倍,归功于持续管理成本及提升产能的举措。

而原棕油平均售价按年涨40%,也助了一臂之力。第三季原棕油售价为每公吨3088令吉,胜于去年同期的每公吨2200令吉。

鲜果串产量按年扬升18%,因大马和印尼分别涨20%和7%。

此外,新英棕油(NBPOL)的表现也出色,鲜果串产量按年多出26%,惟榨油率(OER)则是微幅下跌至21.41%,因气候潮湿,且有待更多树龄年轻的种植地迈入成熟阶段。

中下游的PBIT则滑落至3900万令吉,归咎于当季赚幅较疲弱。

不过,该业务将持续专注于转为高赚幅产品,并提升成本效率。【e南洋】
