Reference is made to the Company’s announcements dated 19 March 2018, 23 March 2018 and 12 July 2018 in relation to the contract for Cement Supply Agreement dated 19 March 2018 entered into between the Company’s wholly owned subsidiary, Lafarge Cement Sdn Bhd and China Communications Construction (ECRL) Sdn Bhd for the supply of cement for all eight (8) packages of work for the proposed East Coast Rail Link project, for the total estimated provisional contract value of RM270 million (“Contract”). Instruction to Resume Works The Company wishes to announce that following the instruction received by China Communications Construction (ECRL) Sdn Bhd (“Client”) from Malaysia Rail Link Sdn Bhd on 15 April 2019, the Company has on 6 May 2019 received a letter from the Client dated 30 April 2019, that the suspension of the Company’s supplies shall now be ceased with immediate effect and the Company is instructed to resume supplies for the remaining term under the Contract until 31 December 2019. This announcement is dated 7 May 2019.

We refer to our announcements dated 17 June 2014, 20 June 2014, periodic quarterly updates on Material Litigation in respect of this Claim and the disclosure in the Annual Report 2018 under Material Litigation. LMB and LMCBH were served with a Writ of Summons in respect of a claim in the High Court of Singapore by the Comptroller of Income Tax (“Writ”) for repayment of the sum of SGD9,589,816.84. The Writ was filed in the High Court of the Republic of Singapore on 1 April 2014, amended on 2 May 2014 and served on LMB on 17 June 2014 and on LMCBH on 20 June 2014. The parties have recently finalised and executed a settlement agreement on 15 May 2019 wherein LMCBH and LMB have agreed to make a full and final settlement of SGD1,917,963.37 being 20% of the Claim by IRAS of SGD9,589,816.84 (“Settlement”), on the basis that LMCBH, LMB and the Comptroller do not make any admission or concession with respect to any fact, liability or fault in respect of the matters in Suit No. 350 of 2014 and all other related legal proceedings, and the parties will take steps to discontinue the Writ and all other related legal proceedings immediately thereafter and will not directly or indirectly make any claim or bring any proceedings for or in relation to the matters which are or could have been raised in Suit No. 350 of 2014. None of the Directors, Major Shareholder or persons connected to the Directors and/or Major Shareholder have any interest direct or indirect in this Settlement. The Board of Directors does not envisage any specific risks to be associated with this Settlement. This Settlement will not have any material effect on the financial earnings and/or net assets of the Company for the financial year ending 31 December 2019. This announcement is dated 15 May 2019.

Working experience and occupation

Mr Yeoh Khoon Cheng started his career as an Audit Assistant with Deloitte Kassim Chan in 1979. He joined Lafarge Malaysia Berhad in 1987 as Finance Manager and has held various positions involving business development, mergers and acquisitions and corporate finance activities and acted as Company Secretary from 1990 to 1998. He was appointed as Executive Director & Chief Financial Officer in January 1999 and held the position until August 2011. From August 2011 to December 2015, he was the Chief Financial Officer of Lafarge Cement China Limited. Mr Yeoh was the Chief Financial Officer of Huaxin Cement Limited, China from January 2016 to July 2017.He then rejoined Lafarge Malaysia Berhad as the Chief Financial Officer in August 2018 and was appointed  Interim Chief Executive Officer in November 2018. Mr Yeoh Khoon Cheng was redesignated as Chief Executive Officer on 13 March 2019. Consequent to the redesignation, he stepped down from the position of Chief Financial Officer. Mr Yeoh Khoon Cheng then stepped down as Chief Executive Officer on 17 May 2019 and remained as an Executive Director.
