Unless otherwise defined, the definitions set out in the Announcements shall apply herein.
On behalf of SMTrack, TA Securities wishes to announce the following: (i) the Company has decided not to proceed with the Proposed Acquisition after considering, amongst others, Wellspring’s financial performance for FYE 31 December 2017 which does not meet SMTrack’s expectation. The Company and Stage 1 Vendors will enter into a Deed of Termination, Release and Discharge to terminate the SSA in due course; and
(ii) the Proposed Rights Issue of Shares With Warrants, Proposed MGO and Proposed Private Placement 2 will be aborted subsequent to the termination of the SSA.
