The Board of Directors of FITTERS Diversified Berhad (“the Company”) is pleased to announce that FITTERS Construction Sdn Bhd ("FCSB"), a wholly-owned subsidiary of the Company, has accepted the Letter of Award (“LOA”) dated 30 November 2020 from Pencala Jaya Sdn Bhd for preliminary planning, infra-structure and main building works for Phase 3 of its development of 2-storey and 3-storey terrace houses for “Cadangan Rumah Teres 2-3 Tingkat Secara Serah Balik Di Atas Lot 4099 - 4104  & Sebahagian Lot 4098 (Tanah Rizab Melayu), Mukim Rawang, Daerah Gombak, Selangor Darul Ehsan untuk Tetuan Pencala Jaya Sdn Bhd” for a lump sum contract sum of RM78.3 million (“Contract”), detailing the following:- Description Amount (RM) A. Preliminaries – Pre Construction Works 2,000,000.00 B. Schedule No. 1 – Earthworks and Retaining Walls 4,992,792.00 C. Schedule No. 2 – Main Building Works 42,313,324.00 D. Schedule No. 3 – Compound Infra Works 14,549,300.00 E. Schedule No. 4 – Upgrading of Existing Main Infra Works 11,653,822.00 F. Schedule No. 5 – Contingency Sum 2,790,762.00 Total Final Contract Sum (Excluding 6% GST) 78,300,000.00 Preliminary planning works is expected to begin in December 2020. The contract was awarded based on FCSB good track record in the successful delivery of 338 units of terrace houses, including infra-structure works to Pencala Jaya Sdn Bhd under the RM97.8 million Phase 1 Azalea @ Taman Putra.  The handover was in July 2020. FCSB was also previously awarded a similar contract valued at RM81.5 million for the construction of 230 units of 2-storey terrace houses and 32 units of 3-storey terrace houses (Phase 2 : Belleza@Taman Putra). Approvals from the local authorities are at its final stages and earthwork is expected to begin in the last quarter of 2020. Some stages of upgrading the main infra-structure works such as main drain, on site detention pond, incoming water supply and road widening works worth approximately RM4.36 million for phases 2 and 3, had commenced and partially completed under the Phase 1 contract package. Under the recent Malaysia Budget 2021, the Government announced full stamp duty exemption scheme up to 31st December 2025 for Memorandum of Transfer and Loan Agreement for first time house buyer.  The reintroduction of the Home Ownership Campaign under the PENJANA plan and various property friendly incentives would help to stimulate the property market. The awarded construction contracts would ensure continuity and would contribute positively to the Group’s earnings for the financial years ending 31 December 2021-2023. The LOA is for a period of 24 months from the date of Building Plan approval by the relevant authorities or 42 months from 1 December 2020, whichever is earlier. None of the Directors and/or major shareholders of the Company and/or persons connected to them have any interests, direct or indirect in the LOA. The LOA will not have any impact on the share capital and/or shareholding structure of the Company. The Company does not foresee any exceptional risk other than normal operational risk associated with the LOA. The Board of Directors, having considered all aspects of the LOA, is of the opinion the acceptance of the LOA is in the best interests of the Group. This announcement is dated 30 November 2020.

On behalf of the Board of Directors of FITTERS, TA Securities Holdings Berhad wishes to announce that the Company proposes to undertake the following:- (I)         proposed private placement of up to 144,149,100 new ordinary shares in FITTERS (“Shares”), representing approximately 30% of the total number of issued Shares to independent third-party investor(s) to be identified later and at an issue price to be determined later (“Proposed Private Placement”); and (ii)         proposed establishment of a share issuance scheme of up to 15% of the total number of issued Shares (excluding treasury shares, if any) (“Proposed SIS”). In conjunction with the aforesaid Proposals, FITTERS intends to terminate the long term incentive plan ("LTIP") which took effect on 11 November 2013 for a period of 5 years and has been extended for up to another 5 years immediately from the expiry of the first 5 years.
