Axiata wishes to inform that the Tribunal in the BIT Arbitration has today, granted Axiata UK and Ncell’s application for a Provisional Measures Order (“PMO”) ordering that Nepal, its agencies and officials, including the Large Taxpayer Office of Nepal (“LTPO”) and the Inland Revenue Department ("IRD"), be restrained (until an Award or a reconsideration by the Tribunal of its decision) from:
a) taking any steps to enforce or otherwise give effect to the demand letter served by the LTPO against Ncell dated 6 December 2019 in which the LTPO demanded that Ncell pay NPR 22,445,397,955.05 in allegedly outstanding capital gains tax (including interest and penalties) in connection with the sale by TeliaSonera Norway Nepal Holdings AS to Axiata UK of 100% of the share capital of Reynolds Holdings Limited in 2016; and
b) taking any steps which would alter the status quo between Axiata UK, Ncell and Nepal or aggravate the present dispute.
Nepal and its agencies and officials (including the LTPO and the IRD) are obliged under international law to comply with the PMO.

The application for the Proposed Merger has been made with the National Bank of Cambodia (“NBC”) and the Ministry of Commerce of Cambodia (“MOC”), for the cessation of the legal existence of SmartLuy and for the governing structure of SmartLuy to be merged with and into PI PAY. The notification of the successful application for the Proposed Merger was received from the NBC/MOC on 14 July 2020 on which date the legal existence of Smartuy would cease with the continuance of Smartluy and Pi Pay as one entity.
The cessation of SmartLuy will not have any material effect on the earnings or net assets of the Axiata Group for the financial year ending 31 December 2020. None of the Directors or major shareholders of Axiata or persons connected with them has any interest, direct or indirect, in the said cessation.
The cost of investment of SmartLuy is USD2 million.

Along with the conversion, the name of the Company has been changed to “Ncell Axiata Limited”.
The conversion to a public limited company was undertaken to comply with Section 12 of the Companies Act, 2063 (2006) of Nepal which requires a telecommunications company having a minimum paid-up capital of NPR 50 million to convert its corporate status to a public limited company.
This change of name and conversion is pursuant to the approval of the Government of Nepal, Ministry of Industry, Commerce & Supplies, Office of the Company Registrar dated 3rd August 2020 (“Effective Date”). All business transactions shall be carried out in the new name of the Company from the Effective Date.

Prior to joining Axiata, Izzaddin was the Group Managing Director/Chief Executive Officer of UEM Group Berhad, a position he held since July 2009 until his departure in October 2018. Immediately before his position in UEM Group Berhad, he was the Chief Financial Officer/Senior Vice President (Group Finance) of Tenaga Nasional Berhad, a position he held from September 2004 to June 2009. Izzaddin has over 20 years of experience in the fields of investment banking, financial and general management having served in various senior positions at Malaysian International Merchant Bankers Berhad, Malaysian Resources Corporation Berhad and Southern Bank Berhad. |
