ACQUISITION OF NEW SUBSIDIARY

-  ACQUISITION OF NEW SUBSIDIARY
Pursuant to Paragraph 9.19(23) of the Listing Requirements, YTL Corporation
Berhad (“YTL Corp” or “the Company”) wishes to announce that Marble Valley Sdn
Bhd (“MVSB”), a 80%-owned subsidiary of YTL Corp, has on 21 January 2008
subscribed for/acquired 199,999 ordinary shares of RM1.00 each in Marble Valley
Two Sdn Bhd (Company No. 791977-U)(“MVTSB”) representing 80% of the entire
issued and paid-up share capital of MVTSB via the subscription of 199,998
ordinary shares, and acquisition of 1 ordinary share for a total cash
consideration of RM199,999.00 (“the Subscription cum Acquisition”). As a result
of the Subscription cum Acquisition, MVTSB has become a subsidiary of MVSB and
an indirect subsidiary of YTL Corp.

MVTSB was incorporated on 12 October 2007 and presently has an authorised share
capital of RM500,000.00 divided into 500,000 ordinary shares of RM1.00 each of
which 250,000 ordinary shares of RM1.00 each have been issued and fully
paid-up. MVTSB is principally engaged in the business of managing and operating
a boutique hotel known as “Majestic Hotel Melaka”.

The Subscription cum Acquisition does not have any material effect on the
earnings, net assets or gearing of YTL Corp Group for the financial year ending
30 June 2008. None of the Directors and/or major shareholders of the Company or
persons connected to them have any interest, direct or indirect in the
Subscription cum Acquisition.
