1.          INTRODUCTION                           
We refer to our announcement dated 8 February 2012 where it was announced that Hopetech has issued a Letter of Award dated 8 February 2012 to appoint TMS as a subcontractor to work together for the above Project on certain portions of the Project.

2.           STATUS OF THE LETTER OF AWARD
Pursuant to the discussions between TMS and Hopetech arising from the Letter of Award, it is not feasible for the Company to undertake the Project, principally due to funding is not available within the required time frame of delivery. Hence, TMS has decided not to accept the Letter of Award from Hopetech in relation to the Project.

3.         OTHERS For the avoidance of doubt, the Collaboration Agreement entered into between TMS and Hopetech on 3 February 2012 (the salient features of the Collaboration Agreement have been duly announced on an even date) is still valid.

（吉隆坡7日訊）TMS公司（TMS，0060，創業板科技組）決定不接受Hopetech公司所頒發的大馬鐵道公司自動收費系統二手承包合約。

TMS公司在文告中表示，有關合約不可行，主要因無法在期限內取得融資。

惟雙方在2月3日達致的的合作協議仍然有效。（星洲互動）

媒体网络发股收购两公司

（吉隆坡11日讯）媒体网络（TMS，0060，创业板）今日將通过发股方式以总值1448万令吉进行两项收购计划。

媒体网络將通过发售1亿2500万股，以总值1250万令吉收购Viewnet Computer系统有限公司。同时，该集团也会通过发售1980万股，以总值198万令吉收购Open Adventure有限公司的66%股权。这两项计划的每股发售价为10仙。

这项收购计划將加强媒体网络的营业额来源，目前该公司以工程基础为主，所以都需较长的时间进行和取得营业额，但收购Viewnet將能让他们通过信息和通信技术零售销售业务获得营业额。至於Open Adventure则能为该集团带来协同效应，能够为其目前的解决方案和工程提供技术。

在完成收购后，Viewnet大股东將成媒体网络的大股东，共持有7.68%股权。若媒体网络的雇员认股期权全面转换之后，將稀释至5.91%股权。

（吉隆坡9日讯）媒介工作坊（TMS，0060，创业板）建议私下配售不超过邀足股本的10%，筹1106万令吉作为独资子公司Viewnet电脑业务扩展用途。

媒介工作坊向马交所报备，建议私下配售缴足股本最多10%股权，也就是最多11亿655万2365股（每股面值10仙）。

公司指出，发售价在不低于每股面值10仙的情况下，最低可筹获651万1000令吉（若当中的凭单和雇员认股计划没有被行使），最高可筹获1106万6000令吉。

媒介工作坊表示，上述酬获的资金将主要用于独资子公司Viewnet电脑业务扩展用途。[南洋财经]
