Pursuant to Paragraph 10.08(1) of Bursa Malaysia Securities Berhad’s (“Bursa”) Main Market Listing Requirements (“Listing Requirements”), the Board of Directors of DRB-HICOM (“Board”) wishes to announce that HGSB, a wholly-owned subsidiary of Glenmarie Properties Sdn Bhd which in turn is an indirect wholly-owned subsidiary of DRB-HICOM, had on 30 October 2020 entered into a conditional sale and purchase agreement (“SPA”) with EPSB to acquire nine (9) parcels of freehold land and one (1) parcel of leasehold land with an aggregate gross area measuring approximately 287.73 acres or 116.44 hectares located at Mukim of Pulau Sebang, District of Alor Gajah, State of Melaka (“Lands”) with certain identified structures in its current existing physical condition and state with vacant possession and free from encumbrances (save for the agreed physical encumbrances on the identified structures) from EPSB for a total cash consideration of RM240 million (“Proposed Acquisition”), subject to adjustment in accordance with the terms of the SPA. Description	DRB-HICOM BERHAD ("DRB-HICOM" or "the Company")- Notice of Assessment by the Inland Revenue Board of Malaysia ("IRB") to HICOM Holdings Berhad ("HHB")
DRB-HICOM wishes to announce that on 30 August 2024, HHB, a wholly owned subsidiary of DRB-HICOM, has received a Notice of Assessment (“Notice”) from the IRB for the year of assessment 2020 amounting to RM246,245,935.49 (including penalty). The Notice was raised pursuant to IRB’s decision to treat a gain from the disposal of a long term investment held in a subsidiary as income subject to tax under Section 4(a) of the Income Tax Act 1967 for the year of assessment 2020. HHB is given 30 days from the date of the Notice to appeal against the IRB’s decision. Upon consulting its tax counsel and solicitors, HHB is of the view that there are valid legal grounds to defend against the Notice. Therefore, HHB intends to appeal and if required, initiate legal proceedings to challenge the basis and validity of the Notice raised by the IRB. DRB-HICOM will make further announcement if there are any material developments pertaining to this matter. This announcement is dated 2 September 2024.
