Bhd. (“SMCSB”), the 95% owned subsidiary of Sinmah Amegajaya Healthcare Sdn. Bhd. ("SAHSB"), the 70% owned subsidiary of the Company had incorporated a new subsidiary known as Sah Medical Center (Segamat) Sdn. Bhd. (“SMCSSB”) under the Companies Act, 2016. The intended principal activities are hospital development, management and construction and to carry on all healthcare related activities.
SMCSSB was incorporated with an issued share capital of RM1,000.00 comprising 1,000 ordinary shares. 100% of the issued share capital of SMCSSB is owned by SMCSB. Upon incorporation, SMCSSB shall become a wholly-owned subsidiary of SMCSB.
The above incorporation does not have any effect on the issued share capital of the Company and has no material effect on the earnings and net assets of the Company and its subsidiaries for the financial year ending 31 December 2019.
None of the directors and/or substantial shareholders of the Company, or persons connected to such director and/or substantial shareholder has any interest, direct or indirect, in the said incorporation.

("SAHSB"), A WHOLLY-OWNED SUBSIDIARY OF SCB FOR AN AGGREGATE SUBSCRIPTION FEE OF RM600.00. | The Board of Directors of SCB wishes to announce that SMC BATU KAWAN, a wholly-owned subsidiary of SAHSB, a wholly-owned subsidiary of SCB has on 21 October 2019 increased its issued share capital to RM1,000.00 by issuance of additional 900 ordinary shares at an issued price of RM1.00 per share. Out of 900 ordinary shares, 600 ordinary shares had been taken up by SAHSB for an aggregate subscription price of RM600.00, thereby increasing SAHSB’s investment in SMC BATU KAWAN from RM100.00 to RM700.00 and 300 ordinary shares had been taken up by Oasis Glory Sdn. OGSB was incorporated in Malaysia as a private limited company on 14 October, 2011. The principal activity of OGSB is investment holding. The issued share capital of OGSB is RM2.00 comprising of 2 ordinary shares.
The Directors and Shareholders of OGSB are Mr. Chuah Chew Hai and Ms. Chuah Peak San and each of them hold one ordinary share each in OGSB. Both of them are non-related parties to SCB group of companies.
With the cooperation between SAHSB and OGSB, it will increase the operational efficiently of the Company’s healthcare business as the shareholders and the directors of OGSB have access and are familiar with land locations in Penang. As such, OGSB would be able to contribute in terms of suitable locations in Penang for the purpose of setting up hospitals and clinics.
The Subscriptions, upon completion, will reduce SAHSB’s investment in SMC Batu Kawan from 100% to 70% as shown below :-

NON RELATED PARTY TRANSACTIONS | Description | SINMAH CAPITAL BERHAD ("SINMAH" OR THE "COMPANY")(i) PROPOSED DIVERSIFICATION INTO HEALTHCARE BUSINESS ("PROPOSED DIVERSIFICATION"); AND(ii) PROPOSED ACQUISITIONS OF TWO (2) PROPERTIES ("PROPOSED ACQUISITIONS").(COLLECTIVELY REFERRED TO AS "PROPOSALS") | We refer to the Company’s announcements dated 17 January 2019 and 31 July 2019 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.
On 17 January 2019, SAH Medical as the Purchaser had entered into SPA 1 and SPA 2 with The Aston Holiday Sdn Bhd (“Vendor”) to acquire a piece of freehold land together with a three-star hotel erected thereon and a piece of freehold land together with a 6-storey commercial building erected thereon. Subsequently, SAH Medical had on 31 July 2019 entered into Supplemental SPA 1 and Supplemental SPA 2 with the Vendor to vary certain terms and conditions of the SPA 1 and SPA 2, respectively.
(SPA 1, SPA 2, Supplemental SPA 1 and Supplemental SPA 2 are collectively referred to as the “SPAs”)
On behalf of the Board, TA Securities wishes to announce that SAH Medical had on 17 February 2020 issued a notice of termination (“Notice”) to the Vendor to formally terminate the SPAs.
The reason for the termination as indicated in the Notice is the breach by the Vendor of certain terms in the SPAs whereby the market values of the Properties have been devalued as a result of the removal of various fittings, furnishing and/or furniture in and on the Properties.
Pursuant to the Notice, SAH Medical is seeking for a refund of deposits and first payments totalling RM2,740,000 as well as liquidated damages amounting to RM2,700,000 from the Vendor, in accordance with the terms of the SPAs.
At the same time, SAH Medical is considering all its options including negotiations to re-acquire the Properties at a purchase consideration to be determined, and will make the necessary announcements in the future.

The Board of Directors of SCB wishes to announce that Sime Darby Property (City of Elmina) Sdn. Bhd. (Formerly known as Sime Darby Elmina Development Sdn. Bhd.) (“SDP Elmina”) had on 14 February, 2020 accepted an offer from Sinmah Amegajaya Healthcare Sdn. Bhd. (a 70%-owned indirect subsidiary of the Company) (“Sinmah Amegajaya”) to purchase a piece of land measuring approximately 5 acres which has been sub-divided from a piece of land held under H.S.(D) 287140, PT 50327, Mukim Sungai Buloh, Daerah Petaling, Negeri Selangor (“Land”) for a purchase price of RM32,670,000 (“Purchase Price”) ("the Offer”), made through Sinmah Amegajaya’s letter of offer dated 20 November 2019, and subject to a sale and purchase agreement (“SPA”) to be executed by both parties within 3 months from the date of fulfilment of all conditions precedent.
Sinmah Amegajaya intends to build a university hospital and a hospital related building on the Land.
2. INFORMATION OF SDP ELMINA
SDP Elmina [Registration No. 199301028527 (283265-U)] was incorporated in Malaysia on 3 December, 1993 as a private limited company and have its business office at Level 10, Block G, No. 2, Jalan PJU 1A/7A, Ara Damansara, PJU 1A, Petaling Jaya, 47301 Selangor. SDP Elmina is principally involved in property development and investment.
3. SALIENT TERMS OF THE OFFER
3.1 CONDITIONS PRECEDENT PRIOR TO THE EXECUTION OF THE SPA
Sinmah Amegajaya shall obtain amongst others the following within 6 months after the acceptance date of the Offer or such other extension date as agreed by SDP Elmina (“Conditional Period”) prior to the execution of the SPA :-
(i) Confirmation from Kementerian Kesihatan Malaysia on the zoning of the Land for hospital purpose.
3.2 PAYMENT
Sinmah Amegajaya has paid RM326,700.00 being 1% of the Purchase Price (“Earnest Deposit”) on 17 February, 2020. The Earnest Deposit shall be forfeited if Sinmah Amegajaya fails to execute the SPA in accordance with the terms of the Offer. The Earnest Deposit shall be fully refundable in the event of non-execution of the SPA due to the non-fulfilment of the conditions precedent set out above.
3.3 VALIDITY OF THE OFFER
The Offer is valid for 6 months after the acceptance of the Offer or such other extension date as agreed by SDP Elmina.
3.4 TERMINATION OF THE OFFER
The Offer shall be terminated automatically if the Conditions Precedent cannot be fulfilled upon expiry of the Conditional Period.
4. FINANCIAL EFFECTS
The Board is of the opinion that acceptance of the Offer would not have any material effect on the net assets and earnings per share of the Company for the financial year ending 31 December 2020. However, it will contribute positively to the future financial performance of the Company if Sinmah Amegajaya and SDP Elmina will enter into a SPA within 3 months from the date of fulfilment of all conditions precedent as set out in item 3.1 above.
5. APPROVAL REQUIRED
No approval is required from the Company’s shareholders for acceptance the Offer.
6. DIRECTORS’ AND MAJOR SHAREHOLDERS’ AND/OR PERSONS CONNECTED WITH A DIRECTOR OR MAJOR SHARHOLDER’S INTERESTS
None of the Directors and/or major shareholders or persons connected to them has any interests, direct or indirect, in the Offer.
7. STATEMENT BY THE BOARD OF DIRECTORS
The Board is of the opinion that acceptance of the Offer is in the best interest of the Company.
The Company will make the necessary announcements upon any further development on the SPA.
