曙光资本与台湾航运公司签MoU

（吉隆坡4日讯）曙光资本（Suria Capital Holdings Bhd）与台湾航运公司签署谅解备忘录（MoU），以寻求双方之间的商业合作机会。

曙光资本今日向大马交易所报备，其中一个合作项目包括实施增长策略，大幅提升双边港口业务表现。

该公司补充，由独资子公司Sabah ports私人有限公司与台湾港务股份有限公司（TIPC）签署的MoU，不具任何法律约束力。

为期3年的MoU于4月3日生效。

台湾港务公司是台湾交通部全资拥有的国营企业，统辖基隆、台中、高雄和花莲4个港务分公司，以及管理这些港口各业务及相关设施及港口辅助业务。

SURIA wishes to announce that its wholly owned subsidiary, Sabah Ports Sdn. Bhd. (SPSB) had signed a Memorandum of Understanding (MOU) with Taiwan International Ports Corporation Ltd. (TIPC) on 3 April 2017. TIPC is a national enterprise that is wholly owned by the Taiwan Ministry of Transportation and Communications.  TIPC administers the four (4) subsidiary organisations of the Port of Keelung, Port of Taichung, Port of Kaohsiung and Port of Hualien and manages all aspects of the business of these ports, their associated facilities and their auxiliary ports. The objective of this MOU is to seek the opportunities for further business cooperation between the two parties.  "Implementing growth strategies for substantially enhancing bilateral ports operation performance" is one of the programs identified.  The MOU does not create any legally binding relationship between the parties.  The MOU shall take effect from the date of 3 April 2017 and shall effective for a period of three (3) years. The MOU entered between SPSB and TIPC will not pose any adverse financial risk to SURIA.  None of the Directors or Substantial Shareholders of SURIA or any other person connected to them has any interest whether directly or indirectly in the MOU. 加强港口业务‧MMC有意入股沙巴港口

（吉隆坡10日讯）丹斯里赛莫达掌控的MMC机构（MMCCORP，2194，主板贸服组），有意入股曙光资本（SURIA,6521,主板贸服组）属下沙巴港口，进一步加强其港口业务。

两家公司分别发表文告说，双方确实正洽商入股事项，不过，目前为止尚未达成任何协议。

目前，沙巴政府控制的曙光资本，拥有沙巴港口的100%股权。

MMC机构准备2018至2019年把旗下4港口分拆上市。该公司直接管理的港口包括丹绒柏勒巴斯港口和柔佛港口，通过特殊用途公司MMC港口私人有限公司拥有NCB控股和槟城港口等资产。

We wish to clarify that the discussion between MMC Corporation Berhad (MMC) and Suria with regards to the proposed acquisition of a stake in Sabah Ports Sdn Bhd by MMC Ports Holdings Sdn Bhd, a wholly-owned subsidiary of MMC, has taken place.  However as at to date, the Board of Directors of Suria has yet to make any firm decision in relation to the same. 曙光资本向交易所报备，子公司SCHB工程服务私人有限公司获颁合约，负责为沙巴铁路Halogilat站到Tenom站进行升级工作，为期18个月。

该公司相信，这能贡献明后财年的业绩表现。

We wish to announce that Sabah Ports Sdn Bhd (SPSB), a wholly-owned subsidiary of the Company has decided to insource the repair and maintenance services of cargo handling equipment from its wholly-owned subsidiary, S. P. Satria Sdn Bhd (SP Satria) effective September 2017. SP Satria was incorporated on 22 July 2003 as a joint venture company with the objective of supplying the repair  and maintenance services for cargo handling equipment and to have agencies with vendors to supply spare parts to SPSB.  Repair and maintenance of cargo handling equipment is part of port's undertakings under the privatisation of Sabah Ports. On 1 January 2016, SPSB has acquired 100% equity of SP Satria from SURIA and Trac-Wheels (Kota Kinabalu) Sdn Bhd. Under the insourcing exercise, SPSB absorbs a total of 70 staff of SP Satria and will purchase existing spare parts at the cost of RM3.7 million (as of 31 December 2016).  With the insourcing, duplication of functions such as Human Resource, Administration and HSE can be streamlined to reduce overhead costs. The insourcing of the repair and maintenance services is part of the Company's strategic plan to rationalise the existing businesses that are not contributing positively to the Group's earnings. 第三季净利挫72%

另一方面，曙光资本昨日亦公布业绩。截至九月杪，第三季净利大跌72.07%，收339万3000令吉，或每股1.18仙。营业额则涨44.8%，写8674万6000令吉。

曙光资本探进沙巴太阳能

（吉隆坡7日讯）曙光资本（SURIA，6521，主板贸服股）宣布收购了Suria RE私人有限公司的60%股权，以发展沙巴吧巴2.00MWa.c.的太阳能发电厂。

曙光资本是在去年杪获大马能源部颁发合约，负责在沙巴开发大型太阳能发电厂。

该公司今日向交易所报备，已收购Suria RE的60%股权。

另外的35%股权，由曙光资本子公司SCHB工程服务私人有限公司收购，而剩余的5%股权则由RAPS解决方案私人有限公司所持有。

（吉隆坡6日讯）沙巴州政府掌控的曙光资本（Suria Capital Holdings Bhd）取消了脱售独资子公司Sabah Ports Sdn Bhd（SPSB）股权予MMC Corp Bhd的计划。

2017年8月10日，曙光资本证实了《The Edge》财经周刊的报导，指该集团正与MMC Corp洽售SPSB股权，SPSB持有沙巴8个港口的30年特许经营权（从2004年起）。

曙光资本今日向大马交易所报备：“MMC Corp独资子公司MMC Ports Holding私人有限公司停止洽购SPSB，SPSB仍然是曙光资本的独资子公司。”

然而，曙光资本并无透露上述计划告吹的原因。

根据曙光资本的官网，SPSB经营的港口包括Sapangar Bay Container Port、Sapangar Bay Oil Terminal、Kota Kinabalu Port、Sandakan Port、Tawau Port、Lahad Datu Port、Kunak Port及Kudat Port。

处理的货物类型包括集装箱、干散货、普通货物和液体货物，特别是棕油和石油。

沙巴投资臂膀Warisan Harta Sabah私人有限公司持有曙光资本的45.4%股权，Yayasan Sabah Group及沙巴首长则分别持有3.67%及1.66%股权，这意味着沙巴州政府的持股权共50.73%。

Description	SABAH PORTS ON EXTENSION TRAIL TO RELOCATE TERMINAL - ARTICLE PUBLISHED IN THE MALAYSIA RESERVE ON 10 APRIL 2018
With reference to an article appearing in the Malaysian Reserve on 10 April 2018, Suria wishes to clarify that on 23 September 2016, Suria had announced that the Company intends to acquire approximately 28.9 acres of land located at Kota Kinabalu port in Sabah (KK Land) to develop an international cruise terminal and related reality in Kota Kinabalu and that Suria intends to raise funds to acquire the land via fund raising exercise.  On 21 March 2018, Suria had further announced that the Company had accepted the Offer to Alienate the 28.9 acres by paying the sum of RM24,237,500 to the Lands and Surveys Department, Sabah being the 50% premium payable. We wish to further clarify that at this juncture, Suria has not finalised the fundraising proposal for the alienation of the KK Land.  The Company is still evaluating the most appropriate avenue for such fundraising proposal which include equity (such as a possible rights issue with attached bonus shares) and/or debt issuance, and will make the necessary announcement on Bursa Securities once the fundraising proposal has been determined.
