我那问题,最重要的目的是确定YEO转移股票给家人.
答案是明确的,"It is not a requirement as he sold via DBT."
他没否认,而且是由第二个人回复的,之前是MACY.

至于第3和第4问题,他答不会,而不是"不清楚或不方便透露或有待董事局决定".

3.现在MR.YEO把股份减少,MR.BRAHMAL又成了最大股东,他会代替MR.YEO成为董事经理吗?

4.据我所知,MR.BRAHMAL跟世界第三大光碟厂商MOSERBAER有关联,请问MEGAN是否有打算和MOSERBAER合作?

那样的话,可以推断...
1.YEO放弃他董事经理的职位,可能性极小.
2.那BRAHMAL是敌意想做大,还是和YEO合作,后者可能性极大.
原因是震仓动机很明显,那半年来,MEGAN没增加负债,业绩没令人失望,又是在大牛迅速成长的阶段,而他在那段时间收足近5%的股份,股价却原封不动?!不是震仓是什么?
虽然我认为猜股价不好,可是大家都看到这几天MEGAN的股价,一上到6.20-6.30就突然间卖压超大,成交量也偏高.这情况已不是第一次发生了.
3.MEGAN不会和MOSERBAER合作,或许是BRAHMAL的情况不明朗吧.

明日（8月8日）在隆股市第二交易板掛牌的媒岸控股（MEGAN MEDIA），將在資訊工藝蓬勃發展下取得亮麗的表現。

全球數據儲存產品預計可取得逾10%的強勁成長，使媒岸控股從中受惠，預料明年銷售成長可達22%，而淨利也由去年的1000萬元揚升至1970萬元。

除生產錄影帶及塑膠零件，媒岸控股也擁有製造磁學與光學傳媒產品的技藝；製造的數據儲存產品如電腦磁片、可錄製光碟、可錄製數碼光碟、錄影帶、電腦塑膠零件與電子配件，並為數項電腦零組件進行精密金屬壓印活動。

該公司與MJC（新加坡）簽署技術轉換合約，在日本UNITECH（MJC的一名股東）的協助下，把可錄製光碟與可錄製數碼光碟的製造技術轉移媒岸控股。

電腦磁片外銷

出口佔集團營業額的92%，所生產的電腦磁片幾乎全面出口至美國和加拿大。雖然來自國內外的競爭依然激烈，產品價格也可望逐步滑落，惟管理層卻深信可透過成本節約與高度產量保持賺幅。

由于媒岸控股的原料約88%來自進口，故也進行一些外匯護盤行動，預估集團2001財政年的銷售成長可達22%。

媒岸控股獨資子公司MEMORY科技私人有限公司，取得可錄製光碟與可錄製數碼光碟的先鋒地位，即5年免稅額達法定收益的70%。這個領域預料可在2003年對集團營業額作出逾半貢獻。

媒岸控股繳足資本5470萬元，新股發售取得的資金，部分將用以購置首邦廠房，而72%則用以償還銀行借貸及作為營運資本。

執行主席拿督莫哈末亞當（也是創辦人之一）持有媒岸控股22.9%，執行董事楊偉祥是新加坡MJC創辦人，也是協助媒岸進軍可錄製光碟與可錄製數據光碟領域的功臣。

在資訊工藝蓬勃發展在大前提下，媒岸控股在強穩大股東與管理層及先進技術的引領下，預料隨著去年取得淨利1070萬元後，明年可進一步揚升至1970萬元。

All of us, at some point in our life, have read the story of King Bruce and the spider -- the disappointed king who took heart from the spider, which fell many times to finally complete the Web.

Deepak Puri, chairman and managing director of Moser Baer, is one such Bruce of the modern times.

He never complained or looked for excuses; he tried to find solutions. If he had problems at the Indian ports, he set up his own supply chain. If he had problems with power shortage, he did not crib. He just went on to set up a captive unit.

He faced a series of setbacks in the 40 years of his business life, but he never quit.

A masters in mechanical engineering from the Imperial College of Science and Technology, London, UK, Deepak started his business career from Kolkata.

His first factory -- Metal Industries Pvt. Ltd -- manufactured aluminum wires and pipes and AC conductors. But, labour militancy -- this was when the trade unions in Bengal ruled the roost -- forced him to shut down his factory.

This did not deter him. He started a second business -- this one was about manufacturing time recording devices for the banking industry. But, before Deepak could even settle down, the militant labour union members stormed into his unit and poured acid on some of his machines. Both his attempts to do business had come to a naught.

His wife and wholetime director and promoter of Moser Baer, Nita Puri recalls the tough times. She says, "In spite of all this, he fought all the way. He did not buckle. He was gheraoed at his plant but it didn't bother him. Only when they actually gheraoed our home that we decided to move out."

Deepak was down but not out and he was ready for the third attempt. "It was pure chance. I knew nothing about floppies, those days" confides the chairman and managing director of Moser Baer, adding, "Actually, I went to Mumbai to a friend's office. Those were the days of power shortage in Mumbai and people used to practice self-regulated power shedding. They switched off their electrical power voluntarily in their offices and houses."

"When I entered his office, he was fanning himself with a newspaper. So, I picked up the first object I came across to fan myself with -- an 8-inch square black object. But before I could begin fanning myself with it, my friend grabbed it back! It was a floppy disc. Believe me, I knew nothing about it or its data storage capacity."

Deepak had just spotted a business opportunity.

Wasting no time, he flew to California to talk to Xidex, then the largest manufacturer of data storage media in the world. India was not a known country at least on the technology front, those days. But the enthusiasm and conviction that Deepak brought to the table impressed Xidex to partner with him.

Thus Moser Baer came into being in 1983.

The company, which started with 8-inch and 5.5-inch disks today, ranks among the top three optical and magnetic storage (which includes CDs, DVDs, CD-Rs, CD-RWs and Lightscribe CD-Rs in the world.) Moser Baer stands for technology that matches the best in the world.

In R&D, it has set many industry benchmarks. It is the lowest cost optical media manufacturer in the world and has a human resource pool that is proud of every disk that leaves its facilities, with the 'Made in India' stamp, flashing proudly on it.

What makes him tick?

So, what keeps them at the head of the line and prevents them from stagnating? Listen to what Raghavendra Rao, an analyst from Frost & Sullivan, a leading business consulting firm that offers market research and analysis, says: "They keep on attempting to improve themselves. When their products start maturing or declining, they are ready with the next one. When the floppies went out, they moved onto CDs, and when CDs were in the mature phase, they moved onto DVDs, which are now in the growth phase. When the DVDs go into the nest phase of maturity, they will be ready with the next product."

And Deepak Puri knows that the fun has only just begun. To this day, Deepak keeps on trying -- this time to make Moser Baer an all-encompassing technology company, which will last 100 years from today.

His grit and business sense should make this a easy goal to achieve! Truly, he's King Bruce for the modern age.

中環2323(TW) 繼去年獲hd dvd 認證後，目前已開始申請藍光dvd認證，根據研究報告顯示，去年次世代光碟全球需求量約為30萬片，藍光約佔70%，hddvd約為30%，今年需求將大幅增加至200~300萬片，目前國內廠商中僅中環與錸碟通過hd dvd的認證(錸德亦通過藍藍光dvd的認證，目前中環擁有一條藍光光碟片生產線與一條hddvd生產線，3月份將小量出貨，因目前次世代光碟機佔有率極低，今年出貨量不大，預估今年營收比重約1%左右，錸德於次世代光碟片出貨量約為3萬片/月，asp約為10美元/片，毛利率在50%左右，預估今年營收比重約為1%。雖然二家廠商目前次世代光碟機的營收比重極低，今年出貨量不大，成為市場主流亦將在2010年之後。但因藍光光碟片生產線一條需要2億元左右，預估日後小廠將無力投資，目前僅中環、錸德、三菱、mbi與ricoh等5家通過認證，未來產業秩序將更為健全。就投資建議上，由於光碟片各廠去年幾乎均無擴產動作，今年預期在dvd-r需求成長下，市場秩序將更為健康，惟目前處於產業淡季，短線仍建議觀望

傳dvd–r四月份每片報價將跌至14~15美分

近期由於二線光碟片廠採取較為激烈的價格競爭手段，傳dvd–r四月份每片報價將跌至14~15美分，據了解此報價僅於8倍速的光碟片，至於16倍速的dvd-r報價仍維持在17~18美分，與07q1相當，對於一線大廠而言，目前於dvd-r的營收比重上，16倍數佔80%~90%的產出，8倍速僅10%~20%，因此影響不大，cd-r方面，q2報價仍維持在與q1相當的水準，約在11美分左右，上游原料成本方面，pc料q2持平，下半年因新產能開出，價格可望下跌，有助於毛利率，因此預估一線碟片廠q2營收獲利表現約與q1相當，投資建議上，因目前仍處淡季，雖然營運較去年大幅改善，但因營運動能不強，短線仍建議觀望。

THE merger and acquisition theme continues in the small-cap tech sector, with CD and DVD manufacturer and service provider Summit Holdings now subject to a general offer as well as a possible reverse takeover.


This comes after its chairman Lee Kerk Chong agreed to sell a substantial stake in the company to Thinkpac Ltd, which is buying 90 million shares from him for $13.5 million or 15 cents a share.

With Thinkpac's stake in Summit rising to 32.1 per cent after the acquisition, it is making a mandatory general offer of 15 cents in cash for the remaining shares it does not own. The offer values Summit at around $54.4 million.

But a spike in Summit's share price following news of the general offer has made Thinkpac's bid decidedly unattractive. The stock, suspended since last Friday for the announcement, jumped 90 per cent yesterday to 28.5 cents.

Thinkpac's offer is conditional on it obtaining control of more than 50 per cent of Summit's shares. Under his sale-and-purchase agreement with Thinkpac, Mr Lee has undertaken not to accept the general offer in respect of his remaining 55.4 million shares in Summit, which means he will continue to hold 15.3 per cent of the company. Thinkpac has said it intends to maintain the listed status of Summit.

Summit is a one-stop manufacturing service provider of CDs and DVDs for the audio, video, multimedia and IT industries. It was listed on the Singapore Exchange in 1995.

Thinkpac has said it has no current intention to make substantial changes to Summit's existing business and operations. However, it is considering expanding and diversifying Summit's operations.

In connection with this, it has proposed to Summit's board the possible acquisition of TES-Envirocorp Pte Ltd (TES) and its subsidiaries. The purchase consideration would be satisfied by issuing new Summit shares at 15 cents each, which could result in a reverse takeover of Summit. TES group provides one-stop electronic waste management solutions to multinational corporations.

However, no definitive agreement has been concluded. And the general offer is independent of the proposed TES acquisition and not conditional on the acquisition taking place, Thinkpac has said. Two shareholders of Thinkpac, David Loh Kim Kang and Han Seng Juan, have a deemed interest in TES.

Summit swung to a net profit of $4.1 million in 2006 from a 2.97 million loss in 2005, with revenue flat at $79.3 million. However, the company has warned that business will remain 'very competitive and challenging', with production cost pressured by the continuing high price of plastic resins. It says it will try to boost operational efficiency and look for acquisitions and joint ventures to expand its revenue streams and increase profitability.

VR就是说它炒你，但必须赔你钱。自己RESIGN的话，公司是不赔的。所以他们在等VR。

   还稳坐主席的位子，这不仅会让小股东对董事会丧失信心，

2．把公司管理权（控制性股权）不当一回事，
  （假设Yeo把股份卖给家人），
   这样的主席是否涉及专业操守问题，你认为呢？

3．如果Brahmal连同其它潜在的股东恶意收购megan，
   你们是能够继续牢控着公司管理权？？
   凭多少的股份控制权？如何避免恶意收购呢？

I come here to talk just hope nobody 舉債來投資, but i still believe Megan share will up not because of profit but .... anyway.. once hit your target that can earn money from megan share just release.!!
