最近evergreen由于财报接近，中国基建project而大起。这是市场的错误，而不是见底的讯号。

预计财报可能会比预测好，所以公布后可以高价卖出。

中国基建的计划则完全或很少帮助到evergreen。原因是其他地方退步更厉害。如果因为中国基建的计划推高原料价格，那么对evergreen的sales更是非常深的打击。另外原料价格下滑原因是需求减少，中国基建的计划只能帮助中国生产商不被外面sales减少而担忧。

更严重的是中国基建的计划斌没有用到很多evergreen的产品，cement,钢铁反而才是主流。所以evergreen还没有到低点，现在买进并不明智，一切的结果要等明年业绩就能看得更清楚。

从780楼的表就能看出evergreen在china的% 跌那么厉害就能完全了解中国的竞争力和产量。不要忘记这段时间是olympic建筑热潮，需要mdf的数量比现在的4万亿更多。

所以，结论是现在买进evergreen并不明智，完全是傻子根据趋势法，一听到基建就以为全部建筑材料股趋势来了。一切情况未定，现在断言还言之过早。最安全买进evergreen的时间是明年2月尾公布业绩的时候，看看到底影响严重有几深就能了解。

什么时候需要有recurrent related party transaction?
下面这个我不了解：

在b)，什么东西exceeds 1%？

Contents : Pursuant to Paragraph 2.0 of the Practice Note 12/2001, the Board of Directors of EFB wishes to announce that in the course of the Group's operations, an associate company of EFB, Dawa Timber Industries (M) Sdn. Bhd. (“DTI”), has entered / shall enter into recurrent related party transactions of revenue or trading nature ("Transactions") which are necessary for the Group's day-to-day operations with certain related parties of EFB as disclosed in the tabled below.

The Transactions entered into is in the ordinary course of business, made at arm's length, on normal commercial terms and on terms not more favorable to the related party than those generally available to the public and is not to the detriment of the minority shareholders.

As the estimated value of the Transactions falls within the ambit of the Paragraph 2.0 of the Practice Note 12/2001, that is,

a) the consideration, value of the assets, capital outlay or costs of the Transactions is equal to or exceeds RM1 million; or
b) the percentage ratio of such Transactions is equal to or exceeds 1%,

whichever is the higher.

Thus, the Company is required to make an immediate announcement instead of obtaining shareholders' mandate for such Transactions.

INFORMATION ON DTI
DTI (Company No. 32799-M), a company incorporated in Malaysia on 10 May 1977 with its relevant information as follows:

i) Authorised capital of RM2,000,000 comprising of 2,000,000 ordinary shares of RM1.00 each.
ii) Paid-up capital is RM600,000.
iii) Its principal activity is manufacturing of fancy plywood.


INFORMATION ON EVERGREEN ADHESIVE & CHEMICALS SDN BHD ("EAC")
EAC (Company No. 757659-T), a company incorporated in Malaysia on 27 December 2006 with its relevant information as follows:

i) Authorised capital of RM5,000,000 comprising of 5,000,000 ordinary shares of RM1.00 each.
ii) Paid-up capital is RM2,500,000.
iii) Its principal activity is the manufacture of urea formaldehyde concentrate and adhesive products.

INFORMATION ON EVERGREEN FIBREBOARD (JB) SDN BHD ("EJB")
EJB (Company No. 751664-M), a company incorporated in Malaysia on 30 October 2006 with its relevant information as follows:

i) Authorised capital of RM10,000,000 comprising of 10,000,000 ordinary shares of RM1.00 each.
ii) Paid-up capital is RM10,000,000.
iii) Its principal activity is the manufacture of medium density fibreboard with or without lamination.

RATIONALE OF TRANSACTIONS
The Transactions will enhance efficiency in production and subsequently cut operating cost and expenses for the Group.

EFFECTS OF TRANSACTIONS
1. Share capital and Substantial Shareholders’ Shareholding
The Transactions is not expected to have any significant effect on the share capital and substantial shareholders’ shareholding of EFB.

2. Earnings Per Share, Net Assets Per Share and Gearing
The Transactions is not expected to have any significant effect on the Earnings Per Share, Net Assets Per Share and Gearing for EFB.

DIRECTORS AND MAJOR SHAREHOLDERS' INTEREST
Save as Disclosed below, none of the Directors and/ or major shareholders of EFB or any persons connected with them have any interest, direct or indirect, in such Transactions: -

Kuo Wen Chi, Kuo Jen Chang and Kuo Jen Chiu are Directors in EFB, EJB, EAC and DTI.
Kuo Wen Chi, Kuo Jen Chang and Kuo Jen Chiu are major shareholder in EFB.

STATEMENT BY THE DIRECTORS
The Board, after careful deliberation, is of the opinion that the Transactions is in the best interest of the Group.

请问一下，minority interest应该是指那些子公司的盈利吧。。。比如说A company 和B company是 X company 的子公司。。。 如果X company持有70%A company 和10%B company。。。 那么A 和B地盈利都是算minority interest吗？？？

是不是如果没有办法100%持有一间子公司，那间子公司的盈利就算minority interest？

evergreen为什么在去年还有 正（+ve)的minority interest。。。今年却是负（-ve)的minority interest。。。什么原因？值得研究。。。

好像是少过50%就算minority interest...
到底minority interest指的是？？？有点抽象，有没有人可以给一个例子？
