After the completion of the Proposed Disposal, AHB will hold 92% of equity interest in UIH whilst Cremorne will hold 8% of equity interest in UIH. Description	ATLAN HOLDINGS BHD. (AHB OR THE COMPANY)ACQUISITION OF THE REMAINING SHARES IN DFZ CAPITAL SDN. BHD. ("DFZ") BY DUTY FREE INTERNATIONAL LIMITED ("DFI"), A SUBSIDIARY OF THE COMPANY
The Board of Directors of AHB (“Board”) wishes to announce that DFI entered into a Termination Deed (“Deed”) with DFZ and Heinemann Asia Pacific Pte. Ltd. ("HAP") to purchase the Deadlock Shares, representing 15% plus one ordinary share of the total issued share capital in DFZ at the purchase consideration of RM45,800,000.00 from HAP ("Acquisition") and the termination of ancillary agreements entered into between DFI, DFZ and HAP, upon the terms and conditions as stipulated in the Deed.   Please refer to the attachment for the details of the above Acquisition. A copy of DFI’s announcement dated 7 December 2021 to the Singapore Exchange Securities Trading Limited in respect of the Acquisition is attached herein for easy reference. This announcement is dated 7 December 2021.
