CIMB plans to issue 25m call warrants each in TM, BToto
By Surin Murugiah

Commerce International Merchant Bankers Bhd (CIMB) yesterday proposed an issue of up to 25 million cash-settled call warrants over ordinary shares of RM1 each in Telekom Malaysia Bhd (TM) and Berjaya Sports Toto Bhd (BToto) respectively.

In a statement on July 12, CIMB said the issue price of 41.5 sen for the TM call warrants (TM CW) was equivalent to 9.15% of the one-day volume weighted average market price (VWAMP) on July 11, 2006 of TM shares on the basis of two TM CW for one TM share based on the exercise price of RM9.07.

In a separate announcement, it said the BToto CW was priced at 30 sen, equivalent to 6.77% of the 1-day VWAMP on Tuesday, with the exercise ratio of one BToto CW for one BToto share. The exercise price will be RM4.43.

CIMB said that the exercise period for both call warrants was for eight months from the date of issue and that the TM CW and BToto CW were guaranteed by Bumiputra-Commerce Bank Berhad.

It added that the final issue size, issue date and expiry date of the call warrants would be announced upon their issue.

The TM CW and BToto CW are the fifth and sixth call warrants respectively to be issued by CIMB under a Base Prospectus dated April 7 this year.

Both the call warrants are subject to the terms and conditions of the Base Prospectus dated 7 April 2006, First Supplementary Base Prospectus dated 23 May 2006 and Second Supplementary Base Prospectus dated 12 July 2006, and Term Sheet dated 12 July 2006.
