陈华春辞吴万发主席

（吉隆坡8日讯）丹斯里陈华春和其他两名高层，辞去吴万发（GBH，3611，主板工业产品股）董事职位。

吴万发今天向交易所报备，该公司大股东陈华春，因减持部分股权给柔置地集团，因而辞去吴万发非独立非执行董事兼主席职位，即日起生效。

另外，拿督斯里陈汉川和潘永春（皆译音），也卸下执行董事职位，从即日起生效。陈汉川是陈华春的儿子。

今年9月27日，柔置地集团董事经理拿督斯里陈培成及胞弟拿督斯里陈培宝，通过Paragon Adventure私人有限公司，出价每股1.40令吉及每张凭单40仙，向吴万发大股东丹斯里陈华春，收购51%股权和51%凭单。

陈华春在同日脱售9518万3080股和3113万2990张凭单；目前持有2393万2600股或12.823%，以及1515万5200张或24.827%凭单。

另一方面，吴万发昨天向交易所报备，截至昨天的献议期限，排除陈华春脱售的股权，共获得22.1%股权或4120万7325股，以及59.4%或3624万5451凭单，接受这项献议。【e南洋】

陈英文父子任主席董经

（吉隆坡4日讯）吴万发（GBH，3611，主板工业产品股）宣布两项人事变动，执行董事拿督斯里陈培成转任董事经理，并委任其父亲拿督陈英文担任主席。

吴万发日前向交易所报备，现年36岁的陈培成，将从执行董事一职，转任为董事经理。

他的父亲陈英文，将担任主席一职。

现年69岁的陈英文，也是柔置地集团创办人。

他于1970年投身职场，一开始主要从事家庭农业活动，之后再扩展知识至产业投资、产业发展、酒店和仓储领域。

他创业的40年以来，完成了数项不同的项目，包括北干那那工业区、Taman Putrimas、龟咯高尔夫球俱乐部 （Kukup Golf Resort），以及新山Grand Paragon酒店。

吴万发探进建筑产业
1.4亿购资产

（吉隆坡20日讯）吴万发（GBH，3611，主板工业产品股）以总值1亿4300万令吉向三方收购资产，借此多元化业务至建筑和产业发展。

吴万发今日向交易所报备，与独资子公司Paragon Bizhub私人有限公司（简称PBSB）签约的三家公司，分别是Pekan Nenas Industries私人有限公司（简称PNISB）、Pekan Nenas Development私人有限公司（简称PNDSB），以及Jayaplus Development私人有限公司（简称JDSB）。

首先，PBSB以1亿1760令吉，向PNISB收购一间未售半独立式工厂，共29单位，总建筑面积约为34万542平方尺，以及7块工业空地和1块商业空地，面积约27英亩。

之后，又以810万令吉，向PNDSB收购2块约4.95英亩的工业空地。

此外，向JDSB收购6块工业空地和1块宿舍空地，面积达约10.57英亩，收购价1730万令吉。

合计上述收购，吴万发共收购了一间半独立式工厂、15块工业空地、1块商业土地和1块宿舍空地，地点均位于柔佛州达鲁塔金（Johor Darul Takzim）。

吴万发将通过内部融资、银行贷款或股权融资完成收购。

配合这三项收购计划，吴万发建议多元化集团业务，至包括建筑和产业发展业务。目前，吴万发主要涉及租赁产业、投资控股和陶瓷器皿和餐具贸易。

增加地库面积

吴万发指出，由于陶瓷器皿和餐具贸易营业额增长有限，通过多元化至建筑和产业业务，可让公司减少依赖现有的核心业务。

此外，也能增加现有地库面积，及贡献新营业额来源，从而扩大净利基础。

有关上述几项活动，吴万发将在特别股东大会上征求股东同意。【e南洋】

吴万发第三季转亏92万

（吉隆坡19日讯）吴万发（GBH，3611，主板工业产品股）截至去年12月杪第三季，净亏91万6000令吉或每股0.49仙，由盈转亏。

吴万发上财年同期为净赚27万2000令吉或每股0.15仙。

第三季营业额按年大跌62.78%，报288万3000令吉。

累计9个月，净利暴增135.41%，至132万3000令吉；营业额写1098万5000令吉，大跌64.74%。

吴万发向交易所报备，在去年已完全终止的制造业务，在当季和首9个月的税前盈利，分别达4000令吉和44万3000令吉，主要来自定期存款的利息收入，及拨回应收款项拨备。

受到产业市场疲弱拖累，卫生洁具销售减少，贸易业务营业额在当季和首9个月，分别按年跌63.2%和60.2%。

联号贡献跌

此外，联号公司Time Galerie（马）私人有限公司的盈利贡献也萎缩，归咎于销售走低。

展望未来，由于令吉疲软导致采购成本上涨，加上产业市场低迷抑制需求，预计卫生洁具业务接下来备受挑战。

不过，吴万发近期向三方收购资产多元化业务至建筑和产业发展，将带来新收入来源，贡献未来营业额和盈利能力。【e南洋】
