百利金中國銷售額 冀2年內可達6000萬

（吉隆坡10日訊）百利金（PELIKAN，5231，主要板消費）希望，透過與綜合塑料文具業者中國文具（CSL，5214，主要板消費）的合作，擴大在中國銷售市場，預計未來2年在中國市場銷售額可達2000萬美元（約6113萬令吉）。

百利金總執行長呂少傑說，中國文具在中國及其他亞洲國家皆擁有龐大的分銷網絡，百利金從中受惠，擴大位于中國的銷售市場，並提高該公司營業額。

他說，中國文具將以非獨家代理形式，負責銷售該公司旗下品牌位于中國及香港的銷售工作，另外中國文具也將協助該公司于中國尋找及採購他們所需的產品等。

他今日出席兩家公司簽署2年非獨家經銷協議后，發表談話；出席者包括中國文具執行主席關永賢及財務總監陳秀威。

提倡教育重要性
呂少傑指出，百利金過去兩年受歐洲經濟低靡打擊所影響，導致該公司必須進行大規模重組計劃，包括裁員和脫售非核心業務，削減成本和簡化營運等，預計該重組計劃將在明年首季完成。

“儘管歐債危機對公司影響很大，但我們仍然看好公司未來業務發展，主要因為各先進國不斷提倡教育的重要性，公司主要業務為生產及行銷辦公室及學校文具，這些都是教育的必需品之一。”

另外，呂少傑說，該公司冀望于中國南部設立一家研發中心，以轉移歐洲業務不佳的影響力，但該中心不會涉及百利金的重大投資；該中心將設在上海或深圳。

中國文具
委代表入董事局
繼中國文具收購百利金9.8%股權后，中國文具將委派代表進入百利金董事局，直接參與百利金運作。

關永賢說：“經過百利金董事局同意以后，我們將委派代表進百利金，直接參與營運，這樣才能促使雙方之間更了解公司運作，及促進雙方合作關係。”

他指出，雙方合作是中國文具戰略之一，他相信這可帶給雙方多元化的經營及更多的發展潛能，提高營業額表現等。

“我相信經過一段時間的相互了解，包括了解產品、策略、經營方式、網絡后，才能促進銷售；預計將在下個財年帶來明顯貢獻。”

關永賢指出，西亞及亞洲國家是該公司目前所關注市場之一，公司未來也將在以上國家持續發展，目前，該公司位于中國共有131家分銷商，全球則高達300家分銷商。

截至目前為止，中國文具位于中國福建莆田市總部產能高達3萬3000頓，該公司冀望明年可將該產能提高至4萬4000頓。[ChinaPress]

积极精简规模 白利金冀明年转盈

（吉隆坡17日讯）白利金（Pelikan，5231，主板消费产品股）主席兼总执行长吕少杰预测，明年将转亏为盈。

吕少杰接受KiniBiz访问时说：“我们会在2014年转亏为盈。我们的业务并没有跌很多，文具还是基本需求。”

不过，投资者可能还会怀疑，因为白利金已连续3个季度蒙亏，而从现在起的2个财年内，欧洲经济看起来并未出现任何曙光。

截至2012年12月财年，公司净亏达5732万令吉，营业额16亿令吉，12个月每股亏损11.32仙。

2011财年间，白利金净亏8842万令吉，销售额则达19亿2000万令，每股亏损17.44仙。

吕少杰说：“欧洲的情况很不乐观，我们因此必须缩小规模。我们辞退了很多员工，约500人。现在我们计划把白利金德国业务与Herlitz合并。”

重组德国资产

白利金正在企业重组，德国资产将移至另一家公司，即持有70.92%股权、在法兰克福上市的HerlitzAktiengesellschaft。

除了Herlitz，白利金持有93.89%股权、在瑞士上市的白利金控股也在德国有业务。

根据白利金年报白利金AG在德国有6家独资公司。

白利金销售额60%源自德国，减低开销将显著影响净利。

另外，外汇亏损也是白利金蒙亏的原因。

根据公司2012财年年报，欧元兑令吉走弱也影响了德国业务汇兑后营业额。

年报指出，公司汇兑后营业额按年下跌了21.7%。

转移股份？ 持股减至16.11%

白利金发表文告说，2013年将专注重新调整营运，以符合目前的营运成本，集团预计会更有竞争力。

根据经济数据，德国经济2013年将增长0.5%，2014年有望达2%。

这些数据将改善消费者情绪，进而带动需求。

有趣的是，吕少杰已减低了持股权。

今年1月间，他持有公司16.57%股权（8455万股），而到了4月初时，持股权已减至16.11%（8207股）。

（吉隆坡8日讯）随着今年将完成内部重组计划以及欧洲前景转佳，白利金（Pelikan，5231，主板消费产品股）总裁兼总执行长吕少杰有信心公司2014财年可转亏为盈。

白利金在2011财年及2012财年分别蒙受8842万及5908万令吉的净亏损。进入2013财年，公司仍无法改善面对的困境，截至3月31日首季蒙亏923万令吉净亏损，相比于去年同期净赚514万令吉。

不过，吕少杰对公司前景感到乐观，并有信心明年可转亏为盈。

证券行中止提供评估服务　白利金国际志在重组

（吉隆坡12日讯）旨在重组以便有盈利可获的文具制造商白利金国际机构（PELIKAN，5231，消费产品组）首席执行员吕少杰称，公司并不急于吸引投资者直到本身获得“正确立足点”为止。这是吕氏针对一间英文报询问分析师中止为该公司提供评估服务，会为该公司带来什么样的冲击时，而作了如是称。

联昌证券研究行在其最近的一项投资报告中称，由于在过去连续两年业绩蒙受亏损，而未能显示好转的迹象出现，加上缺乏投资者的垂青，它已中止为该公司所提供的评估服务。

该公司在其最新季度业中仍然蒙受亏损，蒙亏920万令吉，而其营业额收益是3亿2880万令吉。

经纪行称，该公司面临强劲的挑战，其85%的收入贡献的欧洲市场，曾经历了连续6个季度的经济萎缩。它说欧洲的国内生产总值在2013年第一季度中下降了0.2%，而第四季度中却降0.6%。

在谈到业务前景时，他称：“白利金在德国的品牌仍然高踞榜首，以及在区域中的品牌是强大的。”

他说，公司第一季度的收入，德国带来52.5%收益，目前它会做的更好，因为商业信心有改善所致。

吕氏称，他预计未来的前景会更好，因为它今年年底完成其重组计划。“事实上，我们的运营利润率正在改善。”

该公司的重组计划所作出的努力，包括拟定削减亏损措施，以及实施、小口袋里的销售。

他解释说，公司于2010年收购的德国文具公司赫赫利茨公司拖累白利金国际机构的业绩表现。

基于该公司昨日51仙闭市价，以及截至3月31日为止的每股1.01令吉净有形资产来计算，这显示出其本益比是0.55倍。

该公司向大马交易所备报称，在截至3月31日为止的第一季度业绩中，其营业额收益下降21.3%，而由一年前的4亿1700万令吉缩至3亿2800令吉，这主要由于出售其业务和产品合理化，以消除低利润的产品。

答：
2012年10月，中國文具以發股方式，以5千萬令吉代價，向百利金國際的3名賣主收購百利金國際的9.79%股權，而3名賣主將持有中國文具的3.79%股權。

與中國文具合作創造附加價值

在通過股權掛鉤後，兩家公司將展開合作，特別是讓百利金國際的文具產品，通過中國文具的龐大中國市場網絡進入中國市場。同時，兩家公司也可創造協作及附加價值，共享資源及市場網絡，以達到更高的成本效益。

聯昌研究在其2013年3日1日的報告中指出，百利金國際在2012年財政年的虧損達到5千700萬令吉，為該行預測虧損的4倍，主要是進一步的重組成本及資產減記所致，使其未來業務展望依然暗淡不明及尚未脫離劣勢。

两国文化差异致意见分歧 中国文具白利金合作告吹？

（吉隆坡2日讯）中国文具（CSL，5214，主板消费产品股）在过去2个月频密减持白利金股权（PELIKAN，5231，主板消费产品股）至5.93%，市场消息传出，两者合作关系已告吹。

一名熟悉中国文具业务但不愿具名的消息人士向《南洋商报》表示，由于两国文化差异促使意见分歧，中国文具与白利金在无法达到共识下，合作关系在未满1年下告吹。

“在无合作关系作为基础下，中国文具进一步将白利金股权悉数脱售也是意料中事。”

不过，白利金总裁兼总执行长吕少杰却对《南洋商报》表示两者合作关系目前仍未生变，他以“一如既往”

作为简短回应，并强调不会对于中国文具售股活动提出任何回应。

中国文具是在去年10月献议以透过发新股方式，与白利金进行股权交换活动，前者发出每股1.06令吉新股，向白利金3大股东，以总值5000万令吉购入白利金9.79%或5000万股股权。

持股减至5.93%

随后，两者再于去年12月签署为期两年的经销协议，奠定进一步合作关系，白利金委任中国文具（以非独家方式）在香港和中国分销和销售旗下品牌办公室和学校文具。

合作協議料破局 中國文具百利金齊跌

（吉隆坡4日訊）中國文具（CSL，5214，主要板消費）及百利金（PELIKAN，5231，主要板消費）合作協議料破局，早盤兩股雙雙下滑且交投熱烈，佔據熱門股榜2席位。

今早開市時，兩股已在熱烈交投中下滑，中國文具平盤23.5仙開市，休市時跌0.5仙，掛23仙；閉市跌0.5仙，掛23仙，成交量6018萬2500股。

百利金開市跌2仙，掛48仙，休市時跌幅擴大至4.5仙，股價掛45.5仙；閉市則跌6仙，掛44仙，成交量3677萬9700股。

兩股交投受合作協議告吹消息推動，分居早盤十大熱門股之列，中國文具半日3282萬8100股易手，百利金成交量則達3263萬9100股，午盤交投持續熾熱。

日前《太陽報》引述中國文具職員證實，與百利金合作協議已取消，主要因為雙方無法就海外售價等細節達到共識。

投資者沒信心

SJ證券研究資深股票經紀吳繼宗回應《The Edge財經日報》指出，市場週一傳出該消息后，該股昨日高漲14.5仙或41%，掛50仙，今日走勢或屬套利。

“投資者對中國公司沒信心，也可能對中國文具脫售百利金股權的方式感到不滿，或認為拆夥對后者更好，帶動昨日升勢。”

中國文具8月28日及30日脫售百利金3.56%后，截至週二（3日）僅剩2.37%持股。[中国报财经]

PELIKAN INTERNATIONAL CORPORATION BERHAD (“PELIKAN” or “Company”) PROPOSED INTERNAL REORGANISATION OF PELIKAN’S BUSINESS IN GERMANY (“PROPOSED REORGANISATION”) The Board of Directors of Pelikan (“Board”) wishes to announce that it has on 3 October 2013 written to the Management Board of Herlitz Aktiengesellschaft (“Herlitz AG”) regarding Pelikan’s proposal to the Management Board of Herlitz AG (“Management Board”) to enable Herlitz AG to expedite the completion of the Proposed Reorganisation as the ongoing proposal to set-up a joint venture company to merge the Pelikan German and Herlitz German operations has taken too long to complete due to the complexities of such joint venture structure.   Please refer to the attachment for further information on the Proposed Reorganisation. This announcement is dated 3 October 2013.
