The Board of Directors of SCIB wishes to announce that SCIBCM had on 24 January 2019 entered into a Sale and Purchase Agreement (“SPA”) with RCSB, a company related to the directors and major shareholders of SCIB, namely, YBhg Tan Sri Datuk Amar (Dr) Hamid Bin Bugo and Encik Rewi Hamid Bugo, for the Proposed Acquisition. In view of the interests of the above mentioned directors and major shareholders of SCIB in the Proposed Acquisition, the Proposed Acquisition is a related party transaction under Paragraph 10.08 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad. （吉隆坡15日讯）Serba Dinamik Holdings Bhd创办人兼集团董事经理Datuk Mohd Abdul Karim Abdullah（图）提出一项强制全面献购（MGO），以每股1.10令吉收购未持有Sarawak Consolidated Industries Bhd（SCIB）的股票。

这意味着自8月1日担任SCIB非执行董事的Abdul Karim将需要拨出4853万令吉，全购未持有SCIB的股份。

这使得SCIB的估值为9447万令吉。

1.10令吉的报价，较SCIB今午2时52分暂停交易前的股价，溢价2.8%。该股平盘挂于1.07令吉，共4万9100股成交，市值为9189万令吉。

Abdul Karim以1919万令吉，或每股1.10令吉从SCIB的几位股东手中收购20.31%股权后，持股权增至42.84%，因而触发MGO。

SCIB向大马交易所报备，董事部今日收到Abdul Karim的献议通知，以每股1.10令吉，收购他及一致行动人士未持有的4412万股或51.37%

献购价较截至8月13日的5天成交量加权平均价1.072令吉，高出2.61%。

SCIB指出，Abdul Karim打算维持公司在马交所主板的上市地位，且这项献议将由他完全支付。
