中国欧华财报遭“保留意见”

（吉隆坡30日讯）中国欧华（CNOUHUA，5188，主板消费产品股）截至12月31日的2014财年已审计财报，遭独立审计师给予“保留意见”（Qualified Opinion）。
中国欧华向马交所报备，独立审计师Messrs Helmi Talib&Co表示，公司以1亿3200万人民币（约7040万令吉）收购厂房土地与建筑，但却没有针对该项资产作出独立专业评估。
“在缺乏独立评估下，无法确认该项收购资产的可收回金额，是否会超过总收购价。此外，交易失败，公司能够取回1亿1880万人民币（约6824万令吉）中多少的押金数额，也无法获得足够的审计证据。”
因此，独立审计师无法确认公司是否在2013财年财报中报告该项押金。
同时，审计师也会修改对现财年的意见，因该项事件将会影响财报数字。【南洋网财经】

烟台购地若失败 中国欧华可获6771万退款

（吉隆坡7日讯）中国欧华（CNOUHUA，5188，主板消费产品股）保证，若中国烟台市土地、建筑与相关设施的交易失败，当地政府将归还1亿1880万人民币（约6771万令吉）。
该公司昨日向马交所报备，正密切关注该项交易，且会加速业权转移。
该公司认为，要获得地契不会有任何问题，况且中国烟台市芝罘区黄务街道办事处（政府机构），也有意尽快完成该交易，并收取最后款项。
中国欧华解释，购地计划展延，是因为在签署买卖合约后，中国政府正对全国土地进行审核，进而暂停了土地相关交易活动。
该公司2013年年底，宣布收购烟台市卧龙北路3号的土地、建筑与相关设施。
该土地占地40英亩，建筑物面积达1万2600平方尺，拥有50年地契（到期可延长50年）。但购地计划拖延超过一年，导致中国欧华最近遭独立审计师Messrs Helmi Talib&Co给予“保留意见”（Qualified Opinion）。
不过，该公司说，暂时仍无法确定，购地手续完成的日期。【南洋网财经】

1. As provided in the Sale and Purchase Agreement (“SPA”), the deposit of RMB118,800,000.00 paid to Huangwu Subdistrict Office, Zhifu District, Yantai City, PRC (“Huangwu Subdistrict Office”) for the acquisition of all the land and buildings and ancillary facilities including 320KVA power distribution equipment, water supply system, roads surrounding the factory and enclosing wall (collectively known as “Assets”) located at No. 3, Wolong North Road, Yantai City shall be recoverable in the event the transaction for the acquisition is unable to be completed.
The Company has been dealing directly with Officers of Huangwu Subdistrict Office and monitors closely to expedite the transfer of property ownership. The Management envisaged there shall be no issues for the issuance of the land title and Huangwu Subdistrict Office had also indicated their intention to complete the transfer of property ownership as soon as possible and to receive the final payment.
2. The expected completion date of the acquisition as stated in the SPA entered in between Huangwu Subdistrict Office and the Company is by April 2014. However, shortly after execution of the SPA, the Land Commission of Central Government of China embarked on an exercise to conduct audit on all land titles in the entire China and thus de-prioritised the processing of all applications relating to land matters. At this juncture, the Board is unable to ascertain the expected completion date as the duration to be taken for the transfer of property ownership is reckoned to be hard to determine.
However, the Company is proactively engaging with the Huangwu Subdistrict Office and as stated above, Huangwu Subdistrict Office had indicated their intention to complete the transfer of property ownership as soon as possible and to receive the final payment. |

扁平策略抗衡进口酒 中国欧华转攻大众市场

（八打灵再也26日讯）为了抗衡进口葡萄酒的竞争，中国欧华（CNOUHUA，5188，主板消费产品股）调整营销模式，推行“扁平化”策略，调低价格以转攻大众与家庭消费市场。
执行主席及总执行长王超今天在股东大会后向记者说，“扁平化”即是从生产到消费，尽量减少销售层次和流通环节，直接面对消费者，实现成本优势，达到薄利多销。
“虽然利润水平下降，但是我们能增加销量，达到以量取胜，过去是以价格取胜。”
近年，中国进口葡萄酒的数量增加，市占率扩大，导致葡萄酒市场竞争加剧，加上进口酒价格也下降，对中国国产的葡萄酒品牌，发起严峻的挑战。
根据调查，中国国内葡萄酒生产企业，在去年有近80家停产，几个大型知名企业销售业绩都下跌。
因此，中国欧华如今决定转攻大众消费市场，告别过去的高档价位。
业绩暂跌
“中国过去只有有钱人才可以喝，现在时代不同了，家家户户也可以负担得起，所以，公司希望推广老百姓的普及率。”
虽然进口酒强占市场，但王超对中国的国产葡萄酒市场仍然充满信心，他相信生意有起有落，只要把业务做好，终会柳暗花明。
“我相信业绩下滑是暂时的，做生意不能一赚到底，也不能一赔钱就关门大吉，生小病是没问题的。”
截至3月底首季，中国欧华营业额下滑28%，报106万9000令吉；净亏损则从672万8000令吉，收窄至236万3000令吉。
至于公司在去年收购烟台市厂房土地与建筑的活动，王超指已启动办理土地过户程序，希望今年能完成收购。【南洋网财经】 |

收购资产没评估价格 中国欧华财报不过关

（吉隆坡30日讯）外部审计师对中国欧华（CNOUHUA，5188，主板消费产品股）2015财年经审计财务报表，发出“保留意见”（Qualified Opinion）声明。
外部审计师Messrs Helmi Talib & Co表示，公司在2013年收购一项资产，支付了1亿1880万人民币（约7149万令吉）订金，但却没有进行独立价格评估。
所以不确定可收回的净款额，是否会超过收购价。
2013年12月，中国欧华签署一项合约，以1亿3200万人民币（约7944万令吉），收购地皮、建筑物和附属设备，包括320千伏安（KVA）配电设备、水供系统、围绕厂房的道路和围墙。
公司已支付1亿1880万人民币，相等于总收购价90%的订金给卖方。
审计证据不足
Helmi Talib表示，假设交易失败，公司能够取回1亿1880万人民币中多少的订金数额，也无法获得足够的审计证据。
因此，无法确定公司自2013年12月31日，是否公平的列出该笔订金数额。

销量下跌冲击业绩
中国欧华冀葡萄酒业回稳

（八打灵再也23日讯）尽管葡萄酒销量下跌冲击业绩表现，中国欧华（CNOUHUA，5188，主板消费产品股）冀望将回稳后，重新激励增长。
中国欧华今日召开股东大会，一名出席大会的股东向《南洋商报》记者透露，管理层在会上表示，公司业务深受葡萄酒进口的激烈竞争而不甚理想。
基于中国对多个主要葡萄酒进口国家实施零关税，导致葡萄酒进口量大增，加剧市场竞争，影响公司业绩。
此外，加上中国政府自2012年开始推动的反贪倡廉政策，促使当地高官显贵减少交际应酬，降低了葡萄酒的销量。
虽然如此，管理层表示，公司售卖的葡萄酒不属于高级酒类，仍有潜在销售动力。
中国欧华截止3月杪，首季按年亏损282万8000令吉，比上财年同季净亏275万1000令吉严重。【e南洋】 |

中国欧华财报再遭“保留意见”
2017年4月21日
（吉隆坡20日讯）中国欧华（CNOUHUA，5188，主板消费产品股）因截至去年12月底财年的经审计财报，再次遭外部审计师发出“保留意见”（Qualified Opinion）。
该公司今日向马交所报备，外部审计师Messrs Helmi Talib & Co.针对该公司数项主要审计课题发出保留意见。
是该公司连续第4年，遭外部审计师发出“保留意见”。
Messrs Helmi Talib & Co.的审计结果显示，中国欧华有一笔1亿1880万人民币（约7149万令吉）的订金，记录在其他应收款项。
该笔订金占了总收购价90%，是支付给中国烟台市芝罘区黄务街道办事处，作收购地皮之用。惟审计师无法确定，该笔应收款项，会超过总收购价。
且Messrs Helmi Talib & Co.也未有足够证据指出，若未完成交易可收回多少订金。
因此也无法确定，中国欧华在截至2016年12月30日财年的经审计财报，对订金所做出的调整是否必要。
另外，Messrs Helmi Talib & Co.对于该公司现财年财报的意见也已经改变，因为上述事件，有可能会影响今年的财报。
该外部审计师也发现另外2个审计问题，包括贸易应收帐项的价值及库存的价值。【e南洋】 |
