面對停牌風險‧豐隆資本仍大起28仙

（吉隆坡4日訊）儘管豐隆資本（HLCAP,5274,主板金融組）面對潛在停牌風險，股價週三（4日）仍強勢升高，成功以全天最高價掛收。

豐隆資本小漲4仙，先以全天最低的14令吉26仙報開，過後越戰越勇，最終衝上14令吉50仙，共漲28仙，是第三大漲幅股，僅7千900股易手。

該公司仍有3個月左右限期，以在8月底達到25%公眾持股比例。該公司在文告中說，4月2日接獲大馬股票交易所的通知信，將延長該公司提高公眾持股的限期，從3月1日延至8月31日。

“這項要求是援引大馬交易所主要交易板上市條例8.02（1）。”

該公司表示，若無法在8月31日期限前提高公眾持股，交易所可能在發出通知後的5天暫停其股票交投。

該公司指出，至今尚未得出可行方案，以解決公眾持股低於25%規定的問題。

該公司提醒說，投資者買賣其股票前，必須預先考慮到上述風險。

（吉隆坡8日訊）過去15個月，豐隆資本（HLCAP，5274，主要板金融）大眾持股率不足，引發是否該保留上市地位疑問。

該公司截至6月3日大眾持股權為10.41%，遠低于上市條例設定的25%。豐隆資本自2013年3月1日開始不符合此條例，當時的大眾持股率僅9.66%。

不過，該公司在週二（3日）宣布獲得展延6個月時間，以符合大眾持股率要求。距離8月31日，豐隆資本有約3個月時間，卻尚未擬出確切計劃。

豐隆集團掌舵人丹斯里郭令燦通過豐隆金融（HLFG，1082，主要板金融）持有豐隆資本。他需脫售豐隆金融15%股權，才能符合上市條例。

此外，豐隆資本因投資者缺乏投資興趣，加上交易量低迷，引起該公司何以保留上市地位疑問。

英特太平洋證券研究分析主管馮廷秀接受財經週刊《Focus Malaysia》訪問時指出，豐隆資本沒有交易市場，流通量在近3個月更減少至3萬8000股。

不過，股價表現成為投資焦點。一年前，豐隆資本處在5令吉價位，對比目前14.50令吉共漲了190%，相較2.31令吉每股資產，更以逼近528%溢價交易。

豐隆投銀CEO 料成收入最高銀行家

（吉隆坡3日訊）豐隆投銀董事經理兼總執行長李豔玲或成為今年收入最高的銀行家，料可從豐隆資本（HLCAP，5274，主要板金融）僱員認購權證（ESOS）取得2300萬令吉資本收益。

根據財經週刊《Focus Malaysia》報導，她在過去5個月一共售出234萬股豐隆資本股票。在這段期間，豐隆資本股價從1.42令吉，在今年6月17日漲至14.60令吉歷史新高，漲幅高達928.17%。

若以平均10.84令吉計算，李豔玲分兩批出售52萬5000股，料可賺取逾2300萬令吉。

（吉隆坡21日讯）丰隆资本（HLCAP，5274，主板金融股）大股东拿督游光春，在过去3天脱售1%的股权，套现3200万令吉。

根据马交所文件显示，游光春在本月15日至19日之间，脱售257万股，或相当于1.04%股权，在脱售股权后，他于丰隆资本的持股权为7.22%，或1783万股。

不过，文件中并未透露交易价格，买方资料亦不详。

但根据股市交易资料，有257万股是在12令吉至12.80令吉之间易手，若以此计算，每股交易价相当于12.45令吉，游光春在脱售1.04%股权后，约有3193万令吉入袋。

在今年1月，丰隆金融集团献议以每股1.71令吉私有化丰隆资本，前者在2月份时已增持股权至81.3%，但游光春与小股东却拒绝购股献议。

假如当初游光春接受献议，将1.04%股权脱售，他只能取得439万令吉，若将全数持股（8.96%）脱售，他只能获得3800万令吉。

游光春也是游礼发产业（YNHPROP，3158，主板产业股）主席。

此外，丰隆投行总执行长李艳玲，也在本月以每股12令吉左右的价格，脱售部分丰隆资本股权。

丰隆资本今日闭市时报12.76令吉，起8仙，全日共1万3100股易手。

公众持股条例延至31日

在私有化献议失败后，丰隆资本获大马交易所批准，将符合25%公众持股分散条例的期限，延长至8月31日。

截至7月31日，该公司公众持股比例仅为10.24%。

丰隆资本此前也曾因公众持股率低于10%，而被勒令从4月15日起暂停交易，当时游光春主动减持股权至8.65%，使得公众持股率达到10.02%，无需暂停交易。

（吉隆坡24日訊）早前減持豐隆資本（HLCAP，5274，主要板金融）近1%股權的拿督游光春指出，他是豐隆資本的“長期投資者”，減持只為了協助提高公眾持股率。

根據財經週刊《The Edge》報導，游光春說：“我買進豐隆資本是打算長期持有股權，這家公司有很好的成長潛力，以及極佳的管理。”

游光春去年2月以低價吸納豐隆資本股權，讓豐隆集團掌舵人郭令燦私有化豐隆資本的計劃受阻。后者透過豐隆金融（HLFG，1082，主要板金融）持有豐隆資本81.33%。

據報導，游光春了解倘若在8月底截止日期前，豐隆資本公眾持股率未達到25%，大馬交易所可能會暫停該股交易，這將導致短期持續走跌。

“這是馬交所的特權，對我而言最重要的是，豐隆資本是有利可圖的，公司有成長潛力和很好的管理，確保股東能獲得很好的回酬。”

目前，市場正觀望馬交所是否會在截止日期（8月31日）后對該股下停牌令。

（吉隆坡30日訊）多次因公眾持股不足而面臨停牌的豐隆資本（HLCAP，5274，主要板金融），迴避小股東針對公眾持股未達25%要求的提問。

一名今日出席豐隆資本常年股東大會的股東，在接受《The Edge財經日報》訪問時說，儘管股東作出有關提問，該公司董事並沒有明確指出符合公眾持股要求的舉動。

“該公司保持一貫低調作風，管理層的回應相當普遍。”他在常年股東大會結束后，如是指出。

根據報導，該公司截至8月29日的公眾持股達18.67%。

除了關心公眾持股，股東亦在常年股東大會上，詢問母公司豐隆金融（HLFG，1082，主要板金融）在符合巴塞爾III（Basel III）資本適足標準的準備程度。

HLCBwrites to inform that Bursa Securities had vide its letter dated 13 January 2015 resolved to reject the Application, after taking into consideration the following: 1.             HLCB has not been able to identify and demonstrate that there is a concrete/definitive plan put in place or to be put in place to rectify the shortfall in the public shareholding spread despite having been granted a total of 21 months extension of time from 28 February 2013 until 30 November 2014 to address the shortfall; and 2.             The objective of the public shareholding spread requirement under the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”) is to ensure there is sufficient market liquidity to facilitate the buying and selling of the shares in an orderly manner. The lack of trading liquidity in HLCB shares during the period of non-compliance renders the prices of HLCB shares susceptible to significant price movement arising from trading by a small group of investors. In this regard, Bursa Securities had in the past issued 2 Unusual Market Action queries and on both occasions, HLCB confirmed that it was not aware of any corporate development relating to the HLCB Group’s business and affairs or any other possible explanation that could account for the unusual trading activities. （吉隆坡16日訊）摩根士丹利資本國際公司（MSCI Inc.）宣布，豐隆資本（HLCAP，5274，主要板金融）選擇採用前者的風險與表現配套，協助旗下多重資產組合進行風險管理。

豐隆總風險員李薇欣（譯音）稱：“作為一家投資銀行和資產管理單位的控股公司，我們發現MSCI配套產品，在風險管理方面符合我們的需求。我們在風險設施採取三重管理，分別為伸縮性風險引擎、易于實施，及領域架構或監管發展，如測試壓力能力。”

李薇欣指公司需求包括賣方投資銀行活動和買方投資管理企業。

為風險設施和風險報告與單一供應商接洽，需緩和數據管理資料需求、風險分析發展及硬體維修，讓公司可專注在風險管理工作上。

散户持股未达标　丰隆资本或遭停牌

（吉隆坡13日讯）除非在2月23日之前提出上诉，否则丰隆资本有限公司（HLCAP，5274，金融组）可能在3月3日起，因未能达到25%散户持股比例而遭勒令暂停交易。

在一份文件中，大马交易所透露，它是针对丰隆资本触犯主要市场上市条例第8.02（1）节条文，对后者采取行动。

“继考虑所有因素和状况后，大马证券交易所上市委员会认为，丰隆资本已经触犯主要市场上市条例8.02（1）节条文，因此决定勒令暂停丰隆资本股票的交易。”

“若丰隆资本于上述限期内向大马证券交易所提出上诉，它将需要时间针对这项上诉作出宣布，从而3月3日的停牌令将会延后，以等待公司上市的结果。”

根据志期1月13日的文件，丰隆资本表示，它已针对其18.67%低散户持股比例向大马交易所提出上诉，并要求延长额外6个月时间，以符合25%的散户持股需求。

不过，其上诉已被监管当局驳回。

“尽管已获得从2013年2月28日至2014年11月30日的21个月延长期限，丰隆资本仍未能证明拥有一份确实计划，以改善其散户持股比例。”

LISTING'S CIRCULAR NO. L/Q : 72461 OF 2015

Bursa Malaysia Securities Berhad (Bursa Securities) had commenced enforcement proceedings against HONG LEONG CAPITAL BERHAD (HLCAP) for breach of paragraph 8.02(1) of the Bursa Malaysia Securities Berhad Main Market Listing Requirements (Main LR) and due process was accorded to HLCAP.

After due consideration of all the facts and circumstances, the Listing Committee of Bursa Securities found HLCAP to have breached paragraph 8.02(1) of the Main LR and decided toimpose a suspension on the trading of HLCAP’s securities pursuant to paragraph 16.19(1)(a)(ix) of the Main LR.

In the circumstances, the trading in the securities of HLCAP will be suspended with effect from 3 March 2015 unless an appeal against the suspension is submitted to Bursa Securities on or before 23 February 2015 ("the Appeal Timeframe").

In the event HLCAP submits an appeal to Bursa Securities within the Appeal Timeframe, HLCAP is required to make an announcement of the appeal and the suspension of the securities of HLCAP on 3 March 2015 shall be deferred pending the decision on the company’s appeal. In the event suspension is imposed, the suspension will only be uplifted upon full compliance of the public shareholding spread in accordance with paragraph 8.02(1) of the Main LR.

公众持股不达标上诉无效 丰隆资本26日起停牌

（吉隆坡18日讯）因上诉无效，丰隆资本（HLCAP，5274，主板金融股）将在本月26日起停牌。

一直被“公众持股比例不达标”的丰隆资本，已触犯马交所上市条例。

该公司在2月23日向马交所提出上诉，不过，上诉委员会在考量各事实以及情况后，决定驳回丰隆资本上诉申请。

截至2月25日，丰隆资本公众持股比例达18.67%，未达25%标准。

去年12月时，该公司已向大马交易所申请，批准将公众持股率维持在25%标准之下，或是再多给6个月宽限期以提高此比例。【南洋网财经】

After due deliberation and having considered all the facts and circumstances of the matter including HONG LEONG CAPITAL BERHAD (HLCAP)’s written representations, the Appeals Committee has decided to dismiss the appeal of HLCAP and uphold the decision of the Listing Committee that a suspension be imposed on the trading of HLCAP’s shares for the breach of paragraph 8.02(1) of the Bursa Malaysia Securities Berhad Main Market Listing Requirements.

In the circumstances, the trading in the securities of HLCAP will be suspended with effect from 26 March 2015.

今停牌前大起大落 丰隆资本走势诡异

（吉隆坡25日讯）即将在明日（26日）停牌的丰隆资本（HLCAP，5274，主板金融股），今天的股价走势犹如过山车，从早上的暴跌10%，到临收市前的飙涨24%，全日波动区间竟高达2.80令吉。

因公众持股比例不达标而面临停牌的丰隆资本，今早以跌势开盘，一度挫85仙或10.3%，至7.40令吉的低点，是下跌股之最。

但这跌势在休市前开始逆转，本来只是微幅走高，但在接近4点半时，突然直线飙高，最终以10.20令吉的全日最高点报收，涨1.95令吉或23.64%，是今日第二大上升股。

从下跌股榜首，变涨幅第二高的股项，之间的差距高达2.80令吉，但却未有太大成交量，仅24万1700股，由于停牌在即，这种走势显得有点“诡异”，也引来市场的瞩目。

该公司因针对被勒令停牌而作出的上诉无效，将在明日起停牌。

截至去年12月杪，丰隆资本公众持股比例达18.67%，未达25%标准。
