( “the Purchaser”) to dispose all that piece of leasehold industrial land held under Title No. PN 35734, Lot No. 9247 (formerly Title No. HS (D) 20278, Lot No. PTD 9765) located at Mukim of Jorak, District of Muar, State of Johor Darul Takzim (the “Land” or “Property”) with a total area measuring approximately 17,526 square metres (equivalent to 4.33 acres) and 3 units of single storey detached sawmill factory buildings erected on the land for a total cash consideration of Ringgit Malaysia Seven Million and Five Hundred Thousand only (RM7,500,000) (“Disposal Price”) subject to terms and conditions in the SPA (“Proposed Disposal”). The Board of Directors of Sern Kou wishes to announce that Souncern Timber Sdn. Bhd., a wholly-owned subsidiary of the Company, had on 3 February 2021 incorporated a wholly-owned subsidiary in Malaysia, namely SK Sustainable Forestry Development Sdn. Bhd. [Registration No. 202101004093 (1404392-P)] (“SK Sustainable”), under the Companies Act 2016. The total issued and paid-up capital of SK Sustainable is RM100.00 divided into 100 ordinary shares of RM1.00 each. The intended principal activities of SK Sustainable is to carry on the business of investment holding, forestry development and management, harvesting, trading of timber. Subsequent to the incorporation, SK Sustainable shall become a a wholly-owned subsidiary of Souncern Timber Sdn. Bhd., which in turn is a wholly-owned subsidiary of the Company. The incorporation of SK Sustainable will not have any material effects on the Sern Kou Group’s earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding for the financial year ending 30 June 2021. None of the Directors and/or major shareholders  and chief executive of the Company and/or persons connected with them have any interest, direct or indirect, in the incorporation. Having considered all aspects of the incorporation, the Board of Directors of Sern Kou is of the opinion that the incorporation is in the best interest of the Company.
