小股东质疑拨地造路.南方油脂:无意进军房市
(吉隆坡23日讯)南方油脂(SAB,5134,主板工业产品组)董事部强调,尽管批准雪兰莪园丘拨地造路计划,但目前并无意进军房产发展市场。
由于南方油脂小股东在去年8月28日举行的常年大会上质疑董事部批准拨地造路的决定,促使该公司今日发出解释文告。
该公司将于明日举行第35届常年大会。
南方油脂发表文告说,董事部2012年接获Rimbayu城镇公司的信件,要求在独资子公司Gejati建筑拥有的644英亩园丘中,拨出20.83英亩土地建造2.2公里道路,以配合一项长达9公里的造路计划。
Rimbayu城镇公司是怡保工程(IJM,3336,主板建筑组)属下公司。
Rimbayu负责造路和维修费
董事部认为,考虑到Rimbayu城镇公司负责造路和维修费用、新路衔接园丘和多条大道等条件后,决定批准这项建议。
该公司表示,除了Rimbayu城镇公司负责造路和维修费用,双方目前仍在洽商其他条件。
该公司补充,虽然Gejati建筑将拥有上述2.2公里道路,但这项资产会逐步交给当地政府。
该公司澄清,尽管批准造路计划,但董事部认为当前要务是加强油棕业务,并非该公司进军房产发展市场的时机。
2014年4月,大众研究曾发表报告称,如果南方油脂转换上述644英亩园丘土地用途,意味着这片土地价格将升至7亿5800万令吉,可以开发为发展总值高达100亿令吉的房产项目。
当时,这项消息引来投资者热烈追逐,推动南方油脂股价飙高81仙,并招致大马股票交易所发出不寻常交投(UMA)质询文告。
不过,南方油脂随后回应说,短期内将继续在上述园丘种植油棕,不会改变土地用途。

Type | Announcement | Subject | OTHERS | Description | Pembinaan Gejati Sdn Bhd ("Gejati"), a wholly owned subsidiary of Southern Acids (M) Berhad ("the Company or SAB"), has allowed Bandar Rimbayu Sdn Bhd ("BRSB"), a member of IJM Corporation Berhad group, to construct and maintain a 2.2 km part of a 9.0 km multi-connectivity access road on a small portion (of approximately 20.83 acres) of an estate land (of approximately 644 acres operationally known as "Thangamallay Estate") held under Gejati. | At the last AGM of the Company held on 28 August 2015, the Board of Directors of the Company (‘the Board”) has received queries from minority shareholders on the consent granted and the rational by the Company to allow BRSB to construct the said 2.2 km part. This said 2.2 km part is a high quality 40-meter-wide two-lane dual carriage-way road.
The Board would like to present the following facts on the arrangement between Gejati and BRSB in order to clearly reply to all shareholders on the queries raised by certain minority shareholders.
Consent To Construct Access Road Through Thangamallay Estate BRSB, via a letter dated sometime in 2012, submitted a request to Gejati for consent to construct the said 2.2 km part based on BRSB’s layout plan and upcoming surrounding area’s development together with multi-highway connection consistent to the requirement of the local authority (namely the Majlis Daerah Kuala Langat) which is near identical to the intended layout plan of Gejati’s 644 acres grounds (including a necessary two-lane dual carriage-way road in the event of SAB converting the 644 acres into property development when SAB deems timely). The Board, via its board meeting held sometime in 2012, had approved the request from BRSB based on the following considerations: - - The construction and maintenance costs of the said 2.2 km part are to be borne by BRSB;
- The said 2.2 km part was to be aligned with the future necessary two-lane dual carriage-way road of Gejati’s 644 acres grounds intended layout plan which was approved by the local authorities on 31 March 2009 (for the northern parcel);
- The said 2.2 km part is situated along the boundary parallel to the TNB High Tension Cables of the said estate land; and
- This said 2.2 part being allowed to be constructed in the long term, will enhance the connectivity of Thangamallay Estates not only to Bandar Rimbayu development but also connected to major areas through the nearby highways including the Lebuhraya Shah Alam (KESAS), Lebuhraya Kemuning – Shah Alam (LKSA), Expressway Lingkaran Tengah (ELITE), the South Klang Valley Expressway (SKVE) and the future West Coast Expressway (WCE).
Based on the above facts, the Board believed that the connectivity for the 644 acres brought about by the 9.0 km multi-connectivity access road truly benefits the Company and is in line with the Company’s long term strategy.
Understanding between Gejati and BRSB Besides the consent been given by the Board and the construction and maintenance costs to be borne by BRSB, all other terms and conditions are still being negotiated. This indicates the strong working relationship, built on goodwill, between Gejati, BRSB and likely other property development project owners in the neighboring area. Once the terms and conditions are mutually agreed upon and finalized, it will thereafter be translated into a formal agreement.
Restriction on the Access Road As at the date of this announcement, there is no any restrictions imposed on said 2.2 km part by BRSB and there is no caveat lodged as per shown by our latest land search dated 25 May 2016.
Legal Ownership of the Access Road As at the date of this announcement, the legal ownership of the 2.2 km part of a 9.0 km access road constructed by BRSB belongs to Gejati as the construction is fixed onto the 644 acres land. This is reconfirmed via a written legal opinion dated 15 August 2016 from the Company’s legal adviser, Messrs. Lim Kian Leong & Co. The said 2.2 km part will eventually be surrendered to the local authorities.
SAB’s Long Term Strategy Plan The main objective of the Board is to improve the value of the Company’s assets over the long term which naturally translates to a long term growing shareholders’ value. Currently the Board is desirous of strengthening its two (2) existing long term core businesses: - - Palm oil oleochemical products manufacturing and exporting; and
- Palm oil milling and oil palm estate operating (in the province of Riau, Indonesia)
which are facing changing environmental challenges.
The Board is of the view that it is not timely for the Company to venture into property development.
The Board believes in maintaining long term growth for all stakeholders.

南方油脂6千万提升业务
(吉隆坡24日讯)南方油脂(SAB,5134,主板工业产品组)因时机不当而暂不进军产业,仍继续专注棕油相关两大核心业务,并在这两财政年斥资5000万至6000万令吉,用于改善炼油效益、油棕种植和保健业务等用途。
执行董事林金銮说,今日股东大会并不像上两回般热烈讨论地库与投资产业问题,主要是昨日下午已主动在大马交易所发布文告,让股东更了解公司动向。
600多英亩地库暂无意发展
他说,今日大会也充份以资讯工艺加强说明与显现600多英亩地库周边发展与大道,因此认为股东已满意这项说明。
董事经理刘国泰博士也说,按所提出问题数目与答覆看来,出席股东看来满意策略大方向和给予的答覆。
提到是否保留上述土地以在未来释放更大潜能,林金銮说,目前暂无意发展该土地,不过未来不排除可能性。
刘国泰说,昨日的文告宣称,长远策略仍然专注上述核心业务,虽深知上述土地深具潜能,不过董事部认为目前进军产业时机不当。
他说,这个财政年对棕油相关业务前景严峻,主要是受厄尔尼诺效应冲击,市场也趋软,印尼的油脂业务形成很大竞争。
他指出,为提升竞争力,斥资1600万令吉提升机械改善油脂厂房能源效益,不过目前仍无法量化。
“油脂业务专攻利基市场,每年产能10万公吨,上财政年只达80%产能,主要是全球经济走缓,正准备开发印度市场。”
谈到炼油产能,自去年增第二炼油厂后,炼油产能已由每小时45公吨,改善至105公吨。
该公司这个财政年在1000公顷种植油棕,下个财政年800至900公顷。
他说,只有一家医院的保健业15年来品牌称着,尽管献议到新加坡和印尼扩展业务,董事部仍在评估扩展可能。
谈到股息政策,林金銮说,今年在净利减少下派更丰厚股息,南方油脂在3月截止财政年每股派息5仙。

王宝钦.南方油脂股东从善如流?
上周二(23日),南方油脂(SAB,5134,主板工业产品组)突然发出一份耐人寻味的文告。
这份文告回应的是一年前股东在常年大会提出的疑问,而该公司的35届常年大会则在隔天(24日)举行。
股东质疑的是怡保工程(IJM,3336,主板建筑组)属下Rimbayu城镇公司2012年向南方油脂提出的建议。
当时,为了配合一项长达9公里的造路计划,Rimbayu城镇公司建议在南方油脂独资子公司Gejati建筑拥有的644英亩园丘中,拨出20.83英亩土地建造当中的2.2公里道路。
由于Rimbayu城镇公司负责造路和维修费用,加上考量到新路将衔接上述园丘和多条大道等条件后,南方油脂董事部决定批准这项建议。
其实,股东质疑的重点并非造路计划,而是南方油脂会否考虑分析员2014年4月提出的建议,将上述园丘转为发展总值高达100亿令吉的房产项目。
由于消息传出后,南方油脂股价大幅上扬,大马交易所为此发出不寻常交投(UMA)质询,当时南方油脂回应说,短期内无意改变土地用途。
接下来两年的股东大会,都有股东提出这项疑问,而南方油脂皆以相同答案答复。
该公司披露,刚刚过去的股东大会,虽然还有股东发出相同问题,现场讨论却不比前两次热烈,并强调“出席股东看来满意策略大方向和董事部的答复”。
无论如何,虽然董事部认为进军产业时机不当,目前仍以核心棕油业务为主轴,但也深知上述土地深具潜能,未来也不排除发展的可能。
其实,股东态度冷却的原因,不一定是满意南方油脂董事部的解释,他们更大考量可能是房市早已不复2014年热烈,连许多大型产业公司也纷纷减少推介新项目,如果南方油脂选在此时进军完全陌生的新领域,不是冒着比两年前更大的风险?
相比下,该公司专注的油棕下游市场虽然面对原料涨价的风险,但棕油市场已逐渐恢复元气,大马衍生产品交易所的原棕油期货近期更冲向2600令吉。
既然如此,理智的股东也不希望该公司为了前景不明朗的房产业务,而缩减有望谷底回弹的现有业务吧?
