The Board of Directors of Seremban Engineering Berhad ("SEB") ("Board") wishes to announce that the Board has on 3 September 2019 received a notice of unconditional mandatory take-over offer ("Notice") from UOB Kay Hian Securities (M) Sdn Bhd on behalf of the Offeror, to acquire all the remaining ordinary shares in SEB not already held by the Offeror ("Offer Share(s)") for a cash consideration of RM0.50 per Offer Share ("Offer"). In accordance with the Rules on Take-overs, Mergers and Compulsory Acquisitions issued by the Securities Commission Malaysia, the Board will appoint an independent adviser to advise the Company and the holders of the Offer Shares in respect of the fairness and reasonableness of the Offer. The announcement on the appointment of the independent adviser will be made in due course. He joined EAC Rubber Industries (M) Sdn Bhd later that same year as an Accounts Supervisor. He subsequently joined NKK International (M) Sdn Bhd as an Assistant Accountant in 1993. He then joined Cahaya Kelang Construction Sdn Bhd as an Accountant in 1995. He joined Success Electronics & Transformer Manufacturer Sdn Bhd in 1998 as the Finance Manager, and has been promoted as the Group Finance Manager of Success Transformer Corporation Berhad before subsequently he was appointed as Executive Director of Seremban Engineering Berhad ("SEB") from 2010 to August 2014. Later, he joined Eco Tower Sdn Bhd as General Manager (Finance) until May 2015. He was appointed as Executive Director of SEB on 9 July 2015 and was re-designated as Chief Operating Officer cum Executive Director thereafter.
