Reference is made to the Company’s announcement dated 15 January 2019 in connection with the JVA between Tanah Perangsang Sdn Bhd (“TPSB”),  AA Strategic Marketing Inc. Sdn Bhd (“AA Strategic") and TTSJ Trading Sdn Bhd (“TTSJ”) ("Announcement"). Unless otherwise defines, the definitions set out in the Announcement shall apply therein. The Board of Directors of PCB wishes to announce the following additional information to the JVA:- 1.  SALIENT TERMS OF THE JVA Upon obtaining all relevant approvals, TTSJ shall award the construction works to TPSB. TPSB shall undertake all the construction works to build the port, jetty, bulking storage tank, housing, palm oil mill and refinery and green energy plant for a full consideration of RM2,126,000,000.00. 2. HIGHEST PERCENTAGE RATIO The highest percentage ratio which is previously announced  was not applicable as the construction work is in the ordinary business of TPSB. 3. APPROVALS REQUIRED The JVA is subject to the following approvals being obtained: a. Majlis Daerah Sipitang, Sabah; b. Malaysian Palm Oil Board ("MPOB"); c. Pejabat Tanah; d. Jabatan Laut; e. Kementerian Pengangkutan; f. Jabatan Alam Sekitar; and g. Other relevant authorities. This announcement is dated 17 January 2019.
