根据 Paragraph 8.15(1) of the Listing Requirements of Bursa Securities，一家上市公司的“公众持股权”或“public shareholding spread requirement ”，必须最少25%。。。

简单的说，VT爷不能单一持有超过75%，不然就抵触马股上市规则第8.15(1) 条文。。。现在他已经持有55.8%了，一步一步向界限迈进。。。

两次的资本回退已经令多多元气大伤了,现在还有一大堆债...之前还吃下BJCORP的大便,接下来是公司频频出手回购,我想现在公司手中的现金不会太多,不太有可能派高息...

现在BJLAND 已经直接和间接持有BJTOTO超过50%的股权，BJTOTO已经是BJLAND的子公司了，它的财报也将纳入BJLAND当中作Consolidated Account。。。不知道接下来VT爷会不会来个顺水推舟，索性利用BJLAND 吞下BJTOTO 咧。。。

虽然在商言商，这是一个不错的策略，VT爷还可利用BJLAND在越南的关系帮助BJTOTO进军越南的博彩业，或更绝的把BJTOTO在越南交易所双边上市，筹集资金。。。越讲越爽tim，惨鸟。。。希望不会被我猜中。。。

BERJAYA SPORTS TOTO BERHAD (“BTOTO”), A SUBSIDIARY COMPANY OF B-LAND  



Contents : The Board of Directors of B-Land wishes to inform that B-Land Group‘s interests in Berjaya Sports Toto Berhad (“BToto”) has increased from 48.76% as at 21 January 2008 to 48.96% as at 4 February 2008.

The increase was principally due to the recent share buy back exercise of BToto during the period from 22 January 2008 to 31 January 2008, whereby BToto bought back another 3,000,000 treasury shares, and the purchase of 1,000,020 ordinary shares of RM0.10 each ("BToto shares") on 4 February 2008 by Gateway Benefit Sdn. Bhd., a wholly-owned subsidiary of B-Land.

As at 4 February 2008, the total issued and paid-up share capital of BToto is RM135,103,007.20 comprising 1,351,030,072 BToto shares.The number of BToto shares that have been purchased, and which have been retained as treasury shares, is 93,000,000. The number of shares with voting rights of BToto is therefore 1,258,030,072 BToto shares.

Several other subsidiaries of Berjaya Corporation Berhad (“BCorporation”), the holding company of B-Land, also have a total interest of 1.11% in BToto shares.

As BCorporation Group’s interest, in aggregation with B-Land Group’s interest in BToto, is now more than 50%, BToto will be deemed as a subsidiary of B-Land. The details of the interest of B-Land Group and BCorporation Group in BToto shares as at 4 February 2008 are set out in Table A.

The consolidation of BToto as a subsidiary of B-Land will not have any immediate material effect on the consolidated earnings per share and net assets per share of B-Land. However, B-Land will be able to consolidate BToto's results, including its revenue, estimated to be approximately RM3 billion annually. BToto is expected to continue to contribute positively to the earnings of the B-Land Group.
