MELATI EHSAN HOLDINGS BERHAD ("MELATI" OR "THE COMPANY")
ACQUISITION OF 100% EQUITY INTEREST IN NEWSTAR EQUITY SDN. BHD.
The Board of Directors of Melati is pleased to announce that the Company has on 1 July 2013 acquired two ordinary shares of RM1/- each representing 100% equity interest in Newstar Equity Sdn. Bhd. (''Newstar'') from Mr. Yap Kian Mun and Mr. Lim Boon Huay for a cash consideration of RM2/- only (''the Acquisition''), thus rendering Newstar to be a wholly-owned subsidiary of the Company.

Newstar was incorporated in Malaysia under the Companies Act 1965 as a private limited company on 18 June 2013. The present authorised share capital of Newstar is RM400,000/- divided into 400,000 ordinary shares of RM1/- each of which two ordinary shares have been issued and fully paid. Newstar is currently dormant. The intended principal activity of Newstar is investment holding.

Datuk Ir Tan Hong Hing @ Tan Eng Hing and Encuk Radzulai bin Yahaya, both Executive Directors of Melati, have been nominated to the Board of Newstar to represent the interest of Melati.

The Acquisition would not have any material effect on net assets per share or earnings per share of Melati for the financial year ending 31 August 2013. The Acquisition is also not expected to have any effect on the share capital and the substantial shareholders’ shareholdings of Melati.

None of the Directors and/or substantial shareholders of Melati and/or persons connected to them have any interest, direct or indirect in the Acquisition.

This announcement is dated 1 July 2013.

净利增72% 亿成控股派息2.5仙

(吉隆坡30日讯)受惠于建筑、贸易和产业发展的较高营运营收,亿成控股(MELATI,5129,主板建筑股)截至8月31日财年净利录得72%增长,同时宣布派发每股2.5仙终期股息。

根据文告,亿成控股全年净利达1230万4000令吉,较上财年的715万7000令吉扬升71.92%,每股盈利亦扩大至10.27仙;营业额则写下79.85%涨幅,从1亿2579万1000令吉,扩大至2亿2623万5000令吉。

公司也宣布派发该财年2.50仙的终期股息,上财年为1.5仙。

单季方面,该公司净利从去年同期的487万2000令吉,涨28.90%至628万令吉;营收扬升75.36%至8085万1000令吉,上财年为4610万5000令吉。

当季每股盈利报5.24仙,较上财年的4.07仙来得高。[南洋网财经]

建筑贸易营收增 亿成控股首季净利翻倍

(吉隆坡29日讯)亿成控股(MELATI,5129,主板建筑股)旗下建筑和贸易业务提高集团的营运营收,促使2014财年首季净利翻倍。

亿成控股向马交所报备,现财年首季净利达到498万4000令吉,高于上财年首季的164万5000令吉,涨幅多达203%。

集团首季营业额,从2013财年的4021万1000令吉,按年扬升65.34%,2014财年写下6648万5000令吉。

东海岸经济特区的道路工程和人民组屋计划,增加建筑活动,以及建材销量增加,支撑亿成控股首季盈利表现。

(吉隆坡21日讯)亿成控股(MELATI,5129,主板建筑股)在截至今年5月杪第三季,净赚664万令吉,或每股盈利5.55仙,较上财年同期的108万6000令吉,按年狂飙5.11倍。

现财年同季营业额则按年剧增96.1%,达1亿815万8000令吉,上财年同期报5516万4000令吉。

第三季业绩报捷,归功于建筑、贸易与产业发展业务的营运营业额增加。

累积首三季,净利按年弹升1.8倍,达1691万5000令吉,上财年同期为602万4000令吉。

营业额则按年劲扬73.8%,报2亿5266万8000令吉,上财年同期报1亿4538万3000令吉。

东海岸中枢大道扩建 亿成获5950万合约

(吉隆坡14日讯)亿成控股(MELATI,5129,主板建筑股)宣布,获颁价值5950万令吉合约,负责延伸第三配套中枢大道工程的路段。

大马公共工程局(JKR)颁发合约,予亿成控股独资子公司Pembinaan Kery私人有限公司(简称Kery)。

第三配套中枢大道工程衔接吉兰丹话望生至彭亨甘榜乐荣,而延伸路段介于日黎的甘榜Kechur至甘榜石布浪(Kg Seberang)。

路段延伸合约为期24个月,将在2016年10月7日完工,预料会提升公司未来的盈利表现。

公共工程局在2011年,颁发第三配套中枢大道工程合约给亿成控股。该工程是政府推广东海岸经济特区的重点规划之一。

在原先规划中,亿成控股预计建造总长12公里的双车道,合约总值1亿4863万令吉。

不过,在接下来一年,公共工程局决定扩大至四车道,使合约价值增加2800万令吉。

亿成控股是本地第一家从德国进口滑模式混凝土铺路机,以运用连续配筋混泥土技术(CRCP)建造大道的公司。

亿成控股以平盘收市,闭市时报1.25令吉,成交量达12万2600股。【南洋网财经】

LETTER OF AWARD FROM JABATAN KERJA RAYA MALAYSIA FOR ADDITIONAL WORK SCOPE
The Board of Directors of Melati wishes to announce that its wholly-owned subsidiary, Pembinaan Kery Sdn. Bhd. ("Kery") had on 14 October 2014 accepted a Letter of Award from Jabatan Kerja Raya Malaysia ("JKR") for additional work scope in relation to the road construction project entitled "Central Spine Road, Pakej 3: Gua Musang, Kelantan Ke Kg. Relong, Pahang (Seksyen 3H: Felda Telang Ke Kg. Kechur) Skop Tambahan: Kg. Kechur Ke Kg Seberang, Jelai” ("Additional Work Scope").

The contract sum for the Additional Work Scope is RM59,500,000/-.  The contract is for a period of 24 months and the expected date of completion is on 7 October 2016 or within such time as may be extended under the contract for the Additional Work Scope and subject to the terms and conditions of the Letter of Award and any other contracts being resolved and agreed upon by Kery and JKR. Kery is required to execute the formal supplemental contract with JKR in due course.

The Additional Work Scope is not expected to have any material effects on the earnings per share of Melati for the financial year ending 31 August 2015. However, the Additional Work Scope is expected to contribute positively to the future earnings of the Melati group.

The Additional Work Scope is also not expected to have any material effects on the net assets, share capital and substantial shareholdings of Melati.

None of the directors or substantial shareholders of Melati or persons connected to such directors or substantial shareholders of Melati have any direct or indirect interest in the aforesaid Additional Work Scope.

亿成与政府协商 用CRCP技术建大道

(吉隆坡18日讯)亿成控股(MELATI,5129,主板建筑股)正与政府协商,采用连续配筋混泥土(简称CRCP)兴建新高速公路。

公司与政府单位商讨的道路工程,包括在2015年预算案公布的泛婆罗洲大道、西海岸大道、双溪毛糯淡江高架大道、白沙罗至莎阿南大道以及东巴生谷大道。

可再循环使用

公司执行董事拿督陈洪兴(译音)指出,CRCP技术的建造材料,包含可回收资源制造的混凝土和钢筋,也可再循环使用。

此外,CRCP技术建造的路面非常耐用且耐久。

他说,CRCP技术建设的路面,可以很好地反射光线,所以不管白天或黑夜,都可给予道路使用者很好的视线。

“在CRCP技术建设的路面驾驶,驾驶者会因坚实的路面减少了滚动阻力,而更有效地节省汽油。”

陈洪兴表示,基于路面在竣工后,可耐用至少30年以上,因此刚开始的高成本费用,将会因为少量的维修工程而获得抵消。

他继续透露,在大多数的发达国家及发展中国家,已使用上述技术在交通量繁忙的市区建造路面。【南洋网财经】

包括东海岸防洪工程 亿成冀竞标3亿合约

(吉隆坡16日讯)亿成控股(MELATI,5129,主板建筑股)放眼2015财年竞标3亿令吉建筑合约,包括东海岸的防洪计划。

随着政府着手处理东海岸的灾后重建和防洪计划,已有相关人士向该公司洽谈。

董事经理丹斯里叶顺治今天在股东大会后,向记者表示:“我们放眼从防洪计划可以拿到至少1亿令吉以上的合约。”

亿成控股预测,2015财年建筑业务可以录得2亿5000万令吉的营业额。

该公司目前有约30亿令吉的建筑订单,可忙碌2至3年。

叶顺治也说:“我们还是会专注于竞标政府合约,(因为)私人合约会有欠账的风险。”

他补充,政府合约的好处,是可转移上涨的建筑成本,比如钢铁起价,可向政府提高收费以保赚幅。

目前,该公司的建筑业务净赚幅约6%。

携手雪州发展局 发展20亿元项目

谈到产业发展业务,亿成控股财务总监林东喜指出:“目前公司正和雪州发展局(PKNS)联营发展柯拉娜再也(Kelana Jaya)的综合式发展计划,占地18.6英亩,发展总值达20亿令吉,位于PKNS足球场。”

“雪州发展局供地,而我们则负责发展该地。”

执行董事拿督陈芳兴也补充:“那里是块黄金地,20亿令吉的发展总值,只是保守的估计。”

目前,雪州发展局正在申请,把该地从商业地转换成综合发展地,还有待官方的批准。【南洋网财经】

雪州发展局亿成申请准证 重新开发柯拉娜再也体育馆

(吉隆坡26日讯)雪州发展局(PKNS)与亿成控股(MELATI,5129,主板建筑股)联营公司,已重新向八打灵再也市政厅申请发展准证,重新开发柯拉娜再也(Kelana Jaya)体育馆。

该体育馆位于柯拉娜再也第7区,项目总值料达16亿2000万令吉。

财经日报《TheEdge》引述消息报道,若八打灵再也市政厅不接受申请,根据国家土地法令(National Land Code),前者必须买起该地,根据市价支付给雪州发展局,因该地是商业用地。

媒体早前报道,八打灵再也市政厅的“一站式中心”(OneStop Centre)委员会,已在2012年6月8日拒绝联营公司的开发申请。

传去年杪申请

当时,联营公司冀望将34年历史的体育馆,重新开发为以体育主题为主的综合发展,总值16亿2000万令吉。

不过,该委员会认为,这与八打灵再也2地方规划蓝图(RTPJ2)不符。

该综合发展项目包括五栋35层楼高的公寓、两栋15层楼高的商业中心、一个艺术表演中心和一个综合体育中心。

然而,消息披露,雪兰莪上诉委员会和城乡规划部门已在2013年4月12日,放行让联营公司重新申请发展准证。

消息续称,公司是在去年杪呈上申请。

不过,截至昨天,雪州发展局业务发展主管诺兹拉表示,还未获得发展准证。【南洋网财经】

体育馆发展准证若告吹 亿成可获雪发展局赔偿

(吉隆坡29日讯)消息透露,即使无法取得柯拉娜再也(Kelana Jaya)体育馆发展准证,亿成控股(MELATI,5129,主板建筑股)仍可获得大笔赔偿金,不会对公司财务造成严重打击。

财经日报《The Edge》融洽引述消息报道,虽然工程告吹将拖累公司失去营业额,但PKNS的赔偿金,足以抵消潜在的损失。

“不管结果如何,对公司而言都是双赢局面,若工程顺利进行,可提振盈利表现;而工程取消,赔偿金也可为公司捎来可观收入。”

假设八打灵再也市政厅(MBPJ)不接受申请,就必须根据市价,向雪州发展局(PKNS)购买发展地段,再由后者把交易所得,支付亿成控股以作赔偿。

柯拉娜再也体育馆的地价,预计为每平方尺介于1300令吉至1500令吉之间,远超当初拟定工程内容时,每平方尺420令吉的价格。

“当时预计的项目发展总值为16亿2000万令吉,随着地价不断上涨,相信今天的价值已翻倍。”

根据项目的发展总值,预料PKNS可通过脱售该地皮,袋入10亿令吉至12亿令吉。

柯拉娜再也区国会议员黄基全指出,他会向PKNS要求取得更进一步的详情,包括PKNS与亿成控股的联营协议,以及进行该项目的时间和原因等。

发展计划不符合蓝图

早前,亿成控股与PKNS的联营公司,计划对体育馆进行重新开发,包括兴建公寓、商业中心、艺术表演中心和综合体育中心。

但MBPJ认为这项计划,不符合八打灵再也2地方规划蓝图(RTPJ2),因此在2012年6月,拒绝了联营公司的申请。

而在2013年4月12日,有消息指雪兰莪上诉委员会和城乡规划部门已放行,让联营公司重新申请发展准证。直至今年2月26日,传出联营公司已呈上申请的消息。

不过,根据《大马局内人》报道,有传MBPJ已在本月16日,以违反土地法令为由,再次拒绝公司的申请。【南洋网财经】
