【独家】持6亿现金猎好资产
传合成统一欲购嘉利丹

(吉隆坡15日讯)消息指,正探讨收购资产和壮大业务的合成统一(HAPSENG,3034,主板贸服股),有意收购嘉利丹(KRETAM,1996,主板种植股)。
消息向《南洋商报》透露,合成统一或旗下合成种植(HSPLANT,5138,主板种植股),正计划并购种植公司嘉利丹。
本报尝试联络合成统一和嘉利丹,但截稿时,合成统一还未回复,嘉利丹发言人则表示不适合回应。
早前,合成统一董事经理拿督李民富接受彭博社专访时透露,公司有意收购发展良好的公司,来推动本身增长,所觊觎的行业包括种植和房地产。
业务多元
他当时说,如果通过内部增长,公司需要一段时间才能交出成绩,不过,若收购表现不俗的公司,则可在更短时间内达到目标。
“目前是收购资产的最佳时机,不论是在种植或房产领域,更何况公司目前的流动现金达6亿令吉。”
截至2015财年,合成统一逾半的盈利贡献,来自房产业务,原棕油与信贷融资业务的贡献,则各占17%。
合成统一业务相当多元,旗下除了产业臂膀,也拥有采石场、建筑材料和化肥贸易公司、马赛地轿车经销权,还有遍布沙巴的原棕油种植地。
截至今日闭市,合成统一年初至今已攀高1.12令吉或17.28%,报7.58令吉。
该股在上月20日冲上7.85令吉,刷新历史新高。
嘉利丹今年股价飙30%
截至3月杪首季,从事原棕油种植与提炼业务的嘉利丹,净亏408万9000令吉,比去年同季的亏损285万5000令吉严重。
首季营业额按年挫46.47%,从去年同季的7767万5000令吉,减少至4158万2000令吉。
嘉利丹年初至今表现也相当亮眼,共涨14仙或30.44%,在周二以60仙挂收,今年2月11日升至64仙,创前年6月3日以来最高水平。
2.3亿瓜雪买地发展城填
合成统一斥资2亿2874万9128令吉,收购雪州1449.524英亩的土地,以作为产业发展项目。
根据文告,合成统一独资子公司Euro-Asia Brand公司以1亿2154万3528令吉,向Shalimar(Malay)收购瓜拉雪兰莪的20块土地,面积达734.82英亩。
接着再耗资1亿720万5600令吉,向Indo Malay购入瓜雪的16块占地714.704英亩的土地。
负债率微升
第一项收购的地段,拥有优越的地理位置和衔接吉隆坡-瓜雪大道(LATAR),加上毗邻高尔夫球俱乐部,因此有意发展为围篱和保安设备的住宅区和商业区。
至于另外收购的714.704英亩土地,则将打造为综合发展城镇项目,兴建1450亩可负担房屋。
合成统一指出,这项购地计划符合公司加强立足点的策略,同时能扩大公司现有的地库,以维持核心业务的增长。
而这两项不同概念的项目,将迎合广泛买家的要求。
若该收购计划在本财年完成,将推高集团净负债率,从目前0.87至0.92倍,增到0.99至1.04倍。

合成2.29亿购地·展开产业计划
(吉隆坡15日讯)合成(HAPSENG,3034,主板贸服组)建议以2亿2874万9128令吉在雪州购地,以扩大在西马的地库和展开产业计划。
合成在文告中表示,将以1亿2154万3528令吉向Shalimar(Malay)公司收购瓜拉雪兰莪20块农业地,面积约734.82英亩,相等於每英亩15万5400令吉。该公司有意在此地段发展总值50亿令吉和为期15年的产业计划。
同时,该公司也以1亿零720万5600令吉向Indo Malay公司收购雪州16块农业地,面积约714.704英亩,相等於每英亩15万令吉。该公司有意进行综合城镇发展计划,总值约43亿令吉和为期15年。
该公司将透过银行贷款融资,完成收购後,该公司负债比将从0.99倍升至1.04倍。

李勇坚.合成为何不受青睐
被喻为东南亚表现最佳股票的合成(HAPSENG,3034,主板贸服组),正式从本周一(6月20日)起纳入综指成份股,这会否成为该股转变的契机?
大马交易所是在6月2日宣布30只综指成份股最新变动,合成顺利上位,取代近期表现凄凄惨惨的合顺(UMW,4588,主板消费品组)。其实这早在市场预料之中,以该公司市值居全场第23大的地位,近年来每次综指成份股变动,该股一直都是潜在的入榜者,如今终于如愿以偿。
《彭博社》在次日(6月3日)专文报道,合成这一年来上涨56%,在MSCI东南亚指数157档股票中涨幅最大,若纳入股息,近年来的投资报酬率达396%,但却未出现在投资者的“雷达”上,也未获分析员青睐,没有任何分析员研究该股。
这牵扯出令人好奇的课题,究竟是这家公司太神秘太低调,以致乏人问津,抑或是分析员和投资者都“看走眼”而“走宝”?
有分析员表示,该股“太过昂贵”,目前没有必要理由去开始分析该股。这似乎说不过去。大马股市中股价超高的公司,例如雀巢(NESTLE,4707,主板消费品组)和子母牌炼奶(DLADY,3026,主板消费品组)或估值过高的股项比比皆是,但照样有分析员去研究,为何独漏这只马股市值前30位的公司?
至于是否该公司管理层拒绝会见分析员,猜想这也不太可能。该公司作为拥有深具规模的上市公司,应有一定透明度。该公司每年也在吉隆坡举行股东大会和会见记者,可见它并未拒人于千里之外。
有分析员认为该公司有强大股票回购计划,这可能是带动股价表现的其中一项因素。截至6月15日其库存股达4608万股,但单单是股票回购,不可能带动股价大涨。
该公司主要问题,相信是出在股权结构上。大股东丹斯里刘楚群掌握该公司73.07%股权,股权高度集中,缺乏充足的股票流通量,令投资者难以买卖该股,同时也令大股东容易操作,相信这是带动该股节节上涨的一大因素。
合成去年全年派发30仙股息,今年首季净利扬升26仙和派息15仙。不过,其超过36亿令吉负债偏高则是隐忧。
该公司在上周宣布以逾2亿令吉在雪州购地以展开产业计划,该公司早前表示有意展开并购行动的说法相符,也启动了出击的第一步。
合成如今已晋级综指成份股,应该是时候作出改变,不只是要改变低调保守的作风,更重要的是扩大股票的公开流通量,加强投资者关系,才有望得到市场的重视。

(吉隆坡24日讯)合成统一(HAPSENG,3034,主板贸服股)截至9月杪第三季,净赚1亿6658万3000令吉,或每股6.73仙,比上财年同季的1亿6310万3000令吉,按年扬2.13%。
该公司当季派息20仙,除权日与享有权益日,分别落在12月6日和12月8日。
营业额从上财年同季的11亿5676万9000令吉,增加至14亿1454万3000令吉,按年扬22.28%。
受惠于原棕油和棕仁较高的平均售价和销量,种植领域当季营业额取得1亿6020万令吉,按年扬56%。
同时,建材业务也推动营业额增长。
累计首9个月,净利涨7.64%至8亿9448万3000令吉,同时,营业额增长11.22%至36亿8287万5000令吉。
合成统一认为种植业仍具挑战,因最低薪资、劳动力短缺以及令吉走弱。
但截至2017年1月新年前,中国对棕油的需求会增加,从而支持棕油价格。

合成统一9100万售斗湖地皮
2017年1月14日
(吉隆坡13日讯)合成统一(HAPSENG,3034,主板贸服股)独资子公司Hap Seng Properties Development私人有限公司(HSPD),以9100万令吉脱售斗湖地皮予关联公司Goldcoin Ventures私人有限公司(GVSB)。
该公司今日向马交所报备,与GVSB签署买卖合约,脱售2块位于沙巴斗湖阿巴斯路(Jalan Apas)的地皮,总面积达52.57英亩。
合成统一预计,将从该交易中获得6170万令吉净利,而脱售所得,将用于降低银行借贷和作为营运资本。
该公司在2004年1月30日,以670万5720令吉购入上述地皮。
若无意外,合成统一预计可在1个月内完成该脱售交易。
GVSB的大股东Gek Poh(Holdings)私人有限公司(GPHSB),持有合成统一61.43%股权。【e南洋】
