本地銀行興致低

（吉隆坡24日訊）中國放寬金融業管制，允許外資銀行發行人民幣信用卡與掛帳卡，分析員認為，料僅惠及大型銀行，不會吸引本地銀行大舉進軍中國。中國與美國昨日達致協定，中國將對外放寬金融業，其中包括允許外資銀行發行自有品牌信用卡及掛帳卡（Debit Card）。 目前，外資銀行未被允許自行發行任何卡，因此新措施料將惠及進軍中國市場的銀行。 不過，大馬證券研究分析員龍慧彥接受《中國報》提問時指出，儘管中國放寬管制是正面之舉，但對本地銀行產生的效益不大。“目前，中國規定欲在當地擴展的銀行，需至少有60億美元（約203億4600萬令吉）的總資產，這高門檻足以讓許多業者卻步。” 她表示，放寬措施料僅惠及資產豐厚的大型銀行，如馬銀行（MAYBANK，1155，主板金融）及土著聯昌（COMMERZ，1023，主板金融）。 馬銀行總執行長拿督阿米爾桑曾放話，欲在東南亞、南亞及中國尋求銀行收購對象。 “無可否認，中國龐大消費市場對銀行業者是誘因之一，不過，單一放寬項目不足以吸引本地業者湧入中國。” 大眾銀行（PBBANK，1295，主板金融）去年2月份收購香港亞洲商業銀行（Asia Commercial Bank，簡稱亞商行）后，也表明將在香港紮穩根基，再拓展中國商機。 “主因是亞商行當時的總資產僅達19億美元（約64億4290萬令吉），因此可想而知，要輕叩中國大門並非易事。” 她以我國的小型銀行國貿資本（EONCAP，5266，主板金融）為例，總資產僅達390億令吉，要進軍中國並不容易。

Subject : SHARE SALE AGREEMENT BETWEEN GHL SYSTEMS BERHAD AND THORNBEAM LIMITED

Contents :

The Board of Directors of GHL Systems Berhad ("GHL Systems") wishes to announce that GHL Systems has entered into a Share Sale Agreement ("Agreement") with Thornbeam Limited ("Thornbeam") on 24 May 2007 to sell 35,150,000 ordinary shares of RM0.10 each ("Sale Shares") in MobilityOne Sdn Bhd ("MobilityOne") , representing 19.66% of the issued and paid-up share capital of MobilityOne, for a cash consideration of Ringgit Malaysia seven million and thirty thousand (RM7,030,000) ("Purchase Price") ("Disposal"). Pursuant to the Disposal, MobilityOne will ceased to be an associated company of GHL Systems as GHL Systems will hold only 3.93% of the issued and paid-up share capital of MobilityOne.

Background Information on Thornbeam
Thornbeam is a private limited company incorporated in Jersey, with an authorised share capital of £10,000 comprising 10,000 shares of £1 each. The total issued and paid-up share capital of Thornbeam is £2 comprising of 2 ordinary shares of £1 each. Thornbeam is principally involved in investment holding.

Background Information on MobilityOne
MobilityOne is a private limited company incorporated in Malaysia under the Companies Act, 1965. As at today, the authorised share capital is RM23 million comprising of 230 million ordinary shares of RM0.10 each of which 178,800,024 ordinary shares are issued and fully paid-up. MobilityOne is an MSC (Multimedia Super Corridor) status company that is in the business of e-Channel products and services (such as mobile prepaid reloads and ticketing) as well as technology managed services and solution sales and consultancy. For the 9-month financial period ended 31 December 2006, MobilityOne posted an audited net profit and revenue of RM3,033,279 and RM59,012,604, respectively, whilst its audited net assets stood at RM20,284,647 as at 31 December 2006.

Salient Terms of the Agreement
The salient terms of the Agreement are as follows:-

(a) GHL Systems shall sell and Thornbeam shall purchase the Sale Shares, free from any encumbrances together with all rights, benefits and entitlements now or hereafter attaching to the Sale Shares effective from the completion date of the transaction.

(b) Thornbeam shall forthwith upon and simultaneously with the execution of the Agreement pay the total Purchase Price to the escrow account of an escrow agent and the escrow agent shall release the Purchase Price to GHL Systems upon receiving the following:
i) share transfer forms duly signed by GHL Systems as transferor in respect of the Sale Shares in favour of Thornbeam; and
ii) the original share certificates in respect of all the Sale Shares.

(c) The Agreement shall be governed by the laws of Malaysia and its validity, construction and performance shall be interpreted in accordance with Malaysia Law.

Basis of arriving at Purchase Price
The Purchase Price is arrived at on a "willing buyer, willing seller" basis, taking into consideration the earnings of MobilityOne for the 9-month financial period ended 31 December 2006.

Original cost of investment and date of investment
GHL Systems subscribed for 38,000,000 new ordinary shares of RM0.10 each in MobilityOne for a cash consideration of RM3,800,000 on 30 April 2005.

Expected gains
GHL Systems expects to realise a gain of approximately RM3,515,000 from the Disposal.

Intended application of the cash
The cash consideration of RM7,030,000 from the Disposal will be used by GHL Systems for working capital purposes.

Assumption of liabilities by Thornbeam
There is no assumption of liabilities by Thornbeam arising from the acquisition of the Sale Shares.

Documents for Inspection
The Agreement is available for inspection by the shareholders of GHL Systems at the Registered Office of GHL Systems at 36A Lorong Gelugor, Off Persiaran Sultan Ibrahim, 41300 Klang, Selangor during office hour from Monday to Friday for a period of two (2) months commencing from this date of announcement.

Estimated time frame for completion
The estimate time frame for completion is seven (7) days from the date of the Agreement.

Conditions of Approval
The Disposal is not subject to the approval of shareholders of GHL Systems or any relevant authorities.

Departure from Securities Commission's Guidelines
To the best knowledge and belief of the Board of Directors of GHL Systems, the Disposal has not departed from the Securities Commission's Policies and Guildelines on the Issue/Offer of Securities.

Rationale
The Disposal was made as the Board of Directors of GHL Systems views that it is an opportune time to realise the investment in MobilityOne at a good rate of return.

Effects of the Disposal
The Disposal will not have any effects on the issued and paid-up share capital of GHL Systems and GHL Systems' substantial shareholders' shareholdings.

The Board of Directors of GHL Systems is of the opinion that the Disposal is expected to contribute positively to the earnings and net assets of GHL Systems and its subsidiaries ("GHL Systems Group") for the financial year ending 31 December 2007 arising from the gain on disposal of the Sale Shares upon completion of the Disposal.

There is no effect on the gearing of GHL Systems Group as no liabilities are expected to arise from the Disposal.

Directors', Major Shareholders' and Connected Person's Interests
None of the directors or substantial shareholders of GHL Systems or persons connected with them has any interest, direct or indirect, in relation to the Disposal.

Directors' Recommendation
The Board of Directors of GHL Systems, having considered all aspects of the Disposal, is of the opinion that the Disposal is in the best interest of GHL Systems.

业绩报告出炉了！比去年的好一点点！

早就预测会好的。

但是只可惜没想像中的好。 唯有寄望下Quarter了。

卖Mobility One所赚的三百多万将在下季列为非常规赚益。

暂时，它的帐目还不能很好，看看Expenses就知道在中国找生意，开分行，请人手，要用很多钱。

就算如此，还能比上季好，厉害，厉害。

我等它的Expenses跌，那时的Gross Profit 和 Net Profit 就“劲咯”。
