In connection to the above, TDM Berhad (“the Company” or “TDM”) had on 30 March 2015, entered into a Share Sale Agreement with Kumpulan Mediiman Sdn. Bhd. (“KMI”) to purchase 90.49% of KMI’s shareholding in Kumpulan Medic Iman Sdn Bhd (“KMDI”) i.e 8,649,175 ordinary shares of RM 1.00 each, for a consideration of RM 8,649,175.00. The said consideration would be satisfied in cash of RM 740,123.00 and also via a settlement of debt of RM 7,909,052 owing by KMI to TDM as at 31 October 2014.

嘉隆发展私下配售10%新股

（吉隆坡3日讯）嘉隆发展（TDM，2054，主板种植股）建议，將私下配售佔缴足资本10%的新股，或相等于1亿4816万6168股，予第3方投资者，发行价待定。
假设每股参阅发售价为0.62令吉，此配股计划预料集资9186万令吉，其中9026万令吉作为营运资本，剩余则支付配股活动费用。
该公司指出，配股活动將进一步加强公司现有业务，以及在不会產生额外利息成本下，筹集所需营运资金，同时也可提高股票流通量。
若无意外，上述活动將在2015年末季完成，预料不会对公司盈利带来任何影响。【东方网财经】

探途径以削减成本 嘉隆发展放缓步伐
二零一五年七月十九日 晚上六时五十二分
受普遍趋低原棕油价格影响，登嘉楼政府控制的嘉隆发展有限公司（TDM，2054，种植组）正放眼缩减其新厂房和扩充目标。该公司早期刚落实一项私下配售计划，以筹集资金强化其财务状况。
嘉隆发展首席执行员巴德鲁表示：“我们将可能放缓加里曼丹的种植，因在现有的环境下成本过高。”
该公司已计划天未来4年每年种植5000公顷，让其于印尼加里曼丹的投资带来成果。
“为减少我们的流动现金需求，我们将可能检讨我们的种植目标，下修至每年1000公顷。”
嘉隆发展在西加里曼丹拥有4万公顷园丘，其中1万2000公顷已经种植，而在登嘉楼则有3万公顷。
整体上，嘉隆发展约43%的油棕树处于黄金时期，9%仍然年轻及33%未成熟。
加里曼丹园丘仍然‘年轻’，因它只在2009年开始种植，及刚刚结果。
“今年，我们将只从加里曼丹成熟中的种植获得小幅收益，可能约400万至600万令吉。但每一年我们预料这些收益将会加倍。”
上述西加里曼丹的经营也预料可在今年杪达到收支平衡。
在集团方面，嘉隆发展于上一季蒙受未预期的高成本，但巴德鲁表示，这属暂时性。
在截至2015年3月31日止首财季，其收益由一年前滑落13%至7550万令吉，而净盈利则猛挫148%，至净亏损达664万令吉，主要来自种植部门。
去年为嘉隆发展集团收益带来37%贡献的保健业务，于上述季度扩大到53%。而余额则是严重自种植部门，惟却蒙受了1330万令吉的税前亏损，比2014年首财季萎缩189%。
嘉隆发展认为，原棕油价格和生产分别降低14%和19%，为业绩倒退的主因。与此同时，印尼经营的开创亏损增加到450万令吉，以及马来西亚的重植成本也提高了180万令吉。
巴德鲁指出，上述亏损为一次性，该公司首半年基本上进行施肥活动。因此，上半年预料只贡献约40%的整体收益，而其余则将在下半年获得贡献。
这意味着，嘉隆发展将探途径以削减成本，同时也可能降低资本开销。
“我们正着手提升在登嘉楼的工厂、提升科技以降低成本。今年，我们的资本开销将是5亿令吉左右，这是我们没有办法削减的。但一旦完成，我们可能会降低资本开销。”
其于甘马挽和双溪洞的工厂每小时产能60公吨鲜果仁。而在加里曼丹的工厂已经完成70%，巴德鲁预料可在2016年中旬建竣和开始操作。
该公司的扩充计划包括在加里曼丹的第2间工厂，预定在2017年动工，及另外2间则在策划阶段。资本开销变动的结果是否影响这间工厂仍然有待观察。
嘉隆发展的目标是在2020年前拥有10万公顷种植园丘。
惟巴德鲁表示：“这越来越难以实现，我们可能把这个目标延后5年。不过我们还没有落实。”
由于原棕油价格未如预期回弹，嘉隆发展也尝试降低其债务。
原棕油价格现以每公吨2300令吉水平以下交易，比较2011/12年它们则达到3500至4000令吉的高峰。
嘉隆发展于7月3日建议私下配售高达1亿4820万每股面值20仙的新股，或相等于10%现有缴足资本。
这项配售预料可筹集9200万令吉，其中大部分将充作营运资本和扩充用途。
它也将带来冲淡效果，使每股净资产值由90仙降低至88仙，及负债率从现有的0.32倍提高到0.34倍。
“过高负债并非好事，因此我们尝试加强我们的股本基础。展望未来，我们可能会稍微增加债务和股份，惟将维持在50对100的债务股份比例。”
目前，嘉隆发展拥有净负债4亿3355万令吉，比较总借贷达4亿9070万令吉。
与此同时，该集团也继续投资在保健领域，迄今旗下已有4间医院。它将耗资1亿9500万令吉在登嘉楼兴建一间新的130床位医院，预定在2016年初开幕，并且拨出5000万令吉于一座新建筑，以辅助将在2016年就绪的格拉纳再也中心位床产能。
巴德鲁称：“我们会在马来西亚继续物色数个地点（以兴建医院）。”
在2017财政年之前，嘉隆发展放眼把其保健部门在大马交易所挂牌。
“我们正与银行家洽商，我们希望可在年杪或明年初向大马交易所提出申请。保健成长相当迅速，我们希望让我们的两个部门独立成长。”
