22 April 2011 DRB-HICOM WON THE BID TO ACQUIRE 32.21% STAKE IN POS MALAYSIA FROM KHAZANAH KUALA LUMPUR, 22 April 2011 - DRB-HICOM Berhad (“DRB-HICOM”) announced that it has been successful in its bid for the acquisition of 32.21% stake in Pos Malaysia Berhad from Khazanah Nasional Berhad (“Khazanah”), the investment arm of the Government via the signing of the Share Sale and Purchase Agreement (“SPA”) with Khazanah today. The potential inclusion of Pos Malaysia Berhad (“POS Malaysia”) into the Group, marks another important milestone for DRB-HICOM. DRB-HICOM will acquire 172,997,399 ordinary shares of RM0.50 each in Pos Malaysia from Khazanah for a consideration of approximately up to RM622.8 million based on the price of up to RM3.60 per POS Malaysia share. This will be financed by internally generated funds and bank borrowings. The SPA is subject to certain conditions precedent and DRB-HICOM expects the acquisition to be completed in the 2nd quarter of the year.
Upon completion, DRB-HICOM will replace Khazanah as the single largest shareholder of Pos Malaysia. For financial year ended 31 December 2010, Pos Malaysia breached the RM1 billion revenue for the first time in its operating history and reported a revenue of RM1,104.98 million. Although a lower profit before tax of RM99.07 million was achieved, Pos Malaysia’s operating profit increased to RM105.67 million as compared to the previous operating profit for the financial year ended 31 December 2009 of RM82.35 million. |
