Pertama Capital has an issued share capital of SGD1,000,000.00 comprising 100,000,000 ordinary shares, and the intended principal activity is investment holding.
The directors of Pertama Capital are Tan Sri Dato’ Yap Yong Seong, Dato' Sri Yap Wee Keat, Yap Wee Chun and Koh Keng Guan. The sole shareholder of Pertama Capital is PLD (100%).
The aforesaid incorporation of Pertama Capital does not have any effect on the issued share capital and the shareholding of the substantial shareholders of the Company, has no effect on the earnings and earnings per share for the financial year ending 30 June 2019, and has no effect on the net assets per share and gearing of DutaLand Group.
None of the Directors and major shareholders of the Company and/or persons connected with them has any interest, direct or indirect, in the above incorporation, except for Tan Sri Dato’ Yap Yong Seong, Dato’ Sri Yap Wee Keat and Yap Wee Chun, the Directors and substantial shareholders of the Company, are also Directors of Pertama Capital.

RELATED PARTY TRANSACTIONS | Description | PURCHASE OF PROPERTY | The Board of Directors of DutaLand Berhad wishes to announce that KH Estates Sdn Bhd (“KHE”), a wholly-owned subsidiary of DutaLand, has on 30 July 2020 entered into a sale and purchase agreement (“Agreement”) with United Malaysian Properties Sdn Bhd (“UMP”), a wholly-owned subsidiary of Olympia Industries Berhad, for KHE to purchase from UMP a condominium unit measuring approximately 3,240 sq. ft. together with car park lots at a cash consideration of RM3,100,000.00, subject to the terms and conditions as stipulated in the Agreement (“Transaction”).

Type | Announcement | Subject | OTHERS | Description | DUTALAND BERHAD (DUTALAND OR THE COMPANY)- VALUATION OF INVESTMENT PROPERTIES | The Board of Directors of DutaLand wishes to announce that it has approved the incorporation of a fair value loss of RM2.9 million (net of deferred tax adjustments) in the unaudited financial results for the fourth quarter ended 30 June 2020 arising from the valuation of certain investment properties (“Investment Properties”) of KH Estates Sdn Bhd, a wholly-owned subsidiary of DutaLand, as at 30 June 2020.
The purpose of the valuation is to reflect the fair value of the Investment Properties as at 30 June 2020 in accordance with the requirements of the Malaysian Financial Reporting Standards (MFRS) 140: Investment Properties. The fair value loss will result in a decrease of 0.35 sen in the net assets per share of the Group.
The valuation of the Investment Properties using the comparison method, was conducted by an independent valuer, Cheston International (KL) Sdn Bhd (“Valuer”) on 27 July 2020. The Valuer had ascribed a market value as at 30 June 2020 of RM42.8 million on the Investment Properties.
A copy of the valuation report is available for inspection at the registered office of the Company at Level 23, Menara Olympia, No. 8, Jalan Raja Chulan, 50200 Kuala Lumpur during normal business hours from Mondays to Fridays (except public holidays) for a period of 3 months from the date of this announcement.
