Theamendment is to reflect the final tax exempt dividend payment of 8% forthe financial year ended 31 December 2007 amounting to RM19,157,508which was approved by the shareholders in the AGM held on 13 June 2008.The dividend was paid on 18 July 2008 to shareholders who wereregistered at the close of business on 20 June 2008.

Subject : NOTICE OF CONDITIONAL VOLUNTARY TAKE OVER OFFER FROM MELEWAR EQUITIES (BVI) LTD



Contents : M3nergy Berhad (“M3” or the “Company”) wishes to announce that it has on even date received a Notice of Conditional Voluntary Take-Over Offer (“Notice”) from Melewar Equities (BVI) Ltd (“Offeror”) in respect of the Offeror’s intention to acquire the following (“Offer”):-

all the outstanding 124,235,972 ordinary shares of RM1.00 each in M3 (“M3 Shares”), representing 100% of the issued and paid-up share capital of M3 (excluding treasury shares) as at 29 August 2008; and

all the M3 Shares that may be allotted and issued up to the close of the Offer pursuant to the exercise of the outstanding options granted to the employees of M3 under the Employee Share Option Scheme of M3 which came into effect on 8 June 2007,

for a cash consideration of RM1.20 per Offer Share, subject to the provisions for adjustments as set out in the Notice.

In relation to the Offer, the Board of Directors (“Board”) of M3 will upon its deliberation, announce whether it intends to seek for an alternative person to make a take-over offer for the Offer Shares.

In accordance with the Malaysian Code on Take-Overs and Mergers, 1998, the Board of M3 will be appointing an Independent Adviser to advise the independent directors and minority shareholders of M3 in relation to the Offer. The appointment of the Independent Adviser will be subject to the approval of the Securities Commission (“SC”) and an announcement will be made upon receiving the SC’s approval on the said appointment.

A copy of the Notice is attached herewith and will be posted to the shareholders of M3 within seven (7) days from the date of its receipt.

從12日晚間開始，美國政府官員和銀行業巨頭召開 緊急會議，討論雷曼兄弟公司的前途問題，並試圖恢復 市場信心。

由於美國政府拒絕為這次收購提供保證，14日包括 美國銀行、巴克萊銀行等潛在收購者相繼退出談判，擁 有 158年歷史的雷曼兄弟面臨破產。

另據《華爾街日報》網路版報道，繼放棄收購雷曼 兄弟之後，美國銀行正在與美林證券商談合併事宜。業 內人士指出，如果雷曼兄弟破產，美林證券可能會成為 下一個犧牲品。
