We refer to the announcements dated 22 August 2014, 15 October 2014 and 30 January 2015 in relation to the Proposed Acquisition.

On behalf of the Board of Directors of GSB, Hong Leong Investment Bank Berhad wishes to announce that the conditional period of 180 days for the fulfillment of the conditions precedent (“Conditional Period”) stated in the sale and purchase agreement dated 15 October 2014 (“SPA”) had expired on 14 April 2015. As such, an extension period of 120 days has been automatically granted in accordance with Clause 3.2 of the SPA for the fulfillment of the conditions precedent.

For information purposes, the SPA is conditional upon the fulfillment of the following conditions precedent within the Conditional Period:
(a)        PKNS Engineering and Construction Berhad (“Vendor”) at its own costs and expense obtaining the conditional development order from the relevant authority in respect of the Lands (“Conditional Development Order”). For the avoidance of doubt, the Vendor is only responsible for the costs and expense in relation to the application of the Conditional Development Order, but not the cost and expense in relation to the compliance to the Conditional Development Order, which shall be borne by Serta Usaha Sdn Bhd (“Purchaser”);

(b)        the Vendor at its own cost and expense obtaining the consent to transfer by the relevant authority for the sale and transfer of the Lands to the Purchaser; and

(c)        the consent of the shareholders of GSB for the purchase of the Lands by the Purchaser, which had been obtained by the Company at an extraordinary general meeting held on 30 January 2015.

(吉隆坡12日讯)GSB集团(GSB,7077,主板工业产品股)建议,私下配售占缴足资本高达20%的新股,为产业相关活动筹集资本。

根据文告,假设配售价设在每股10仙,预计可筹集高达968万令吉。

GSB集团将该资金主要用在位于巴生的住宅发展项目,包括土方工程、打桩、下部结构工程、建筑工程等。

该项发展计划,包含了80个连栋住宅(Townhouse)和半独立式住宅单位,预计发展总值达5800万令吉,并在2018财年第三季完成。

文告指,通过私下配售让集团能够在无需承担利息成本情况下筹集资本,加强财务情况,以及提高市场流通量。【南洋网财经】

8500萬未入賬銷售‧GSB有信心轉盈

(吉隆坡31日訊)GSB集團(GSB,7077,主板工業產品組)手握8千500萬令吉未入賬房產銷售,有信心2016財政年可轉虧為盈。

該公司董事經理顏碧慧在股東特大後表示,公司目前在柔佛及文冬的產業項目認購率相當高,並取得8千500萬令吉的未入賬銷售,有信心在下個財政年可轉虧為盈。

她表示,目前產業市場有明顯的放緩,但文冬的產業市場並沒有受到明顯的影響,因此計劃在當地發展52英畝的小型城鎮式產業項目,發展總值約3億7千400萬令吉左右。

“文冬地庫的成本價為2千940萬令吉,目前正在處理產業項目的程序,預期2017年中可開始建造並推出相關產業項目,預計需6至7年的時間發展。”

她舉例說,目前許多人在吉隆坡上班,卻居住在芙蓉等地區,而文冬距離吉隆坡約一小時車程,相信文冬的產業項目也具備相當的吸引力。

有意轉至產業組

她補充,公司主要的營業額由產業業務貢獻,因此公司也有意從工業產品組轉換至產業組,預期今年內可以完成所有的程序。有關光碟製造的業務時,她表示,該業務雖然是夕陽工業(sunset industry),且在賬面上有些許虧損,但仍可貢獻公司正面的現金流,因此無意將該業務脫售。

(吉隆坡19日讯)富德(FUTUTEC,7161,主板建筑股)执行董事拿汀卓秀全以880万令吉,购入GSB集团(GSB,7077,主板产业股)16.7%,成为大股东。

根据文告,卓秀全、郑荣忠(译音)和郑荣汉(译音)于上周三(16日),通过Javawana私人有限公司认购GSB集团私下配售8800万股新股,相等于16.7%;这批新股私配价为每股10仙,或9.42仙均价溢价6.2%。【南洋网财经】

(吉隆坡7日讯)消息称,经过总结一系列的企业活动,GSB集团有限公司(GSB,7077,产业组)可能演变成商人拿督郑荣和的地产子公司。

现阶段,拿督郑荣和仅持有上市公司富德工艺有限公司(FUTUTEC,7161,建筑组),即将易名为Kerjaya Prospek集团,前者将会成为集团的建筑臂膀。在2011年10月,郑氏购入富德工艺并持有72.18%股份,不过他近期才积极参与公司计划。

在2015年12月18日,富德执行董事拿汀卓秀全、郑荣忠(译音)和郑荣汉(译音)通过Javawana私人有限公司,认购GSB集团私下配售每股10仙的8800万股新股或16.7%股权。去年9月,GSB集团股项被重新分类,从工业产品组转至产业组。

消息人士说:“满城风雨传GSB集团将会成为其集团的产业臂膀,而富德工艺则处理建筑业务。”

Javawana私人有限公司是GSB集团的第2大股东。过去数年,GSB集团的股份交易介于7仙和14仙。截至2015年9月,其每股净资产仅11.7仙,对于产业发展商而言,这是微不足道的。

在2015年首6个月,GSB集团创下微小的净利润122万令吉,收入则有1066万令吉。然而,过去长达2年的财政年,它都遭受损失。截至2015年9月30日止,该公司拥有现金余额671万令吉,而短期债务有2134万令吉,以及长期贷款则有1551万令吉。

然而,GSB集团通过收购土地来试图重振公司。它以2050万令吉在莎阿南第15区购买2块面积2.22英亩的土地,额外附有发展指令。这项收购预定在2016年2月完成。

该公司也有综合发展项目,包括位于柔佛新山”g Residence、彭亨文冬各别有商业和住宅发展的Bentong Avenue及Valleyview33。它也寻求以2949万令吉在文冬购买52.08英亩土地,料在今年获知结果。【光华日报财经】

GSB 放弃产业联营

(吉隆坡8日讯)GSB集团(GSB,7077,主板工业产品股)宣布和Projects Start私人有限公司终止联营白沙罗商业发展计划,并获得271万令吉的现金支付。

根据文告,GSB集团独资子公司GSB Summit发展私人有限公司(GSD)今日和Projects Start签署终止协议,双方同意取消在2011年6月签署的联营协议。

GSB集团指出,联营项目为发展商业产业,不过由于土地用途的变动,因此监管单位需对地方蓝图作出修改,以向八打灵再也市政厅申请发展准证。

由于在等待相关监管单位修改的地方蓝图,促使GSB Summit发展迟迟未能申请发展准证,在数年后仍未能动工。

有鉴于此,双方同意取消这项联营发展计划,同时GSB Summit发展将取回150万令吉的订金以及121万的赔偿和其他费用。

GSB集团计划将得到的这笔资金,作为营运资本。【南洋网财经】

TERMINATION AND SETTLEMENT OF THE JOINT VENTURE AGREEMENT DATED 29 JUNE 2011 BETWEEN GSB SUMMIT DEVELOPMENT SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF GSB GROUP BERHAD AND PROJECTS START SDN BHD
We refer to the announcement dated 8 March 2016 in relation to the execution of the Termination and Settlement Agreement dated 8 March 2016 between GSB Summit Development Sdn Bhd, a wholly-owned subsidiary of GSB Group Berhad and Projects Start Sdn Bhd (“TSA”). Unless otherwise stated, words and phrases used in this announcement shall have the same meanings as defined in the aforesaid announcement.

The Board of Directors of GSB Group Berhad wishes to announce that the TSA has been completed following the full settlement of the Settlement Sum by Projects Start Sdn Bhd.

This announcement is dated 9 June 2016.

Description
GSB GROUP BERHAD ("GSB" OR THE "COMPANY")PROPOSED ACQUISITION OF A PIECE OF LAND KNOWN AS LOT 1248, MUKIM AND DAERAH BENTONG, NEGERI PAHANG DARUL MAKMUR HELD UNDER GERAN NO. 9894, MEASURING APPROXIMATELY 52.08 ACRES FOR A PURCHASE CONSIDERATION OF RM29,492,570.00 ("PROPOSED ACQUISITION")
We refer to the announcements dated 17 February 2015 and 31 July 2015 in relation to the Proposed Acquisition (“Announcements”). Unless stated otherwise, the abbreviations used hereafter throughout this announcement shall have the same meanings as defined in the Announcements.

On behalf of the Board of Directors of GSB, Hong Leong Investment Bank Berhad wishes to announce that BISB had on 15 July 2016, entered into a supplementary sale and purchase agreement with RASB to amend and vary certain terms and conditions of the SPA in respect of the Proposed Acquisition, in consideration of a total of RM499,050 only (“Indulgence Sum”) to be paid by BISB to RASB, between the period of August 2016 and July 2017 (“Supplementary Agreement”).

Please refer to the attachment for the key terms of the SPA which are amended by the Supplementary Agreement.

In addition, BISB and RASB has also on 15 July 2016 entered into a Further Supplemental Termination and Settlement Agreement (“Further Supplemental Settlement Agreement”) to amend and vary certain terms and conditions of the Settlement Agreement (as supplemented by the Supplemental Settlement Agreement). Please refer to the attachment for the key terms of the Settlement Agreement (as supplemented by the Supplemental Settlement Agreement) which are amended by the Further Supplemental Settlement Agreement.

All other salient terms and conditions of the SPA and the Settlement Agreement (as supplemented by the Supplemental Settlement Agreement) remain unchanged and shall remain valid and in full force and effect.

Copies of the Supplementary Agreement and Further Supplemental Settlement Agreement are available for inspection at the registered office of the Company at Level 8, Symphony House, Pusat Dagangan Dana 1, Jalan PJU 1A/46, 47301 Petaling Jaya, Selangor Darul Ehsan, Malaysia, during normal business hours from Mondays to Fridays (except for public holidays) for a period of three (3) months from the date of this announcement.
