（吉隆坡11日讯）MLABS系统（MLAB，0085，创业板）献议私下配售占缴足资本10%的新股，以筹资最高170万令吉，作为公司的营运资本。

该公司向马交所报备，共私售1698万7900股，并会在相关单位批准后的6个月内，分批配售这些股票给之后决定的独立第三方投资者。

MLABS系统表示，配售股的发售价将不比定价日期前5个交易日的平均价低10%。

Description	Acquisition of 51% Interest in Pacifica Direct Sdn. Bhd.
The Board of Directors of Mlabs Systems Berhads (“Mlabs”) wishes to announce that Mlabs had on 2 September 2014, acquired 51% equity interest in Pacifica Direct Sdn. Bhd. (“PDSB”), comprising 102,000 ordinary shares of RM1.00 each for a total consideration of RM200,000.00 (“Acquisition”). The remaining 49% equity interest representing 98,000 ordinary shares of RM1.00 each in PDSB is held equally by Lam En Hui and Cho We Jun, the existing shareholders of PDSB. PDSB was incorporated in Malaysia on 25th August 1997 and has an authorised share capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each of which 200,000 ordinary shares of RM1.00 each have been issued and are fully paid-up. PDSB is principally engaged in E-commerce and owns an internet portal under the name of Pacifica2u.com. The Acquisition is based on its audited accounts as at 31st July 2014 where its total assets are RM194,268.45 and its total liabilities are M5,412.20. There are no contingent liabilities and guarantees to be assumed by Mlabs arising from the Acquisition. The Acquisition will not have any material effect on the earnings, net assets and gearing of the Mlabs Group for the year ending 31 December 2014 and is not subject to the approval of the shareholders or any governmental authorities. None of the directors and/or major shareholders of Mlabs Group and persons connected with them have any interest, direct and/or indirect, in the Acquisition. （吉隆坡11日訊）MLABS系統（MLAB，0085，創業板科技）股價跌破面值，建議削減股項面值及削資減虧損，股項估值從10仙削減至5仙。

該公司向馬證交所報備指出，建議削減股項面值，從每股10仙削減至5仙，所得934萬令吉將用作抵消累計虧損，余額則充作儲備金。

該公司亦建議從股本溢價（share premium）戶口中削減939萬令吉，致力將虧損減至最低11萬4000令吉。

文告指出，MLABS系統股價于11月9日跌至9仙，即低于面值水平，故該公司根據條例展開削資計劃，此計劃下股價並不會受影響。

不過，該公司亦指出，計劃完成后不會向股東派發特別股息，未來派息則需視現金流及營運等方面決定。【中国报财经】
