拟发股收购TNM MFG 斯渥系统进军金属品制造

（吉隆坡9日讯）从事管理软件保养的斯渥系统（CWORKS，0079，创业板），计划通过收购一家公司，多元化业务至金属产品制造业。
文告指出，该公司与金属产品制造的TNM MFG有限公司签署暂定协议（HOA），建议收购后者的100%股权，或250万股。
新股售价24仙
斯渥系统建议以每股24仙发售新股以筹资进行收购，发股数量待定。
该公司预计金属制造业务在未来可为公司贡献25%的净利。
如无意外，双方会在签署暂定协议后的45天内签署决定性条约（DefinitiveAgreements）。
斯渥系统今日闭市时收报30.5仙，下跌0.5仙，或1.6%。【南洋网财经】

斯渥系统4.13%股权在场外易手

（吉隆坡7日讯）软件专家斯渥系统（CWorks Systems Bhd ( Valuation: 0.00, Fundamental: 2.25)）今日一共有500万股，或相等于4.13%股权，以130万令吉在场外易手。
根据彭博社数据，斯渥系统（基本面：2.25；估值：0）以单批每股26仙的价格，在场外易手。
截至目前，仍未知悉哪方涉及这项场外交易。
截至今年6月杪的财年，斯渥系统次季净亏缩窄58%至31万7000令吉，上财年次季净亏75万2000令吉；次季营业额则由上财年同季的92万2000令吉，按年扬升16%至107万令吉。
综合现财年上半年的业绩表现，斯渥系统净亏收窄43%至73万7000令吉，上财年同期净亏129万令吉；首半年营业额报172万令吉，上财年同期营业额为175万令吉。
今年迄今，斯渥系统股价跌挫20.83%，低于马股的表现，富时隆综指至今下跌8.33%。
闭市时，斯渥系统收报于19仙，起0.5仙或2.7%，市值共计2240万令吉。

（吉隆坡26日訊）CWORKS系統（CWORKS，0079，創業板科技）股價在短短不到7個交易日從32.5仙勁揚至新高54.5仙，今早遭馬證交所發出“異常交易活動”質詢，稍晚宣佈建議私下配售籌集約496萬令吉，除此之外不知股價異常飆高的原因。
核心業務為資訊科技供應商的CWORKS系統今日以平盤50仙開市，早盤一度揚4.5仙，至54.5仙水平，休市時微揚3仙至53仙水平，股價看似平平無奇，盤中卻已寫下史上新高。
再者，該公司股價在本月14日仍收32.5仙，此期間在沒有重大企業消息及發展計劃下，股價開始步步高升，若以休市53仙計算，CWORKS系統在短短不到7個交易日內已勁揚20.5仙或60%。
馬證交所今早向CWORKS系統發出異常交易活動質詢，除了要求該公司解釋近期股價勁揚原因，以及可能導致股價異動的傳聞，亦籲請投資者關注這家公司回應，並謹慎投資。
該股午盤股價因而受影響停擺，大部分時間窄幅波動，閉市報53仙，揚3仙，成交量946萬3400股。
該公司晚間向馬證交所報備，表示在咨詢董事后，除了今日的私下配售議案宣布，對于現有一切包括在接洽階段的企業發展、任何可能導致公司股票價量齊升的傳聞或報告，毫不知情。
該公司建議，發行股本約10%或高達1210萬100新股，供私下配售計劃，冀從中籌獲約496萬令吉。

斯渥第三季推新软件

（吉隆坡29日讯）近期股价大涨的斯渥系统（CWORKS，0079，创业板）表示，将会在今年第三季推出存货管理软件。
该公司回应马交所对私下配售活动计划作出的询问时表示，将会把其中获得的330万令吉，用于开发该软件。
此外，预计151万令吉将会用于销售产品给目标市场。
斯渥系统已确认，把物流和采矿相关业者作为该软件的首要目标市场。
早前，该公司以每股41仙，私下配售1210万股，预计可筹集496万令吉。【南洋网财经】
