The Board of Directors of GHL Systems Berhad ("GHL Systems" is pleased to announce that GHL Systems has been awarded a contract by Bank Simpanan Nasional ("BSN" to supply EMV chip-based cards and personalisation of chip-based cards pursuant to the letter of award dated 26 January 2007 and accepted by GHL Systems on 26 January 2007. The contract sum of the project awarded is RM850,000.00.

GHL SYSTEMS BERHAD

PROPOSED TRANSFER OF THE LISTING OF AND QUOTATION FOR THE ENLARGED ISSUED AND
PAID-UP CAPITAL OF THE COMPANY OF UP TO RM69,762,329 COMPRISING 139,524,658
ORDINARY SHARES OF RM0.50 EACH FROM THE MESDAQ MARKET TO THE MAIN BOARD OF
BURSA MALAYSIA SECURITIES BERHAD ('PROPOSED TRANSFER')
This announcement is dated 29 January 2007.

Reference is made to the Company's announcement dated 7 November 2006 wherein
it was announced that the Securities Commission ('SC') had approved,
inter-alia, the Proposed Transfer subject to the condition that the Company
discloses, inter-alia, the following in the Company's circular to its
shareholders:-

(a) The debtors aging analysis based on the GHL group's latest audited
trade receivables including measures taken to recover the long overdue balances

and other credit control measures undertaken to mitigate the risk of bad and
doubtful debts;

(b) GHL to make full provision for trade receivables outstanding that
have exceeded the normal credit period granted, unless it can be justified that

the outstanding amount can be collected. The said justification must be
disclosed in the circular supported by an independent opinion from the
Reporting Accountants; and

(c) GHL to collect or make full provision for all trade receivables that
have been outstanding more than 180 days.

Further to the said announcement, on behalf of the Company, AmInvestment Bank
Berhad (formerly known as AmMerchant Bank Berhad) (a member of the AmInvestment

Bank Group) ('AmInvestment Bank') is pleased to announce that the SC has, vide
its letter dated 26 January 2007, approved the Company's application for the
compliance of the above-mentioned conditions to be based on the GHL group's
latest trade receivables balance, as opposed to the latest audited trade
receivables balance.

Pursuant to the above, GHL intends to comply with the above-mentioned
conditions by making the required disclosures based on the GHL group's latest
unaudited trade receivables balance as at 30 September 2006. The said
disclosures will be made in the Company's Introductory Circular to be issued to

its shareholders in connection with the Proposed Transfer.

现在不会让散户看到他的进场动向，和会把那股价压得低低，慢慢吃货1-2星期，到时候散户在跟，已高价了

我到现在都还没有再买入ghlsys.我还在等待，等待时机的到来。。。五合一后可能会出现两种现象，每天都涨涨到像kuchai酱.... 或会平平的慢慢的一分一分的起。这只是我个人的看法。

明天（06/02/2007）为五合一之参考价是RM1.15，但还未转换去主板，现在只等SC点头，只因为欠钱不还的家伙害惨GHLSYS！明天的股价不会飚上，反而趋跌。 :@

我只知到，BSN是40% substantatial shareholder, BSN under Finance Ministry (啊杜啦)。
