RELATED PARTY TRANSACTIONS | Description | Malton Berhad (Malton or Company)Proposed Subscription of Redeemable Preference Shares of RM0.01 each (RPS) in Memang Perkasa Sdn Bhd, a 51% owned subsidiary of Malton (Proposed RPS Subscription) | Malton Berhad, had on 27 January 2016, subscribed for 51,000 new ordinary shares of RM1.00 each representing 51% of the total issued and paid-up share capital of Memang Perkasa Sdn Bhd (“MPSB”) for the total consideration of RM51,000 pursuant to the conditional subscription agreement dated 22 January 2016 entered into between Malton, MPSB and Tegap Dinamik Sdn Bhd (“TDSB”). Consequently, MPSB became a 51%-owned subsidiary of Malton with the balance 49% equity interest in MPSB held by TDSB.
As at 27 January 2016, there were 40,000,000 outstanding RPS in issue held by TDSB (“Existing RPS”), which are redeemable in cash at a fixed redemption price of RM5.50 per RPS.
The Board of Directors of Malton wishes to announce that to-date, the Company, via its wholly-owned subsidiary, Regal Marvel Construction Sdn Bhd, had subscribed for 7,100,000 new RPS in MPSB (“New RPS”) for a total cash consideration of RM39.05 million for the purpose of redeeming 7,100,000 Existing RPS held by TDSB. The Company intends to subscribe for up to a maximum of 20,400,000 New RPS at the issue price of RM5.50 per New RPS for the purpose of redeeming up to 20,400,000 Existing RPS, which would result in Malton holding 51% of the total RPS in MPSB, whilst TDSB will hold the balance 49% of the total RPS in issue, to reflect the existing ordinary shareholding held by Malton in MPSB.
The abovementioned subscription of New RPS by Malton will not have any effect on the share capital of the Company, shareholdings of the substantial shareholders of the Company and consolidated net tangible assets and borrowings of the Malton group of companies (“Group”). The subscription of the New RPS by Malton will be financed by internally generated funds of the Group.
None of the Directors and major shareholders of the Company and persons connected to them have any interest in the subscription of the New RPS by Malton, except for TDSB being a major shareholder of MPSB (49%) which will receive the redemption proceeds from the Proposed RPS Subscription.
The Board of Directors of the Company has approved the terms of the Proposed RPS Subscription and is of the view that the terms of the Proposed RPS Subscription is fair and reasonable and in the best interest of the Company.

明年推10亿项目 马顿冀再创佳绩

(吉隆坡23日讯)大马產业发展与建筑商马顿(MALTON,6181,主板產业股)將在2017年推出3项分別位於吉隆坡武吉加里尔、古晋路和柔佛边佳兰的住宅和商业產业项目,发展总值近10亿令吉,期望以此在市况低迷之时突破重围,创造更佳业绩。
马顿財务总裁黄子杰在今日的股东大会后向媒体表示,儘管旗舰项目-武吉加里尔城產业发展项目最后一阶段的单位已经推出市场,但该项目在隨后5年,仍將继续为公司业绩作出贡献。
「马顿在6个星期前推出武吉加里尔城最后阶段中的首栋高级公寓,获得市场良好反应,在短时间內即获得70%的认购率,而另一栋公寓则会在明年推出。」
未入账销量11亿
同时,他指出,武吉加里尔城中的巨型商场项目,即柏威年第2商场(Pavilion2)仍未完工,预测要在2019年后才能开始为公司业绩作出贡献,届时该商场或可为公司带来额外20%的营业额。
一位不愿透露身份的小股东向媒体透露,马顿管理层在大会上表示,马顿目前手上的未入账销售额约为11亿令吉,可支撑公司未来2至3年半的营业额,而其中80%左右销售额,贡献自武吉加里尔的產业发展项目。
董事局在会上也透露,目前马顿自身拥有和通过联营,持有400英亩的地库,其中200英亩位於巴生谷区域,而其余200英亩则座落柔佛州,发展总值预测超过100亿令吉。
小股东指出,「马顿管理层表示会持续寻找扩充地库的机会,但会倾向於通过联营进行发展项目,因透过上述方式,公司可节省土地成本,令公司更易於控制现金流。」
同时,他引述马顿管理层指,该公司逾80%的发展项目都是通过联营进行,这样的发展模式並不会影响赚幅。
至於如何应付低迷的市况,该小股东透露,马顿管理层认为,购屋者无法顺利取得房贷是主因,因此该公司开始设计面积较小,如800平方尺至1000平方尺的单位,使整体售价变低,进而令购屋者较易借得房贷。
「同时,管理层表示,马顿会为购屋者推出各种利息较低的创新融资方案,令他们比较容易获取买房资金。」
据了解,马顿在武吉加里尔推出的公寓单位每平方尺售价在800令吉之上,而明年在古晋路推出的单位每平方尺价格则逾700令吉。
在建筑业务方面,小股东指马顿手上目前的建筑工程订单总值28亿令吉,主要来自內部项目。
马顿执行主席丹斯里林晓春缺席本届股东大会,大会由其弟弟,即董事经理林晓辉(音译)、副主席兼独立非执行董事圭多保罗及执行董事蔡天德(音译)主持。

传丹斯里林晓春有意把两家公司合并?林晓春分别持有WCT控股(WCT)和马顿(MALTON)的18%及35%股权。是否有意提高公司的市值和估值来竞标更多项目?这有待定。
今日Malton闭市在1.55上升18仙(+13.14%),WCT闭市在2.31上升12仙(+5.48%)
艾芬黄氏资本分析员曾指出不排除WCT控股和马顿合併的可能性,并认为两家合并可收窄它与重量级建筑和产业股的市值及估值之间的差距。
合併可结合2家公司的人才、在各地区建立更广泛的产业产品、并利用当前的产业整合趋势,提升竞争力。
但是2家公司都有较高的负债,若要合併可能会通过换股方式进行。
成为Bukit Jalil 的领航者?
马顿是一家涉及综合发展项目的利基产业发展商和建筑承包商,目前最大的发展项目为35亿令吉的武吉加里尔城(Bukit Jalil City)。
目前WCT控股也在邻近武吉加里尔(Bukit Jalil)的华联花园发展价值40亿的综合发展项目,其中包括购物广场、酒店、公寓等计划。

大连万达传联手马顿及EPF.中首富投标大马城?

(雪兰莪.八打灵再也6日讯)由中国首富王健林创立的大连万达集团,传言将与丹斯里林晓春领导的马顿集团(Malton Group)联手投标大马城计划;而雇员公积金局(EPF)也很可能加入成为该团队的一员。
马顿股价上涨
林晓春作为共同大股东的马顿和WCT控股近期交易活跃,在周五,马顿的股价就上涨18仙,以1令吉55仙收盘,而WCT控股的股价则上涨12仙,以2令吉31仙挂收。
据星报引述消息来源表示:“林晓春和马顿过去就曾与大马城计划扯上关系,而据说当时的外资搭档为卡塔尔旗下主权财富基金的卡塔尔投资局。”
不过,卡塔尔投资局随后已不再把资金投入标志性的房地产开发项目。
至于大连万达集团则是成立于1988年,专注于商业、文化、网络和金融4大行业于一体的企业集团。
现年63岁的王健林自1989年就成为该集团董事长,在他带领下,万达已发展成为世界上最大的私人房地产开发商和业主,也是全球最大的电影连锁经营者。该集团全资拥有中国的万达电影院和澳洲的霍伊茨集团,以及美国的AMC剧院的多数股权。
根据大连万达的官方网站,该公司的愿景是在2020年,成为资产总额达2000亿美元(约8670亿令吉)、市值达2000亿美元、收入达1000亿美元,以及净利润达到100亿美元的世界级跨国公司。
万达资产5千亿
去年,该集团的资产达到了7962亿人民币(约5007亿令吉),而营业收入则达到2550亿人民币,而在2015年的“财富”全球500强企业则排在第385位。
集团旗下的房地产开发公司──万达商业在2014年12月于香港联合交易所上市,共集资37亿美元。如今,王健林的身家为306亿美元(约1327亿令吉)。
目前,万达商业是全球最大的商业物业企业,拥有3233万平方公尺的物业空间。在北京、上海、成都和昆明开设了187个万达广场,并计划在今年于中国再开设多50家。
林刚河准备“反击”
大马城潜在竞争者浮现
报道指出,虽然丹斯里林刚河准备“反击”,但发展大马城计划的潜在竞争者已经浮现,有了新的名字。
尽管林刚河并没有打算就此放弃,并正在寻求采取法律行动;但是,林刚河阵营的危机,却似乎让其他人看到了一个巨大的机会。
第一批密切关注的,很大可能就是大马城计划的其他竞争者;据悉大马城在2014年的招标过程中共有40名投标人,且其中一方就是丹斯里林晓春和卡塔尔主权财富基金──卡塔尔投资局的搭档组合。
目前一些股票投资者正在看涨林晓春持有的WCT控股有限公司和马顿集团(Malton)。
一名内部人士认为,现在是开放给任何大型发展商或投资公司去投标大马城计划的时候。
房地产开发商不排除即将推出的新招标程序,而据悉,有政府关联投资公司(GLIC)支持的大马发展商也热衷于参与该计划。
“我可以预见,分别由国民投资公司和雇员公积金局(EPF)支持的GLIC控股的实达集团(SP Setia)和马资源(MRCB)的合资企业,可以满足取得该股权计划所需的投资金额。”
此外,另一个竞争者很有可能是E P F旗下的主要发展商桂沙置地(Kwasa Land)。
大马城价值大增
然而需要注意的一个关键问题是,大马城的价值已经大大增加。
TRX是在2015年12月31日以74亿1000万令吉脱售大马城的60%股权给ICSB,而据估计,有关土地的开发价值估计为2000亿令吉。
1MDB是在2013年首先以4亿令吉收购了新街场的土地。根据截至2014年3月31日的报告,大马城的账面价值为4.2亿令吉。
市场观察家对此表示,今天的土地价值要高得多。而更重要的是,大马城不再被负面看待。
在保守的基础上,如果面积达到486英亩的大马城以每平方尺1000令吉计算,其土地价值将达到210亿令吉。

没与万达公积金局洽谈
马顿否认竞标大马城

(吉隆坡8日讯)市场对大马城计划“接手人”的传言甚多,包括传出马顿(MALTON,6181,主板产业股)与中国大连万达集团和雇员公积金局(EPF)联手竞标该计划,但马顿今天正式发文告正式否认传言。
马顿在今天中午向交易所报备,并无与大连万达集团和公积金局洽谈竞标大马城计划。
根据《星报》上周六的报道引述消息人士指,中国首富王健林创立的大连万达集团,将与丹斯里林晓春掌舵的马顿,联手竞标大马城计划。
同时,消息也指,公积金局有可能会参与该财团。
随着全国大选似乎渐近,业界人士认为,大马城计划最终会落在土著房地产发展公司的手中;当中传得最盛的是向来与政府关系非常密切的马资源。
另一方面,达证券指,考虑到大马城曾经从本地和国际投资者接获40份认购意向书,包括来自新加坡、中国、日本、韩国和澳洲,并有12家公司已提呈计划书,虽然由于竞争剧烈而导致价格昂,但这项策略计划对投资者来说仍有浓厚的吸引力。
据了解,当时入围的有4家竞标者,包括由外资和国民投资机构(PNB)主导的三家财团,以及最后一分钟提呈竞标的马顿和卡塔尔(Qatar)政府投资基金主导的一家公司。【e南洋】
