- PROPOSED ACQUISITION OF SUNWAY HOTEL GEORGETOWN AND WISMA SUNWAY FOR A TOTAL PURCHASE CONSIDERATION OF RM134 MILLION
1. INTRODUCTION
The Board of Directors of Sunway REIT Management Sdn Bhd, the manager for Sunway REIT (“Manager”), wishes to announce that RHB Trustees Berhad, as Trustee for Sunway REIT (“Trustee”), has on 8 December 2014 entered into the following agreements with the following subsidiaries of Sunway Berhad (“Sunway”):

(i)  A sale and purchase agreement (“1st SPA”) with Sunway Biz Hotel Sdn Bhd (formerly known as Sunway Hotel (Penang) Sdn Bhd) (“SBH”) to acquire 2 pieces of freehold land held under GRN 63519 Lot  2220, Seksyen 12, Bandar Georgetown, Daerah Timor Laut, Negeri Pulau Pinang and GRN 35332 Lot 1754, Seksyen 12, Bandar Georgetown, Daerah Timor Laut, Negeri Pulau Pinang together with a 16-storey building comprising a 250-room hotel erected thereon known as “Sunway Hotel Georgetown” (“Sunway Hotel Georgetown Property”);

(ii) A master lease agreement (“MLA”) with Sunway REIT Management Sdn Bhd, as the Manager for Sunway REIT and SBH, as the Lessee for the leaseback of the Sunway Hotel Georgetown Property; and

(iii) A sale and purchase agreement (“2nd SPA”) with SunwayMas Sdn Bhd (“SMSB”) and Daksina Harta Sdn Bhd (“DHSB”) to acquire all the individual strata titles for various floors/storeys of all that office building known as “Wisma Sunway” located at No.1, Jalan Tengku Ampuan Zabedah C9/C, Seksyen 9, 40100 Shah Alam, Selangor (the particulars of the strata titles for which are set out below) (“Wisma Sunway Property”).

The Sunway Hotel Georgetown Property and Wisma Sunway Property shall collectively be referred to as the “Properties” and the transactions referred to in paragraphs (i) and (iii) above shall be referred to as the “Proposed Acquisition”.

母公司注入新资产 双威产托短期助益不大

(吉隆坡9日讯)双威(SUNWAY,5211,主板产业股)将两项资产注入双威产托(SUNREIT,5176,主板产业信托股),分析员看好这项计划对双方各有助益,但短期内料不会大幅推高获利。

这两项资产为乔治市槟城双威酒店和莎阿南双威大厦,以1.34亿令吉,脱售予双威。

双威大厦收益较高

肯纳格投行认为,资产脱售价格合理,乔治市槟城双威酒店收益率为5.9%,相较双威产托其他酒店资产收益率介于5.3%至7%。

至于莎阿南双威大厦收益大7.9%,与该公司办公类型资产的平均收益率6.4%相较,处于偏高水平。

双威产托将以银行贷款完成资产收购,预计该公司2015财年至2016财年的净负债将从0.33倍,增至0.35倍。

双威酒店交易将在明年首季完成,双威大厦则将与2016年首季完成,预计这项资产注入案,在明年至后年,只会微幅提升双威产托的收益率,预测增幅介于0.2%至0.8%。

兴业研究对于资产注入计划给予“中和”看法,因相关资产规模相对较小,仅为整体资产组合的2.3%,而且仅能提升每单位收入分配(DPU)不超过5%。

不过,该机构看好双威酒店的增产潜质,因位于乔治市中心,住客率稳守78%,加上客房费率诱人(介于190至200令吉),相信将可吸引大批住客。

但是,对于双威大厦的看法则较为谨慎,因这栋大楼为分层地契办公楼,并非由双威产托全权拥有,该大楼90%的租户为政府单位,目前每平方尺租金介于3.50至3.60令吉,符合市价。



双威赚2340万 或派40仙

对于双威来说,脱售两项资产后,可一次过取得2340万令吉净利,公司可运用这笔资金投入新的投资,赚取更高回酬,同时,也可因为仍持有双威产托34.6%股权,可固定取得派息回酬。

兴业研究指出,由于相关资产进展公司净利比例的不到1%,在计入脱售资产后所得后,将双威目标价调升2仙至3.89令吉。

该机构将双威产托目标价,由1.42令吉上调至1.55令吉,除非未来注入规模及收益率更高的资产,投资评级才会获得上修。

双威建筑分拆,兴业研究分析员预测股东或可取得40仙的现金与特别派息。

省210万利息

丰隆投行研究指出,双威借由资产脱售所得削减贷款,可为公司每年省下210万令吉的贷款支出。

该机构认为,双威未来或将继续将多项资产注入双威产托,前者所拥有的其他资产包括Monash大学、双威Giza购物广场、双威水上乐园(Sunway Lagoon),以及双威城水上迷失乐园(Lost World of Tambun)等。

双威产托股价今日走高,闭市收报1.51令吉,起1仙或0.67%,成交量124万7300股;双威则也走扬,全日起3仙或0.91%,报3.34令吉,成交量223万8200股。

SUNWAY(5211)宣佈將旗下的sunway hotel George town和wisma sunway,注入到雙威產業信托SUNREIT(5176)中。

Sunway hotel George town的成交价为RM74mil,sunreit在购买了sunway hotel George town后将通过master lease(fixed rental rate)回租该产业给母公司,合約期限長達10年,並擁有另10年的延長選項。另外,wisma sunway的成交价为RM60mil。这两项收购将最快于2015年第三季完成,所以短期内不会对sunreit构成任何影响。sunreit将通过現有的債務融資,來全面資助兩項資產的收購,完成收购后,sunreit的gearing将会从33%提升2%至35%

Sunreit表示,此两项收购案预计对2016年公司收益有正面影响。

表面看来,收购案合情合理,可是,阅读announcement时发现了一些问题,注意sunreit回租sunway hotel George town前10年的租金:

第一年的租金RM4.3mil,以收购价RM74mil計算,回筹大约为5.9%,比起sunreit的latest average dividend yield 5.57%略高,看起来相当不错嘛,可是从第三年开始,租金竟然从RM4.3mil下滑至RM3.2mil,不是吧,哪有越租越便宜的呢?而且还discount 25%呢,这难道不是大股东自肥吗?

雙威產託 首半年獲利破億

(吉隆坡28日訊)受房地產淨收入增長帶動,雙威產托(SUNREIT,5176,主要板產托)截至12月底2015財年首6個月取得超過1億令吉淨利,宣布派發每單位2.27仙收入分配。

雙威產托向馬證交所報備,將在3月3日派發每單位2.27仙收入分配,除權日鎖定在2月12日。

該公司首6個月,淨利按年升8%至1億2671萬令吉,營業額成長8%至2億2780萬令吉,這歸功于房地產淨收入揚升7.2%,至1億7320萬令吉。

根據報備文件,零售業務的房地產淨收入起10.5%,因為雙威金字塔購物廣場(Sunway Pyramid)和雙威Carnival廣場的強勁表現所帶動。

至于次季,該公司淨利起2%至6326萬令吉,營業額上揚3%,錄得1億1399萬令吉。【中国报财经】

次季净利6326万 双威产托派息2.27仙

(吉隆坡28日讯)虽然酒店和办公室租金贡献减少,但强劲零售租金成功抵消损失,让双威产托(SUNREIT,5176,主板产业信托股)截至12月31日财年次季净利增长2%,并派发每单位2.27仙股息。

根据文告,公司次季净利报6326万8000令吉,相等于每股盈利2.16仙;上财年同期赚6203万4000令吉,或每股盈利2.12仙。

上半年净利增8%

同期营业额年增3.34%,达1亿1399万6000令吉,上财年同期是1亿1031万3000令吉。

公司同时宣布派息2.27仙,该股息除权日为下月12日,享有权益日期为16日。

合计半年,双威产托净利有1亿2671万9000令吉,或每股盈利4.33仙,较上财年同期的1亿1743万4000令吉,增7.91%。

营业额则从上财年同期的2亿1048万9000令吉,增加8.23%,至2亿2780万8000令吉。

双威产托总执行长拿督黄中立通过文告指出,虽然营运环境和外围因素充满挑战,但旗下资产仍交出亮眼成绩单。

放眼未来,他对经济状况仍抱着谨慎看法,但有信心每单位股息会继续增长。

完成收购槟城资产

双威产托母公司,双威产托管理私人有限公司发布文告指,今天完成收购位于槟城的双威酒店乔治市酒店和Wisma Sunway。

根据文告,公司今日已支付收购余额给卖家Sunway BizHotel私人有限公司(简称SBH)。

随着交易完成,双威产托管理将把该资产,回租给SBH,为期10年,租约即日生效。

去年12月8日,双威产托管理以1亿3400万令吉,收购上述两项资产,借此进军槟城市场。[南洋网财经]

雙威產託財測穩中向上‧或有併購活動

(吉隆坡30日訊)雙威產業信托(SUNREIT,5176,主板產托組)業績符合市場預測,分析員預料,該公司旗下零售及酒店休閑業領域仍取得適度成長,抵銷市況低迷的辦公室利空,普遍稍上調或維持財測不變,並不排除未來或有併購活動。

馬銀行研究指出,雙威產托甫完成收購雙威喬治市酒店,預料雙威大廈將在2016年首季完成,為反映這兩項新資產盈利貢獻,將2015至2017年核心淨利預測,分別上調1.6%、4.6%及5.1%。

興業研究將2015至2017年的淨利預測保持不變,分別為2億4千700萬、2016年為2億8千600萬、以及2017年為2億9千900萬令吉。

肯納格研究指出,雙威產托在2015年的資本開銷近4億令吉,主要使用在雙威太子購物中心的重新裝修工程,後者目前已經耗費了1億3千210萬令吉,對2015至2016年的財測維持不變。

安聯星展研究表示,雙威產托旗下的雙威太子購物中心的重新裝修工程已完成95%,並鎖定70%出租率,而太子酒店裝修料在2015年財政年杪完成,預料這些資產將是2016及2017年財政年的主要盈利推動力。

今年零售領域出租率
料達98至100%

雙威產托管理層在業績匯報會上披露,今年零售領域仍有適度成長,出租率達到98至100%,預料營業額仍可達雙位數增長。

安聯星展看好認公司潛在內部成長,因雙威集團可注入潛在資產,惟管理層也認為,若是外圍市場擁有提供良好回酬率的資產,該公司也會慎重考慮進行併購。

興業認為,雙威產托旗下的酒店休閑領域今年增長料依然健全,特別是大多數資產都完成裝修工程,如甫完成收購的檳城雙威喬治市酒店,料將推動此領域的增長。

雙威布特拉重開‧雙威產託盈利可期

(吉隆坡18日訊)雙威產業信托(SUNREIT,5176,主板產業投資信托組)旗下雙威布特拉商場(Putra Mall)即將於5月重新開幕,分析員預期這將帶來強勁盈利貢獻,加上雙威金字塔收入穩健,足以抵消辦公樓出租率下滑衝擊。

不過,新商場開幕的利好已反映在股價上,分析員正靜待產托保薦人(Sponsor)注入新資產以催化盈利,惟這要等到2017財年以後才可能實現。

馬銀行研究表示,雙威布特拉商場在停業兩年後,即將如期於今年5月重新開張,根據最新租戶合約,出租率可能為約50%,以及完成全面翻新後改善至70%。

預料雙威布特拉商場在2016/17財年(6月結賬)分別貢獻4千200萬令吉和4千300萬令吉淨利,佔集團盈利的14%,和管理層預期的每月330至380萬令吉收入一致,這是根據95%出租率和每方尺租金6至7令吉計算。

納入布特拉商場全年貢獻後,預期雙威產托2016財年零售租金收入成長19%,相比上一年為11%。

同時,據瞭解雙威產業信托正積極為雙威塔樓(Sunway Tower)和雙威布特塔樓(Sunway Putra Tower)尋找主要租戶,這兩座辦公樓的出租戶自2015財年第四季起下跌至50%和30%。

雙威金字塔購物中心
租金料雙位數成長

馬銀行研究預期雙威產托在2016至2017年的租金收入下跌約2%,因辦公樓的出租率下降。幸好辦公樓租金收入只佔8%,將被零售和酒店產業的出色租金收入成長所抵消。

由於雙威金字塔購物中心將帶來雙位數租金成長,雙威產托的盈利下跌空間有限。此外,雙威布特拉商場預料從2016財年起作出顯著貢獻,佔每年租金收入的17%。

雙威產托即將公佈其下一個主要資產增強措施(AEIs),料專注於翻新雙威休閑酒店和雙威塔樓酒店。該公司在2016財年的資本開銷料處於可管理水平,因大部份的開銷(雙威布特拉商場的3億零700萬令吉翻新工程)都已完成。

馬銀行研究預期雙威產托在2016/17財年的每年資本開銷為約1億令吉。

馬銀行研究表示,產托保薦人將可能注入更多資產,該集團正在進行3項重大發展計劃,包括雙威金字塔第三期、雙威大學新學術大樓和雙威Velocity購場商場。

由於雙威產托的產業組合以零售為主,潛在注入資產為雙威金字塔第三期以及雙威Velocity購場商場。但是,相信只會在2017財年之後才落實,因必須先等到這些商場的出租率/租戶和收入穩定下來。

雙威產托短期挑戰包括4月1日實施消費稅可能令分店銷售疲軟,以及雙威塔樓的出租率可能下跌。

馬銀行研究保持雙威產托盈利預測不變,評級為“守住”以及目標價1令吉50仙。該股2015年淨回酬5.4%,和大馬零售產托平均回酬一致,因此股價下跌空間有限。(星洲日報/財經‧報道:李勇堅)

(吉隆坡13日讯)双威医疗中心特选日立双威资讯系统私人有限公司,採用新一代医院资讯系统,启动5年数码转型计划,项目总值1200万令吉。

双威医疗中心董事经理刘明龙指出,採用新系统主要实现医院全面数码化和集中化行政和数据。这个项目料将需时长达18个月,分为2个阶段落实,料明年第3季完成。

“这个系统能取代传统纸张书写病歷,我们现在可以通过电子病歷(Electronic Medical Records),无限记录。最重要是我们希望能通过这个新系统,支撑现有和未来营运,因为在2017年前,床位将增加到600张。”“我们将第一次让医生、药剂师和护士利用平板电脑,以提高医疗病人的效率和流动性。”

sunway medical center detail:

双威医疗中心也就是sunway medical center,它是 sunreit (5176)旗下的产业,现在正回租于母公司sunway。现在sunway medical center以master lease的方式出租于sunway medical center sdn bhd,租约直至2022年12月才期满,而现在也在进行第三期的扩充工程,兴建10层高的医疗中心,预计2017年完工。

这项转型计划相信是为了应付这项扩充计划,可以想象这项计划落实后,医生,药剂师,和护士等等全面利用平板电脑是多么的方便,也有望提升sunway medical center的租金。

根据2014年年报,sunway medical center全年营收为RM19.33mil,占 sunreit 总收入RM427.7的4.5%,sunway medical center的master lease每年享有3.5%的租金增幅,直到2022年。

此外,之前 sunreit 向sunway收购的sunway hotel George town和wisma sunway也宣告完成收购,这两间产业已经开始贡献收益,可是uncle jim觉得合约怪怪的nia~~

根据2014年年报,sunway medical center全年营收为RM19.33mil,占 sunreit 总收入RM427.7的4.5%,sunway medical center的master lease每年享有3.5%的租金增幅,直到2022年。

此外,之前 sunreit 向sunway收购的sunway hotel George town和wisma sunway也宣告完成收购,这两间产业已经开始贡献收益,可是uncle jim觉得合约怪怪的nia~~

酒店辦公樓收入降‧雙威產託第三季淨利微跌

(吉隆坡29日訊)受酒店和辦公樓產業收入降低影響,雙威產業信托(SUNREIT,5176,主板產業投資信托組)截至2015年3月31日止的第三季淨利滑落2.84%至5千681萬8千令吉。

派息2.13仙

第三季營業額增長2.43%至1億1千零70萬9千令吉。

該公司董事部建議派發每股2.13仙股息,將於下月14日除權。

雙威產業信托在文告中表示,旗下零售領域第三季營收增長9.5%,產業營運開銷微增0.6%,而淨產業收入提昇13.1%。

酒店領域營收則滑落18.9%,因消費稅即將開跑影響商業和消費情緒,導致淨產業收入下跌19.6%。

辦公樓領域因出租率下滑,令營收降低20.4%和收入下挫31.8%,雙威醫藥中心收入則增加5.7%。

展望未來,由於消費稅落實,該公司對零售領域的短期前景持審慎看法,但預期零售情緒在中長期走強,因就業市場和商業信心良好。

該公司預期酒店領域的貢獻保持,而辦公樓領域收入回退和貢獻降低,但不會負面衝擊派息率。(星洲日報/財經)
